Key Personnel Changes. The chair of the Board of Trustees or an officer of the School Corporation shall provide notice within five business days of the chair of the Board of Trustees or an officer of the School Corporation receiving written notice of the intended departure of a person from his or her position with the School Corporation who is a member of the Board of Trustees, an officer of the School Corporation, or a key personnel as identified by position in Attachment H (but no later than the time the School Corporation announces such departure publicly) to DC PCSB identifying the person, the position such person is leaving, the date of such departure, and the actions the School Corporation has taken or intends to take to replace such person.
Key Personnel Changes. Except as provided below, Contractor shall not change the project assignment of the Project Executive, Project Lead, and Technical Leads for the period of project implementation. Contractor agrees to replace the Key Personnel if performance is unacceptable to State and provide the first thirty (30) days of a replacement resource with equivalent skill at no charge. The State acknowledges that Key Personnel may become unavailable due to termination of employment for any reason, through disability or death, illness, or through leave of absence such as FMLA or National Guard duty for example. In such circumstances, Contractor shall promptly notify the State in writing of the impending or actual departure of any Key Personnel. The State has the right to reasonably disapprove of any replacement Key Personnel. Should Key Personnel identified above become no longer available for the Project for any other reason not anticipated by Contractor, Contractor shall provide a comprehensive transition plan, which shall include information regarding anticipated time frame for replacement of that individual. The replacement of Key Personnel shall have comparable or greater skills and applied experience than the Key Personnel being replaced and be subject to reference and background checks described above. If Contractor removes Key Personnel for any reason, Contractor agrees to provide a new Key Personnel with equivalent skill.
Key Personnel Changes. The Prime Contractor shall notify the State, any Key Staff changes and shall submit their resumes for CDCR Operations Manager review. The proposed Key Staff replacements must meet the same mandatory qualifications as required in the original solicitation. The Key Staff responsible for implementation, support, training, and Maintenance and Operations must be approved by the CDCR Operations Manager prior to working on the CTS project.
Key Personnel Changes. Key Personnel are not required to be specifically named within this Agreement but the Supplier will notify the Customer in advance of changes to any key personnel that could affect the delivery of the Services to the Customer.
Key Personnel Changes. The Contractor must commit to the continuing availability and participation of the qualified staff filling staff responsibilities, to the extent of the Contractor’s control for the duration of the Project. SCO recognizes that the Contractor’s staff may be unavailable due to circumstances beyond the Contractor’s control such as illness, an extended leave of absence, death, termination, resignation, or other factors beyond the Contractor’s control. However, the Contractor shall make its best efforts to ensure staff continuity throughout the term of the Agreement. For Key and non-Key Staff replacements, the State will not compensate the Contractor for any of the Contractor staff’s time or effort to complete onboarding tasks and state mandated training that was previously completed by the staff being replaced.

Contractor must report to DHCS Contract Manager any changes in the status of the executive-level personnel including, but not limited to, the chief executive officer, chief financial officer, chief operations officer, the chief medical director, the chief Health Equity officer, the compliance officer, and government relations persons within ten calendar days. Contractor must also report to DHCS Contract Manager any changes in the status of the executive-level personnel for Fully Delegated Subcontractors, Partially Delegated Subcontractors, Downstream Fully Delegated Subcontractors, and Downstream Partially Delegated Subcontractors including, but not limited to, the chief executive officer, chief financial officer, chief operations officer, the medical director, the chief Health Equity officer, the compliance officer, and government relations persons within 20 calendar days.
Key Personnel Changes. The Subgrantee must receive prior approval for changes in key personnel identified in the budget and is required to notify CV of any key program or organization staff changes within 14 working days of when the change occurs. In addition to the required prior approval for changes in key personnel identified in the budget, the Subgrantee must also notify CV of any changes in any positions which are not included in the approved budget, but which involve leadership oversight of the activity under this award. The Subgrantee must also notify CV of any change in the senior leadership of the legal applicant organization. Failure to provide notification on key partner and staff changes will be noted in monitoring reviews and may become a factor in evaluating organizational capacity for future funding decisions.

Key Personnel Changes. Each Party is responsible for contacting all other Parties of technical contact changes in a timely manner so as to ensure that their ability to communicate with all the other Parties is not impaired and that there will be no interruption of vital communications. This information is to be kept updated in the remedy profile as hosted by Global Registry and will be made available for public use via the support website.
