Joint Venture Company shall fulfill all sales of Products under all Transferred Contracts, shall invoice Authorized Customers for all sales of Products under all Transferred Contracts, and shall use commercially reasonable efforts to collect the amounts due under such invoices. At Joint Venture Company’s request from time to time, Loop shall provide reasonable assistance to Joint Venture Company in such invoicing and collection process at Joint Venture Company’s expense.

CME hereby acknowledges and agrees that, other than any CME Materials incorporated in Company’s Customer Interface, as between CME and Company, all right, title and interest in and to the Company’s Customer Interface and Company Trademarks shall inure to and become the exclusive property of Company. If applicable, Company represents that its agreements with its Customers prohibit such Customers from reverse engineering or altering the gateway portion of Company’s software that directly interfaces with the CME Interfaces.

Customer Interface. As a part of the scheduling process, the Contractor shall coordinate all work with the person in charge of the facility where the work is to be accomplished to minimize the possibility of life-threatening situations, loss or damage of product or property, and operational problems at the facility. The Contractor shall report to the Contracting Officer or COR those instances when access to facilities could not be gained because the customer was not available at the prearranged time. In the event that access to the facility was denied due to security or threat, the Contractor shall notify the Contracting Officer or COR along with explanation and validation of denial of access in the CMMS tied to the work request. If the work requires an interruption in utility services or the disconnection of any utility to or within a facility, or requires that a facility be vacated, the Contractor shall notify customers, facility users, and the Contracting Officer and COR 72 hours prior to the scheduled interruption and shall schedule work in a manner to minimize disruption of the activity's operation.

Customer Interface. All contacts with the Government concerning the work to be performed under the Prime Contract, including Citadel’s services under this Agreement, shall be the responsibility of DigitalNet. Citadel shall not contact the Government, except as authorized by DigitalNet. Citadel shall promptly report to DigitalNet any communications initiated by the Government directly with Citadel concerning the work hereunder. All meetings and other contacts involving Citadel personnel and/or their representatives with representatives of the Government relative to the effort herein, shall be prearranged through DigitalNet’s Program Manager. Citadel is further reminded that only DigitalNet can direct Citadel and/or modify the terms and conditions of this Agreement.

SCE representatives will meet in person with building officials, community development personnel and other decision makers within Jurisdictions to present the program and solicit participation. Jurisdictions advancing to energy savings partnership arrangements will negotiate a contract that will identify the roles of each partner. Customers benefiting from the program through the funneling efforts of the LGEAR will be subject to the customer interface feature of the respective program. Registration for training will be done through their SCE contact. Jurisdictions will have a single SCE contact that will coordinate all their services, including community events and enrollment in applicable training program.
