Demonstration of Compliance. Upon request, Seller shall demonstrate to Buyer’s reasonable satisfaction Seller’s compliance with the requirements of these General Terms and Conditions concerning workplace and product safety, prohibited trade practices, and undocumented, child or forced labor. Buyer expects its vendors and suppliers to develop and implement appropriate internal business processes to insure compliance with these principles. Seller shall also cooperate with third parties that Buyer may engage to investigate such compliance. Buyer shall have the right to terminate the Purchase Order if Seller cannot demonstrate such compliance.

Demonstration of Compliance. Vendor shall make available to Customer all information reasonably necessary to demonstrate compliance with this DPA and allow for and contribute to audits, including inspections by Customer, in order to assess compliance with this DPA. Customer acknowledges and agrees that it shall exercise its audit and inspection rights under this DPA by instructing Vendor to supply, on a confidential basis, (i) a summary copy of an independently validated report of its security programs (e.g. SOC 2, Type II Report), along with copies of any related policies and other documentation, or its hosting provider’s security programs and related policies and documentation if Vendor does not host the Personal Data itself, or (ii) if Vendor does not have such a report, written responses to all reasonable requests for information made by Customer necessary to confirm Vendor’s compliance with this DPA, along with copies of any related policies and other documentation. Customer shall not exercise this right to audit and inspect more than once per calendar year.

You acknowledge that the Subscription Service is hosted by our data center partners who maintain independently validated security programs (including SOC 2 and ISO 27001) and that our systems are regularly tested by independent third-party penetration testing firms. Upon request, we will supply (on a confidential basis) a summary copy of its penetration testing report(s) to you so that you can verify our compliance with this DPA. Further, at your written request, we will provide written responses (on a confidential basis) to all reasonable requests for information made by you necessary to confirm our compliance with this DPA, provided that you will not exercise this right more than once per calendar year unless you have reasonable grounds to suspect non-compliance with the DPA.

Upon request, we will supply (on a confidential basis) our SOC 2 report and summary copies of our penetration testing report(s) to you so that you can verify our compliance with this DPA. You may download copies of these documents from HubSpot’s Security website at xxxxx://xxxxx.xxxxxxx.xxx/security#downloadable-reports. Further, at your written request, we will provide written responses (on a confidential basis) to all reasonable requests for information made by you necessary to confirm our compliance with this DPA, provided that you will not exercise this right more than once per calendar year unless you have reasonable grounds to suspect non-compliance with the DPA.

Demonstration of Compliance. By June 30, 2011, the Individual Participating Airline shall submit to ARB a written Demonstration of Compliance. The Demonstration of Compliance shall demonstrate that the Individual Participating Airline came into compliance with the MOU during the six (6) month cure period.

Demonstration of Compliance. 6.1 The Supplier must upon the Customer’s request provide the Customer with the necessary documentation enabling the Customer to ensure that the Supplier fulfils i) it’s obligations according to this Agreement, and ii) the provisions of the Data Protection Legislation in force at any given time, insofar as it concerns the Personal Data processed by the Supplier on behalf of the Customer. 6.2 The Supplier must allow for the Customer’s performance of an audit of the Supplier's data processing and data protection measures via a third party subject to customary confidentiality undertakings and at the Customer’s cost. 6.2.1 The audit must be carried out in accordance with recognized auditing standards in force at the given time by a competent third party. 6.2.2 The Supplier must grant the auditor access to the Supplier's premises and facilities to the extent necessary to perform the audit. 6.2.3 If the audit reveals insufficient security measures or other breaches of Data Protection Legislation on the part of the Supplier, the Supplier must take necessary steps to cure such breaches without undue delay and without any remuneration.
