Director Orientation and Continuing Education. The Nomination & Governance Committee shall be responsible for overseeing the orientation of new Directors. This orientation should take place within a reasonable time after a Director is first elected to the Board and should include a visit to the Company’s corporate headquarters. The purpose of the orientation and visit is to familiarize new Directors with the Company’s operations and other issues that will assist new Directors in the fulfillment of their duties and responsibilities. Board members shall be required to keep themselves informed and to obtain continuing education on matters relevant to their positions on the Board and any Committee through a combination of one or more continuing education sources including seminars, in-house training, and review of periodicals and other publications. Each Director is provided membership in the National Association of Corporate Directors (“NACD”) and is expected to regularly review materials provided by the NACD and attend annually at least one seminar sponsored by the NACD on subjects relevant to his or her duties to the Company, gaps in expertise, or Committee assignments and responsibilities. Each Director will be reimbursed for attendance at seminars, and participation in other relevant educational activities, up to $5,000 annually following submission of receipts to the Corporate Secretary.

Director Orientation and Continuing Education. The Corporate Governance and Responsibility Committee will maintain an orientation process for all new directors. This process includes comprehensive background briefings by the Company’s executive officers. In addition, all directors shall periodically participate in briefing sessions on topical subjects to assist the directors in discharging their duties. The orientation and continuing education programs, which are subject to oversight by the Corporate Governance and Responsibility Committee, are the responsibility of the Chair of the Board and administered by the Corporate Secretary.
Director Orientation and Continuing Education. The Corporation will have an education and orientation program for new Directors addressing the Corporation’s corporate structure, operations, key legal and financial issues, and the Corporation’s industry in general. Directors will be provided with information regarding corporate governance issues, the compliance program and the structure and procedures of the Board and the committees on which the Directors will serve.

Director Orientation and Continuing Education. As soon as practicable following election or appointment of a new director, the Company shall make available to the new director a Director Guidebook, which shall be constructed to familiarize the new director with, among other things, the Company’s business, strategic plans, significant financial, accounting and risk management issues, compliance programs, conflicts policies, the Code of Ethics and Business Conduct, these Principles, principal officers, internal auditors and independent auditors. Each director is expected to take such action, which may include participation in continuing educational programs as necessary to maintain the level of expertise required to perform his or her responsibilities as a director. The Company reimburses Board members for reasonable expenses relating to ongoing director education. Each director is required to attend a director education program at least once every five years during such director’s tenure on the Board.

Certain training required by the DOT Regulations shall be the responsibility of the Substance Abuse Program.
