Documents Constituting Contract. This contract includes this document and all amendments and appendices to this document, the Request for Application, the Application submitted in response to the Request for Application, the Texas Medicaid Provider Procedures Manual and Texas Medicaid Bulletins addressed to HMOs, contract interpretation memoranda issued by TDH for this contract, and the federal waiver granting TDH authority to contract with HMO. If any conflict in provisions between these documents occurs, the terms of this contract and any amendments shall prevail. The documents listed above constitute the entire contract between the parties.
Documents Constituting Contract. This Contract and its attachments, schedules, addenda and exhibits and all CalOptima Policies applicable to Covered Services and CalOptima Members (and any amendments thereto) shall constitute the entire agreement between the parties. It is the express intention of County and CalOptima that any and all prior or contemporaneous agreements, promises, negotiations or representations, either oral or written, relating to the subject matter and period governed by this Contract which are not expressly set forth herein shall be of no further force, effect or legal consequence after the Effective Date hereunder.
Documents Constituting Contract. This Contract shall include
1. This Medicaid Managed Care Contract;
2. The Appendices to this Contract;
3. The Request for Proposal and all attachments and addendums thereto, including Section 40--Terms and Conditions of a Contract with the Commonwealth of Kentucky, where applicable;
4. General Conditions contained in 200 KAR 5:021 and Office of Procurement Services’ FAP110-10-00; and
5. The Contractor’s proposal in response to the RFP. Provided however, by submitting materials in response to the RFP, the Contractor has not fulfilled any obligation under this Contract to submit plans, programs, policies, procedures, forms or documents, etc. to the Department for approval as required by this Contract. In the event of any conflict between or among the provisions contained in the Contract, the order of precedence shall be as enumerated above. The documents listed above constitute the entire agreement between the parties.
Documents Constituting Contract. The Contract between the parties to this Contract shall include, in addition to this document, Medicaid Provider Bulletins addressed to the County and Contract Interpretation Bulletins issued pursuant to this Contract. In the event of any conflict in provisions among these documents, the terms of this Contract shall prevail. In addition, the Contract shall incorporate the following Addenda:

Documents Constituting Contract. The San Joaquin County Emergency Ambulance Request for Proposals, dated July 12, 2005 and Contractor's proposal, dated September 22, 2005, are made a part hereof and by reference into this Agreement, provided however, that this Agreement supersedes any inconsistent provision of these documents. No addition to, or alteration of, the terms of this Agreement, and no verbal understanding of the parties, or their officers, agents, or employees, shall be valid unless made in the form of a written amendment to this Agreement. All defined terms herein shall have the meaning as set forth in Exhibit I.

Documents Constituting Contract. In addition to this document, the CONTRACT between the PARTIES shall include the provisions of the RFP and its amendments and clarifications, and of the PROPOSAL and its addenda and amendments as specified in the Recitals of this document. All are incorporated herein by reference. Order of Precedence Any conflict, ambiguity, or inconsistency among these documents shall be resolved by applying the following descending order of precedence:
A. Federal and State law; the CONTRACT document, all Addenda and any amendments; the RFP and any amendments.
Documents Constituting Contract. (a) The parties acknowledge that the following documents describe the plan to be administered by Contractor under this Contract, and for that purpose the following documents are incorporated by reference:
(1) The document titled “TERMS AND CONDITIONS FOR COMPREHENSIVE MEDICAL PLAN PARTICIPATION IN THE STATE OF WISCONSIN GROUP HEALTH BENEFIT PROGRAM AND UNIFORM BENEFITS FOR THE 2011 BENEFIT YEAR” (ET-1136-xx), as amended by the Board from time to time for 2011 or for subsequent years, specifically Part 4. Uniform Benefits.
(2) The document titled “Standard Plan Health Care Benefit Plan” (ET-2112), as amended by the Board from time to time for 2011 or for subsequent years.
(3) The document titled “State Medicare Plus Health Care Benefit Plan” (ET-4113), as amended by the Board from time to time for 2011 or for subsequent years
(4) The document titled “Request for Proposal # ETJ0007- Administrative Services as the State of Wisconsin Pharmacy Benefit Manager - APPENDIX D: Standard Terms and Conditions (DOA-3054) and Supplemental Standard Terms and Conditions (DOA-3681) and Special Terms and Conditions Dated January 28, 2010 (hereinafter referred to as the RFP).
(5) The document titled “Health Insurance Pharmacy Benefit Manager (PBM) ANSI 834 PROJECT DOCUMENTS” prepared by the Department of Employee Trust Funds Applications Development Bureau.

(c) The parties acknowledge that, in entering into this Contract, the Board is entitled to rely on specific representations in the Contractor Proposal that induced the Board to select Contractor; however, the parties further acknowledge that the Contractor Proposal contains statements of intent, expectations, and other statements that are not intended to be contractually binding.
