Downtime and Service Suspensions. In addition to the right of FedEx to terminate this Agreement as described in Section 5 above, You acknowledge that: (i) Your access to and use of the Web Services may be suspended for the duration of any unanticipated or unscheduled downtime or unavailability of any portion or all of the Web Services for any reason, including as a result of power outages, system failures or other interruptions; and (ii) FedEx shall also be entitled, without any liability to You, to suspend access to any portion or all of the Web Services at any time: (a) for scheduled downtime to permit FedEx to conduct maintenance or make modifications to any Web Service; (b) in the event of a denial of service attack or other attack on the Web Service or other event that FedEx determines, in its sole discretion, may create a risk to the applicable Web Service, to You or to any of its other customers if the Web Service was not suspended; or (c) in the event that FedEx determines that any Web Service is prohibited by law or FedEx otherwise determines that it is necessary or prudent to do so for legal or regulatory reasons (collectively, "Service Suspensions"). FedEx shall have no liability whatsoever for any damage, liabilities, losses (including any loss of data or profits) or any other consequences that You may incur as a result of any Service Suspension. To the extent FedEx is able, FedEx will endeavor to provide You email notice of any Service Suspension in accordance with the notice provisions set forth in Section 13 below and /or, if feasible, post updates on xxx.xxxxx.xxx regarding resumption of Web Services following any such suspension, but shall have no liability for the manner in which FedEx may do so or if FedEx fails to do so.

Downtime and Service Suspensions. We shall be entitled, to suspend access to any portion or all of the Services: (a)for scheduled downtime to permit us to conduct maintenance or make modifications to any Service; (b) in the event of a denial of service attack or other attack on the Service or other event that we determine, in our sole discretion, may create a risk to the applicable Service, to you or to any of our other customers if the Service were not suspended; (c) in the event that we determine that any Service is prohibited by law or we otherwise determine that it is necessary or prudent to do so for legal or regulatory reasons; (d) if you engage in any conduct or activities that is in excess of average customer usage parameters including but not limited to your bandwidth, CPU or disk space usage and such usage by you is or may adversely affect the performance or availability of the Services, Roambee’s infrastructure or resources, or Roambee’s other customers; or (e) if you engage in any conduct or activities that Roambee in good faith believes to be in violation of any of the terms and conditions in the Agreement.
Downtime and Service Suspensions. In addition to JUNYO’s rights to terminate or suspend Services to HCS as otherwise set forth in this Agreement, HCS acknowledges that: (i) JUNYO shall be entitled, to suspend access to any portion or all of the Services at any time: (a) for scheduled downtime to permit JUNYO to conduct maintenance or make modifications to any Service (for which We shall give at least five (5) business days electronic notice and which JUNYO shall schedule to the extent practicable during the weekend hours between 6:00 p.m. Friday and 6:00 a.m. Monday EASTERN time); (b) in the event of a denial of service attack or other attack on Hosted Service or other event that we determine, in our sole discretion, may create a risk to Hosted Service,to HCS or to any of JUNYO’s other customers if Hosted Service were not suspended; (c) in the event that we determine that any component of Hosted Service is prohibited by law or JUNYO otherwise determines that it is necessary or prudent to do so for legal or regulatory reasons; (d) if HCS or its Authorized Users engage in any conduct or activities that result in excessive usage or consumption of resources including but not limited to network, processing, or storage, and such usage is or may adversely affect the performance or availability of Hosted Service, JUNYO’s infrastructure or resources, or JUNYO’s other customers; or (e) if HCS or its Authorized Users engage in any conduct or activities that JUNYO in good faith believes to be in violation of any of the terms and conditions in this Agreement; and (ii) access to and use of Hosted Service may be suspended for the duration of any unanticipated or unscheduled downtime or unavailability of any portion or all of Hosted Service for any reason, including as a result of power outages, system failures or other interruptions (all of the foregoing collectively referred to as “Service Suspensions”). JUNYO shall make reasonable attempts to minimize the duration of any Downtime or Service Suspensions, and, when practical, attempt to minimize the impact to portions Hosted Service or to affected Authorized User accounts. Downtime and Service Suspensions. 6.1. 4me shall use all reasonable efforts to maintain availability of the Service at all times but from time to time your access to and use of the Service may be (i) suspended for the duration of any unanticipated or unscheduled downtime or unavailability of any portion or all of the Service as a result of power outages, system failures or other reasons beyond our reasonable control; and (ii) 4me shall also be entitled to suspend access to any portion or all of the Service at any time, on a service-wide basis: (a) for scheduled downtime to permit 4me to conduct maintenance or make modifications to the Service; (b) in the event of a denial of service attack or other attack on the Service or other event that 4me determines, in 4me’s reasonable discretion, may create a risk to the Service, to you or to any of 4me’s other customers if the Service were not suspended; or (c) in the event that 4me determines that the Service is prohibited by law or 4me otherwise determines that it is necessary or prudent to do so for legal or regulatory reasons (collectively, “Service Suspensions”). Without limitation to Section 18, We shall have no liability whatsoever for any damage, liabilities, losses (including any loss of data or profits) or any other consequences that You may incur as a result of any Service Suspension. To the extent We are able, We will endeavor to provide You notice of any Service Suspension in accordance with the notice provisions set forth in Section 22.5 below and to post updates regarding resumption of Services following any such suspension, but shall have no liability for the manner in which We may do so or if We fail to do so.
