Duties During Transition Period. During the Transition Period, you will continue to report to the Chief Executive Officer of the Company (the “CEO”), your position will be Special Advisor to the CEO and you will continue to be paid your current base salary as in effect on the date hereof. Your duties during the Transition Period shall include transitioning your role as the Company’s primary contact with Astellas and such other activities and assistance as may be reasonably requested by the CEO (the “Transition Duties”). You will report to the Company’s offices, or other locations necessary or requested by the CEO, in order to perform the Transition Duties. You agree to devote your full and best business efforts and energies to the performance of the Transition Duties throughout the Transition Period.

Duties During Transition Period. Effective immediately, you will no longer serve as the Company’s Chief Executive Officer and President, and you hereby resign from each of these positions, but will instead serve through the Transition Period as the Company’s non-executive Advisor. Duties During Transition Period. Except as otherwise set forth below, Executive will serve as President and Chief Executive Officer of WellCare and shall report directly to the Board through the Transition Period. Notwithstanding the foregoing, Executive agrees that during the Transition Period, WellCare and/or the Corporation may appoint someone other than Executive to serve as President and/or Chief Executive Officer or acting President and/or Chief Executive Officer, at which time Executive shall be relieved of those titles and the authority associated with those positions. Upon the appointment of a new President and/or Chief Executive Officer or an acting President and/or Chief Executive Officer, and at the request of WellCare and/or the Corporation, Executive shall continue employment through the Transition Period, and his responsibilities shall be to cooperate and assist with the transition by providing counsel to the Board and the President and/or Chief Executive Officer or acting President and/or Chief Executive Officer related to such transition. For the avoidance of doubt, Executive shall continue to report directly to the Board during any such transition and will not be responsible for executing WellCare or Corporation documents or filings on behalf of WellCare or the Corporation. Neither the appointment of a new President and/or Chief Executive Officer or an acting President and/or Chief Executive Officer of WellCare and/or the Corporation, nor the change in duties and responsibilities in connection with any resulting transition consistent with this Section 1.2, shall constitute “Good Reasonfor purposes of this Agreement.
Duties During Transition Period. During the Transition Period, Executive will continue to perform the duties of Executive Vice President and Chief Financial Officer of the Company, and will have such responsibilities, duties and authority as are customary for someone of that position. Executive shall also perform such other duties as are reasonably assigned to Executive by the Board of Directors of the Company, shall devote substantially all of his business time, attention and effort to the affairs of the Company and shall use his reasonable best efforts to promote the interests of the Company. Additionally, Executive shall cooperatively assist the Company in the process of transitioning the position of Executive Vice President and Chief Financial Officer of the Company to a successor. During the Transition Period, Executive shall be permitted to serve on boards and committees and to manage his personal investments to the same extent as provided in Section 2 of the Employment Agreement.
