Duties During Transition Period. During the Transition Period, you will continue to report to the Chief Executive Officer of the Company (the “CEO”), your position will be Special Advisor to the CEO and you will continue to be paid your current base salary as in effect on the date hereof. Your duties during the Transition Period shall include transitioning your role as the Company’s primary contact with Astellas and such other activities and assistance as may be reasonably requested by the CEO (the “Transition Duties”). You will report to the Company’s offices, or other locations necessary or requested by the CEO, in order to perform the Transition Duties. You agree to devote your full and best business efforts and energies to the performance of the Transition Duties throughout the Transition Period.
Duties During Transition Period. Your duties during the Transition Period shall include: providing assistance in the transition of your former duties as CEO, facilitating a smooth transition of the Company’s research and development oversight and providing other general business and scientific advice and such other duties as may be reasonably requested or directed by the Board (the “Transition Duties”). You agree to devote your full and best business efforts and energies to the performance of the Transition Duties throughout the Transition Period.
Duties During Transition Period. For purposes of this Agreement, the term “Successor Appointment Date” shall mean the effective date on which a successor appointed by the Board assumes the role of Chief Executive Officer of the Company. On and after the Successor Appointment Date, during the Transition Period (as defined below), the Executive shall serve in a transitional role to facilitate an orderly transition of Chief Executive Officer responsibilities to his successor and provide such other services as may be reasonably requested by the Board or the successor Chief Executive Officer during the Transition Period. The term “Transition Period” shall mean the period that commences on the Successor Appointment Date and ends as of the earlier of: (i) January 1, 2012 or (ii) the ninetieth (90th) day following the Successor Appointment Date; provided, however, that the Board may, in its sole discretion, extend the Transition Period to a later date. If a successor Chief Executive Officer is appointed under circumstances where this Section 3.5 becomes applicable, the Executive’s employment shall terminate by reason of retirement on the last date of the Transition Period (and such date shall be the Eligible Retirement Date for purposes of Section 3.1.5), provided, however that nothing in this Section 3.5 shall be construed to limit either the Company’s right or the Executive’s right to terminate the Executive’s employment on an earlier date during the Term in accordance with Section 3.1 of this Agreement.
Duties During Transition Period. Slansky agrees that xxxxxx the Transition Period he will assist EMPLOYER in both its Finance/Administration and Manufacturing/Operations areas, including specifically by helping EMPLOYER complete its operating plan (with updated revenue projection numbers), rendering all EMPLOYER financial spreadsheets accessible and usable to designated employees of EMPLOYER, and assisting EMPLOYER in such other areas and manners as are reasonably requested.
Duties During Transition Period. During the Transition Period, Employee shall report to the Company’s Chief Executive Officer. The Employee shall devote such time, attention and energy to the business of the Company and performance of those duties assigned to him by the Chief Executive Officer as are necessary to properly perform such duties. The Company reserves the right to change the Employee’s position, duties, and the person to whom the Employee reports during the Transition Period, but any such change shall not effect any other provision of this Agreement. The Employee will be expected to carry out his duties, and to comply with all terms and conditions regarding the nature and manner of carrying out his duties as may be established from time to time by the Company and/or as set forth in the Company’s Employee Handbook or Manual. Employee may perform his duties and responsibilities from a remote location and will not be required to maintain specific office hours at either the Company’s Roswell or Buckhead facilities during the Transition Period. Employee will record all time spent performing services for the Company during the Transition Period and such time records will be submitted to the Company on a weekly basis. Employee will receive additional compensation of $120 per hour over and above his salary for the performance of such services during the Transition Period. Employee may take a vacation during the Transition Period in accord with the Company’s vacation policy if properly noticed.
Duties During Transition Period. Effective immediately, you will no longer serve as the Company’s Chief Executive Officer and President, and you hereby resign from each of these positions, but will instead serve through the Transition Period as the Company’s non-executive Advisor. In this role, you will be expected to provide advice to the Board of Directors (the “Board”), a committee thereof, or others specifically designated by the Board, on an as-needed basis, as requested by the Company in writing or via email (the “Transition Duties”), subject to your reasonable availability. During the Transition Period: (i) you will not participate as an Advisor in Company activities, except as specifically requested by the Company’s Board or the Chief Executive Officer and (ii) you will have no management responsibilities and may not delegate work or give work assignments to Company employees without the prior request or approval of the Company’s Board or the Chief Executive Officer. You will continue to serve as a member of the Board until your resignation, replacement or removal.
Duties During Transition Period. Xx. Xxxxxxx shall remain responsible during the Transition Period for continuing to diligently perform her normal duties and responsibilities as CFO, including, but not limited to, all of the duties related to the completion and filing of PCB’s 2007 Second Quarter 10-Q Report, and such other tasks as PCB may reasonably assign to her. PCB reserves the right to begin transitioning duties to other employees during the Transition Period as it determines necessary or appropriate. Xx. Xxxxxxx agrees to perform her duties and responsibilities during the Transition Period to the best of her abilities, and in an efficient and timely manner. Except as otherwise provided in this Agreement, Xx. Xxxxxxx agrees to devote her full business time and effort during the Transition Period to the performance of her remaining duties as CFO.
Duties During Transition Period. During the period from the date of this Agreement until his termination of employment (the "Transition Period"), Xxxxxxxx shall continue as Chief Executive Officer of the Company and, in addition to the duties of such position as set forth in Section 1 of the Employment Agreement between the Company and Xxxxxxxx dated April 8, 1996, as amended (the "Employment Agreement"), shall assist with the orientation and training of a successor Chief Executive Officer; provided, however, that the Board of Directors shall have the right to require the resignation of Xxxxxxxx as Chief Executive Officer earlier during the Transition Period if it so desires, but his ceasing to be Chief Executive Officer shall not affect his status as an employee of the Company or his right to his compensation and benefits through the end of the Transition Period, unless his employment is terminated for cause (as defined in the Employment Agreement) occurring after the date of this Agreement ("Cause").
Duties During Transition Period. During the Transition Period, Executive will continue to perform the duties of President and Chief Executive Officer of the Employer. Executive shall also perform such other duties as are reasonably assigned to Executive by the Board of Directors of the Employer, shall devote his full business time and attention, and his best efforts, to the business and affairs of the Employer. During the Transition Period, Executive shall assist the Employer in the process of transitioning the position of President and Chief Executive Officer of the Employer to a successor and shall consult with the Board of Directors of each Employer and with any successor President and/or Chief Executive Officer regarding such transition and any other matters as either Employer may request. During the Transition Period, Executive shall be permitted to serve on boards and committees and to manage his personal investments to the same extent as provided in Section 2(b) of the Employment Agreement.
Duties During Transition Period. During the Transition Period, Employee shall report directly to the CEO, and shall perform only those tasks as may be reasonably requested by the CEO.
