Economic Sanctions and Export Controls. Supplier agrees to fully comply with all economic sanctions and export control laws and regulations, including those regulations maintained by the U.S. Commerce Department’s Bureau of Industry and Security and the U.S. Treasury Department’s Office of Foreign Assets Control. In addition, Supplier shall not, directly or indirectly, sell, provide, export, re-export, transfer, divert, loan, lease, consign or otherwise dispose of any Xxxxx equipment, product, services, software, source code, technical data or technology to or via any person, entity or destination, or for any activity or end-use restricted by the laws or regulations of the United States or any other applicable jurisdiction (including nuclear, missile, chemical or biological weapons proliferation, military, or money laundering activities) without first obtaining all required government authorizations.
Economic Sanctions and Export Controls. Each of Corporation, its Subsidiaries, and their respective directors and officers, and, to the knowledge of Corporation, the employees, agents and representatives of Corporation and its Subsidiaries, to the extent acting on behalf of Corporation or any of its Subsidiaries, are, and for the past six years have been, in compliance with applicable economic sanctions, anti-terrorism, customs and export and technology transfer control Laws, including the Special Economic Measures Act (Canada), the United Nations Act (Canada), the Freezing Assets of Corrupt Foreign Officials Act, the Criminal Code (Canada), the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada), the Foreign Extraterritorial Measures Act, the Export and Import Permits Act (Canada), the Defence Production Act (Canada), the Justice for Victims of Corrupt Foreign Officials Act and the Customs Act (Canada), as well as any sanctions or export controls administered or enforced by the U.S. Department of Treasury’s Office of Foreign Assets Control, the U.S. Department of State, or the Bureau of Industry and Security of the U.S. Department of Commerce, and Executive Order No. 13224 on Terrorist Financing, effective September 24, 2001, the USA PATRIOT Act of 2001, the Trading with the Enemy Act (12 U.S.C. §95), the International Emergency Economic Powers Act (50 U.S.C. §§1701-1707), and all other applicable U.S. economic sanctions, anti-terrorism, customs and export and technology transfer control Laws, including any regulations or orders issued under the foregoing, and similar applicable economic sanctions, anti-terrorism, customs and export and technology transfer control Laws of other jurisdictions (collectively, “Trade Control Laws”). Each of Corporation and its Subsidiaries have instituted and maintain policies and procedures designed to ensure continued compliance with such legislation, including those for the detection, prevention and reporting of violations. Each of the Company, its Subsidiaries, and their respective directors and officers, and, to the knowledge of the Company, the employees, agents and representatives of the Company and its Subsidiaries are, and, to the knowledge of the Company, for the past six years have been, in compliance with all applicable Trade Control Laws. Each of the Company and its Subsidiaries have instituted and maintain policies and procedures designed to ensure continued compliance with such legislation, including those for the detection, prevention and reporting of violations. The operations of each of the Company and its Subsidiaries have been conducted at all times in compliance with Trade Control Laws and over the past six years there has been no suit, action, investigation, inquiry, litigation or proceeding by or before any Governmental Entity, customer, business partner or any arbitrator or any internal investigation involving each of the Company or any of its Subsidiaries or, to the knowledge of the Company, any of their respective directors, officers, employees, agents or representatives with respect to Trade Control Laws, and, to the knowledge of the Company, there are no circumstances likely to lead or give rise to any such suit, action, investigation, inquiry, litigation or proceeding and none are pending or threatened.

(i) Except as set forth in Section (ww) of the Disclosure Letter, the operations of the Vendor Group have been conducted at all times in compliance with economic sanctions, anti-terrorism, customs and export and technology transfer control laws, including the Special Economic Measures Act (Canada)¸ the United Nations Act (Canada), the Freezing Assets of Corrupt Foreign Officials Act, the Criminal Code (Canada), the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada), the Foreign Extraterritorial Measures Act, the Export and Import Permits Act (Canada), the Defence Production Act (Canada) and the Customs Act (Canada), including any regulations or orders issued under the foregoing, and similar applicable economic sanctions, anti-terrorism, customs and export and technology transfer control laws of other jurisdictions (collectively, the “Trade Control Laws”). Vendor Group has instituted and maintains policies and procedures designed to ensure continued compliance with such legislation, including those for the detection, prevention and reporting of violations. The operations of the Vendor Group have been conducted at all times in compliance with Trade Control Laws and there has been no suit, action, investigation (including any internal investigation), inquiry, litigation or proceeding by or before any Governmental Authority, customer, business partner or any arbitrator involving Vendor Group or any of the Vendor Group’s Representatives with respect to Trade Control Laws or pending or threatened, and there are no circumstances likely to lead or give rise to any such suit, action, investigation, inquiry, litigation or proceeding.
(ii) Neither Vendor Group nor any of the Vendor Group’s representatives:
(A) is a person designated or listed under Trade Control Laws or a person owned or controlled by, acting on behalf of or otherwise representing a such a person (collectively, “Designated Persons”);
(B) has had any direct or indirect dealings involving Designated Persons on behalf of the Vendor Group and in violation of applicable Law;
(C) has had any direct or indirect dealings within or involving Belarus, Burma (Myanmar), Central African Republic, the Crimea region of Ukraine, Côte d'Ivoire, Democratic Republic of the Congo, Egypt, Eritrea, Iran, Iraq, Lebanon, Liberia, Libya, North Korea, Russia, Ukraine, Sierra Leone, Somalia, South Sudan, Sudan, Syria, Tunisia, Yemen, or Zimbabwe or with any Person who is (i) controlled by, acting on beha...
Economic Sanctions and Export Controls. (a) Sellers, the Acquired Entities, their Affiliates, and any of the foregoing’s respective owners, directors, officers, controlled subsidiaries, employees, and, to Sellers’ Knowledge, agents, have not, directly or indirectly, within the last five (5) years taken any action in connection with the operation of the Acquired Entities that is a violation of any applicable Sanctions and Export Control Law, including but not limited to, except as specifically authorized by a Governmental Approval, directly or indirectly (i) exporting, reexporting, transferring, or otherwise providing any goods, services, technology, or technical data to, or having any transaction or dealing with, any Prohibited Person or any Person for whom a Governmental Approval is required under applicable Sanctions and Export Control Laws, or (ii) exporting, reexporting, transferring, or otherwise providing any goods, services, technology, or technical data for any end use or to any destination prohibited under applicable Sanctions and Export Control Laws.
(b) None of Sellers, any Acquired Entity, their Affiliates, nor any of the foregoing’s respective owners, directors, officers, employees, controlled subsidiaries, or agents, is a Prohibited Person.
Economic Sanctions and Export Controls. 19.1 None of the Seller, the Company or, so far as the Seller is aware, Elogio is or is owned or controlled by, a Sanctioned Person and no officer, director, or holder of more than 10% of the equity interests in any Group Company is, or acts directly or indirectly on behalf of, a Sanctioned Person.
19.2 No Group Company has during the last 12 months ending on the date of this agreement, knowingly entered into any agreement, transaction or dealing with or for the benefit of any Sanctioned Person (or involving any property thereof) or that involved a Sanctioned Territory in violation of Economic Sanctions Law.
19.3 Each Group Company is not engaged in any activities that would reasonably be expected to result in any Group Company being designated as a Sanctioned Person.
Economic Sanctions and Export Controls. Exigis agrees to fully comply with all economic sanctions and export control laws and regulations, including those regulations maintained by the U.S. Commerce Department’s Bureau of Industry and Security and the U.S. Treasury Department’s Office of Foreign Assets Control.
Economic Sanctions and Export Controls. The Corporation, its Subsidiaries and its Representatives are, and have been since August 31, 2019, in compliance with economic sanctions, anti-terrorism, customs and export, anti- boycott and technology transfer control laws. Neither the Corporation nor any of its Subsidiaries, nor, to the Knowledge of the Corporation, any director, officer, agent, employee or affiliate of the Corporation or any of its Subsidiaries: (i) is, or, to the extent the concept of ownership or control is applicable to such Person, is owned or controlled by, a person or entity subject to the sanctions administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury or included on the List of Specially Designated Nationals and Blocked Persons or Foreign Sanctions Evaders, Denied Persons List, Entities List, Debarred Parties List, Excluded Parties List and Terrorism Exclusion List, or any other lists of known or suspected terrorists, terrorist organizations or other prohibited persons made publicly available or provided to the Corporation or any of its Subsidiaries by any Governmental Authority (such entities, persons or organizations collectively, the “Restricted Parties”); or (ii) except as would not be, or would not reasonably be expected to be, individually or in the aggregate, material to the Company and its Subsidiaries taken as a whole, has conducted any business with or engaged in any transaction or arrangement with or involving, directly or indirectly, any Restricted Parties or countries subject to economic or trade sanctions imposed by Canada or the United States, in violation of applicable Law, or has otherwise been in violation of any such sanctions, restrictions or any similar Law. The Corporation and its Subsidiaries have instituted and maintain policies and procedures designed to ensure continued compliance with such Laws.
Economic Sanctions and Export Controls. Except as set forth on Schedule 4.14, each Polycom Company is and, for the five (5) years preceding signing, has been in material compliance with all applicable U.S., United Kingdom, European Union, and other applicable economic sanctions and export control Laws in the jurisdictions where they conduct business, including (i) the Export Administration Act of 1979, as amended (50 U.S.C. app. 2401-2420), and the Export Administration Regulations, 15 C.F.R. §§ 730-774 (“EAR”); (ii) the Arms Export Control Act, 22 U.S.C. § 2778, and the corresponding International Traffic in Arms Regulations (“ITAR”); (iii) the economic sanctions, Laws and regulations enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), 31 C.F.R. Part 500 et seq., and the U.S. Department of State’s Office of Terrorist Financial and Economic Sanctions Policy; and (iv) the anti-boycott regulations, guidelines, and reporting requirements under the Export Administration Regulations and Section 999 of the Internal Revenue Service Code (collectively, “Export Control Laws”). To the Knowledge of Polycom, no Polycom Company is a target of the prohibitions or restrictions under any of the Export Controls Laws or other laws of similar effect in the jurisdictions where they operate or otherwise conduct business.

Except as set forth on Schedule 5.14, each Buyer Company is and, for the five (5) years preceding signing, has been in material compliance with all Export Control Laws. To the Knowledge of Buyer, no Buyer Company is a target of the prohibitions or restrictions under any of the Export Controls Laws or other laws of similar effect in the jurisdictions where they operate or otherwise conduct business.
