Effects of Termination and Expiration a. In the event of automatic termination by reason of Employee's death pursuant to paragraph 4(a), or by Employer by reason of Employee's permanent disability pursuant to paragraph 4(b), all of Employer's obligations under this Agreement shall end except for Employer's obligations to pay Employee's Base Salary and Bonus Compensation, if any, in each case earned and accrued but unpaid to the date of death or permanent disability. Employee shall also have the right to receive any payments under the death or disability benefits, as the case may be, provided to Employee pursuant to paragraph 3(e), if any.
Effects of Termination and Expiration. 26.6.1 Termination or expiration of this Agreement for any reason shall not extinguish any existing claims either of the Parties may have for indemnification pursuant to the terms and conditions of this Agreement, and shall not preclude either of the Parties from pursuing any claim for indemnification such Party otherwise may have pursuant to the terms and conditions of this Agreement to the extent that the circumstances giving rise to such claim arose prior to, on or after the date of termination or expiration of this Agreement. In the event the Parties agree on any such plan (and associated terms and conditions), the Clinical Study Side Letter shall not terminate as set forth above and shall be amended accordingly by the Parties to reflect the plan (and associated terms and conditions) as agreed by the Parties.
