Employee Services. Employee services will continue unless eliminated or modified by management because of economic, program(s) or business-related reasons.
Employee Services. Includes Human Resources which establishes and administers policies and oversees compliance with regulations in the areas of employment, compensation and benefits, processes payroll and administers corporate training. Also includes employee communications, facilities management and mail services. Costs of a general nature are allocated using the Number of Employees Ratio.
Employee Services. Prior to the Effective Time, the Corporation shall furnish to New Ceridian such personnel as New Ceridian reasonably requires to conduct its business and maintain its properties. Any individual performing services for New Ceridian shall remain employed by the Corporation until such time as his or her transfer of employment under Section 3.1(a) is effected.

The Union and the Employer recognize that less than satisfactory performance can be a consequence of behavioral difficulties attendant to physical, emotional or mental illness, substance abuse or family and personal conflicts. Without diminishing the Employer's right to discipline employees for just cause, the Employer shall maintain existing Employee Services Program and/or advise employees relative to counseling and other reasonable or appropriate services available to employees. Appropriate consideration, prior to disciplinary determinations, shall be given to an employee's involvement in such programs. The Union agrees to encourage employees afflicted with any such condition to participate in these services.
Employee Services. To the extent that the provision of Services involves employees, contractors or other personnel of the Consultant, such persons shall remain in the employment of, under contract to or in the service of the Consultant and shall not become employees of or contractors of the Corporation, regardless of the type or nature of services provided. The Consultant shall remain responsible and liable for the payment of any and all compensation, withholdings, premiums, benefits, or other obligations of any kind whatsoever owing to such persons, including all severance costs and termination payments.
Employee Services. Except as may be provided in any other agreement or contract between MGE and the Employee, either MGE or the Employee may terminate the Employee's employment or status as an Officer at any time and for any reason.

ViaOne shall provide or arrange for the provision to the Client of those certain Employee Services selected by the Client as set forth on the Service Details attached hereto as Exhibit A. ViaOne is authorized to perform the Employee Services hereunder as is necessary or appropriate for the efficient provision of such Employee Services to Client and to third parties to whom ViaOne is providing similar services from time to time. Except as necessary to comply with applicable laws, regulations or professional standards, Client will not act in a manner which would prevent ViaOne from performing its duties hereunder and will provide such information and assistance to ViaOne as reasonably required by ViaOne to perform its Employee Services hereunder. ViaOne shall cause its employees to comply with all applicable federal, state and local laws, rules and regulations respecting the Employee Services.
Employee Services. The Company will advise and assist Client in connection with organizational, leadership, and strategic development, employee relations matters, including recruitment, employee placement and retention, training, compensation, safety, labor relations and health, welfare and employee benefits. The Company will also advise and assist Client in connection with temporary labor matters, including assessment, selection, contract negotiation, administration, service provider relationships, compliance, review and reporting.
Employee Services. Subject to applicable security requirements and DIR Rules, DIR shall permit Service Provider Personnel to use certain employee facilities at the DIR Facilities that are generally made available to the employees and contractors of DIR or the DIR Customers. The employee facilities in question and the extent of Service Provider Personnel's permitted use shall be specified in writing by DIR and shall be subject to modification without advance notice in DIR's sole discretion. Service Provider Personnel shall not be permitted to use employee facilities designated by DIR for the exclusive use of certain DIR or DIR Customer employees and shall not be entitled to the provision or reimbursement of paid parking.
Employee Services. AGSC assists AGLR System Companies in developing employee relations policies and programs, and training personnel in a coordinated manner throughout the AGLR System Companies. Each AGLR System Company may maintain a human resources group to handle the individualized application of policies and programs. AGSC also provides payroll services, management of the employee benefit plans and employee communications. Any remaining costs not directly charged or assigned will be distributed using the Number of Employees Ratio.
