Energy Management Services. Commencing on the Service Commencement Date or such earlier date mutually agreed to by the parties in writing, Seller shall act as Buyer's broker with respect to the procurement of such supplies of electricity, natural gas and alternate fuels as are necessary to serve the energy requirements of Buyer's Facilities that are in addition to Buyer's Thermal Energy requirements (such services, the "Energy Management Services"). Seller shall, in the performance of the Energy Management Services, use reasonable efforts to assist Buyer in procuring and thereafter managing such supplies of electricity, natural gas and alternate fuels purchased by Buyer. Buyer and Seller shall implement, and Seller shall administer, an energy procurement plan designed to minimize, consistent with Buyer's reliability requirements and Seller's other obligations under this Agreement, the as-delivered cost of such electricity, natural gas and alternate fuels. Upon Seller's written request, Buyer shall execute each procurement agreement that Seller recommends; provided however, nothing herein shall be deemed to obligate Buyer to execute such agreements. Seller shall, with Buyer's assistance, make arrangements for the supply of electricity, natural gas or alternate fuels supplier(s) required to satisfy the energy requirements of Buyer's Facilities that are in addition to Buyer's Thermal Energy Requirements. Buyer shall be directly responsible for paying the costs of all such electricity, natural gas and alternate fuel and Seller shall not be deemed to have, and Buyer shall defend, indemnify and hold Seller harmless from any liabilities or obligations of Buyer to the suppliers of such electricity, natural gas or alternative fuels In the event that an Affiliate of any member of Seller provides such electricity, natural gas or alternate fuels to Buyer, Seller's compensation for such Energy Management Services shall be adjusted pursuant to the provisions of Section 4.3 in such event.
Energy Management Services. 1. Provide natural gas supply information to minimize the cost of natural gas purchased by IRE. This will include acquiring multiple supply quotes and reporting to IRE the various supply index and fixed prices. U.S. Energy will not take title to IRE gas supplies, but will communicate supply prices and potential buying strategies.

Energy Management Services. At the option of the Client, CPI may activate the functionality that provides energy man- agement services (the “Energy Management Services”). Client may elect to utilize Energy Man- agement Services via the Client Web Portal or by contacting CPI’s customer service and requesting activation of this function. Energy Management Services enable the capability to support more than one Qualified Charging Stations for every dedicated 40 amps of electrical panel capacity. To ensure electrical safety and good driver experience, ChargePoint reserves the right to limit the number of Qualified Charging Stations managed on a single electrical panel. This electrical panel capacity must be reserved for Qualified Charging Stations and not be shared with any other elec- trical loads, such as lighting, HVAC, heat pumps, etc. Notwithstanding the foregoing, CPI shall have no liability whatsoever for any claims resulting from Client’s use of the Energy Management Services, including but not limited to overloading the electric panel and improper use of Client Web-Portal to configure Energy Management Services.
