Equipment Schedules. Upon the Bank's demand, the Borrower shall immediately provide the Bank with a complete and accurate description of the Equipment including, as applicable, the make, model, identification number and serial number of each item of Equipment. In addition, the Borrower shall immediately notify the Bank of the acquisition of any new or additional Equipment or the replacement of any existing Equipment and shall supply the Bank with a complete description of any such additional or replacement Equipment.
Equipment Schedules. Upon the Bank's request, the Borrower shall promptly provide the Bank with a complete and accurate description of the Equipment including, as applicable, the make, model, identification number and serial number of each item of Equipment. In addition, the Borrower shall immediately notify the Bank of the acquisition of any new or additional Equipment or the replacement of any existing Equipment and shall supply the Bank with a complete description of any such additional or replacement Equipment.
Equipment Schedules. An executed Equipment Schedule that incorporates by reference the terms of this Master Lease Agreement, marked "Original," shall be the original of this Lease for the Equipment described therein for all purposes. All other executed counterparts of this Lease shall be marked "Duplicate." Unless specified otherwise therein, in the event any written rider or other agreement is attached to and made a part of an Equipment Schedule, the terms and conditions of said written agreement shall apply only to said Equipment Schedule and shall not apply to any other Equipment Schedule made a part of this Lease. In the event Lessee issues a purchase order to Lessor covering Equipment to be leased hereunder, it is agreed that such purchase order is issued for purposes of authorization and Lessee's internal use only, and. none of its terms and conditions shall modify the terms and conditions of this Lease and/or related documentation, or affect Lessor's responsibility to Lessee as defined in this Lease. To the extent this Lease constitutes chattel paper, as such term is defined in the Uniform Commercial Code of the applicable jurisdiction, no security interest in this Lease may be created through the transfer of possession of any counterpart other than the Original of this Lease.
Equipment Schedules. Lessor, in its sole discretion, from time to time, and by mutual consent with Lessee, may lease other Equipment to Lessee, subject to the terms and conditions contained in this Lease for such term and rental payments as may be agreed, by execution of subsequent Equipment Schedules. Lessor retains the right for any reason to decline any Equipment transaction proposed by Lessee.
Equipment Schedules. In addition, the Grantor shall immediately notify the Bank of the acquisition of any new or additional Equipment or the replacement of any existing Equipment and shall supply the Bank with a complete description of any such additional or replacement Equipment.
Equipment Schedules. Lessor shall rent and Lessee shall take on rent the ------------------- equipment described in an Equipment Schedule executed hereunder ("Equipment") subject to the terms and conditions of this Agreement and such Equipment Schedule. Each such Equipment Schedule shall be governed by all of the terms and conditions of this Agreement and by such additional terms and conditions as may be set forth in such Equipment Schedule. Exhibit C hereto lists the countries for which Comdisco and Customer have agreed upon the form of Equipment Schedule. Such Equipment Schedules shall be substantially in the form attached to Exhibit C hereto. Further forms of Equipment Schedules for use in transactions in other countries may be added by agreement of Comdisco and Customer from time to time. The parties agree that each local transaction will only be validly concluded if the relevant Equipment Schedule is executed by signatories of Lessor and Lessee involved in such transaction, and that any such Equipment Schedule may also be supplemented or amended by special terms or conditions agreed upon by such Lessor or Lessee for the particular transaction. The Customer shall, without notice, be jointly and severally liable for the due performance of the obligations of its Affiliates under all Equipment Schedules executed hereunder, including, without limitation, all terms and conditions negotiated by its Affiliate.
Equipment Schedules. This Agreement covers the equipment listed on the Equipment Schedule. If we or the manufacturer replace equipment that is under warranty with the same model number, the replacement equipment will also be covered. Except for this type of replacement, no new or additional equipment is covered by this agreement unless it is listed on an equipment schedule.
Equipment Schedules. Prior to the Effective Date, the Parties have prepared a spreadsheet containing detailed lists of the equipment comprising the Idaho Power Equipment, the PacifiCorp Equipment and the Existing Joint Equipment, the most recent versions of which were sent by email from Xxxx Xxxxxx to Xxxxx Xxxxx on October 22, 2014. Prior to the Closing, the Parties shall cooperate in developing and approving detailed equipment lists for each of the Idaho Power Equipment, the PacifiCorp Equipment and the Existing Joint Equipment which shall be based on the spreadsheets described in the prior sentence, and will attach the completed lists to the PacifiCorp Xxxx of Sale or the Idaho Power Xxxx of Sale, as applicable, when such Bills of Sale are delivered at Closing.
Equipment Schedules p. Connection of all new access control and alarm equipment with new Security Control Panels (SCPs), including block diagrams and wiring diagrams.
Equipment Schedules. The Agreement is being executed in conjunction with one or more written Equipment Schedules which by reference to this Agreement, and upon proper execution by Lessee and Lessor, become subject to all the terms and conditions contained herein. The terms and conditions contained herein shall apply to each such Equipment Schedule as if a separate Agreement were executed for each Equipment Schedule. Subsequent wording of this Agreement not withstanding, this Agreement is effective with respect to any Equipment Schedule executed in conjunction herewith for the lease term (as subsequently defined herein) provided in such Equipment Schedule. Additional Equipment Schedules may be executed from time to time by the Lessee and the Lessor, and if such Equipment Schedules refer by date and contracting parties to this Agreement, such Equipment Schedule shall be deemed to be executed in conjunction herewith and to be subject hereto regardless of the date upon which such Equipment Schedules are executed.
