ESCO Compensation and Fees. Customer shall pay ESCO the Contract Sum in accordance with Schedule O ( Payment Schedule and Schedule of Values). Payments shall be made on a progress payment basis for work completed and accepted by the Customer. A retention of 10% will be withheld from each payment until the Work is complete and Customer executes the Certificate of Acceptance as set forth in Exhibit III (ii) (Certificate of Acceptance—Installed Equipment).

ESCO Compensation and Fees. ESCO has structured the Energy Unit Savings Guarantee referred to in Section 4.1 above, so as to be sufficient to include any and all annual payments required to be made by the OWNER in connection with financing/purchasing the Equipment to be installed by ESCO under this Contract as set forth in Exhibit A, assuming energy rates in effect as of the time of execution of this Agreement as ESCO is not guaranteeing against fluctuations in energy rates. Actual energy and operations savings achieved by ESCO through the operation of Equipment and performance of services by ESCO shall be sufficient, along with the required capital contribution by Xxxxxxxx County, to cover any and all annual fees to be paid by OWNER to ESCO for the provision of services as set forth at the outset of this Agreement, assuming energy rates in effect as of the time of execution of this Agreement as ESCO is not guaranteeing against fluctuations in energy rates. Notwithstanding anything else in this section 4.3, ESCO’s maximum liability for a breach of this section 4.3 shall be the Guarantee Payment set forth in Exhibit B.
ESCO Compensation and Fees. The ESCO’s fees and compensation ceilings are set forth in Schedule E (Compensation to ESCO). All pricing shall be transparent, shall incorporate actual (not estimated) equipment and labor costs, and shall be provided to the Customer and the KCC. In the event actual pricing cannot be obtained, the ESCO will provide an estimate based on engineering experience, RS Means, or similar methods. The annual Measurement and Verification scope and related cost may be changed, upon a notice 60 days in advance of the start of the next year.

  • Compensation and Expenses (a) As compensation for sourcing the Series Gallery Drop 116 Asset, the Asset Manager may be granted a sourcing fee equal to 3.57% of the total aggregate amount of Series Gallery Drop 116 membership interests that are sold in the Series’ offering under Regulation A of the Securities Act of 1933, as amended (the “Offering”), which the Asset Manager may waive in its sole discretion.
