ESD. The ESD agrees to protect, defend, indemnify and hold the District, its officers, agents and employees harmless from any and all claims and losses for bodily injury, including death, and/or property damage to the extent such claims or losses arise or result from the ESD’s negligent performance under this Agreement.
ESD. (a) CM shall conduct monthly ESD compliance audit and audit reports (results and corrective action and plan, if any) shall be submitted to HP on the first week of each month. (b) In the event that corrective action is required a re-audit shall be conducted upon completion of the implementation of the plan. Reports on implementation of corrective action, action items and plan must be attached to the ESD monthly report.

ESDInitiated transfers may be full or partial transfers, and they may be permanent or temporary. In the event the ESD is contemplating one or more ESD-initiated transfers and prior to any final decision, it will notify the Association President. This notification will include the number and FTE of the positions considered for transfer, the location(s) of the positions being considered for transfer (“from” and “to”), and a brief explanation of the need for the contemplated transfer. The ESD will meet with the Association upon request to consider the following: a. Alternatives to an ESD-initiated transfer; b. Who may be subject to the contemplated transfer; c.
