Examples of Confidential Information. For purposes of illustration, the Confidential Information may be contained in various media, including, without limitation, records of research data and observations, records and results of pre-clinical and clinical trials, patent applications, scientific manuscripts, posters or abstracts not yet published, regulatory filings, tests, test results, computer programs, manuals, plans, drawings, designs, specifications, supply and customer lists, internal financial data and other documents and records of the Disclosing Party, whether or not labeled or identified as “Confidential.”

Examples of Confidential Information. The Company provides the following list of Confidential Information by way of example, but this list is not intended to be exhaustive: inventions; technical information; algorithms, designs, concepts, systems, techniques, methods, models, procedures, or processes; know-how or methodologies; manuals, contracts, or reports; purchasing or accounting information; regulatory information and communications related thereto; financial history or projections; legal affairs; formulae; compositions; software or computer programs; research projects; business modes and information; the identity of all vendors, vendor lists, and vendor contact information; the identity of customers, customer lists, and customer contact information; pricing data; financial data; sources of supply; marketing plans and/or strategies, including price strategies, marketing, sales, technology, research and development, production, and merchandising systems or plans; and information pertaining to any aspect of any activity or business of the Company or its vendors, suppliers, distributors, or customers, including, without limitation, information entrusted to the Company by third parties (including vendors, customers, and prospective vendors or customers), or any trade secrets, proprietary or confidential matter of the Company or of such third parties.
Examples of Confidential Information. By way of example and not limitation, Confidential Information includes any and all information, whether or not meeting the legal definition of a trade secret, concerning Company’s: (i) marketing plans, business plans, strategies, forecasts, budgets, projections and costs; (ii) information concerning the directors, officers, employees, and agents of the Company; (iii) client, vendor and supplier lists; (iv) client, vendor and supplier needs, transaction histories, contacts, volumes, characteristics, agreements and prices; (v) promotions, operations, sales, marketing, and research and development; (vi) business operations, internal structures and financial affairs; (vii) systems and procedures; (viii) pricing structure of Company’s services and products; (ix) proposed services and products; and (x) contracts with other parties. I specifically acknowledge that Confidential Information includes all of the information defined above belonging or relating to clients of the Company. Confidential Information does not include information that has become widely known to the public, except where that information has become known through the improper disclosure by me. Notwithstanding anything to the contrary in this Agreement, however, Confidential Information includes any and all information that Company is obligated to maintain as confidential.
Examples of Confidential Information. Confidential Information includes, by way of example but not of limitation, such items as know-how, formulae, designs, schematics, pricing or cost information, telephone lists, salary and compensation information, inventions, research projects, plan for future development and any other information of a similar nature. Confidential Information also includes the Work Product (as defined in Section 3.1 below), as well as confidential or proprietary information of a third party to whom Company owes a duty of confidentiality or non-use.
Examples of Confidential Information. Confidential Information includes, but is not limited to: product information and designs, computer programs, unpatented inventions, discoveries or improvements; marketing, sales, organizational, financial, operating, research and development, and business plans; company policies and manuals; sales forecasts; personnel information (including the identity of Genaissance employees, their responsibilities, competence and abilities, and compensation); medical information about employees; pricing and nonpublic financial information; customer or client lists and information on customers, clients or their employees; information concerning planned or pending acquisitions or divestitures; and information concerning purchases of major equipment or property.

If you have any questions as to whether certain information falls within the scope of Confidential Information, you must treat such information as Confidential Information unless told otherwise in writing by the CEO. Any violation of confidentiality seriously injures the reputation and effectiveness of the Company. Therefore, please do not discuss the business of the Company with anyone who does not work for the Company, and never discuss business transactions with anyone who does not have a direct association with the transaction. Even casual remarks can be misinterpreted and repeated. Your employment with the Company and your obligations under this Agreement require that you to maintain confidentiality, even after you leave our employ. THIS NON-COMPETITION AGREEMENT (this “Agreement”), is dated as of _________________, 20[10], by and between MMAC, LLC, a Delaware limited liability company (the “Buyer”), and [Xxxxxxx X. Xxxxxxx][Xxxxx X. Xxxxxxx] (the “Covenantor”). Capitalized terms not otherwise defined herein shall have the meanings set forth in Asset Purchase Agreement. The Receiving Party may disclose Confidential Information if legally required to do so. In such cases, the Receiving Party will provide prior written notice to the Disclosing Party (if legally permitted) and take reasonable steps to limit the disclosure. EMode may disclose your Confidential Information for legal or regulatory compliance (subpoenas, court orders, etc.), legal proceedings involving EMode, or at your request (you may be responsible for associated costs).

Examples of Confidential Information. For purposes of illustration, the Confidential Information may be contained in various media, including, without limitation, records of research data and observations, records and results of preclinical and clinical trials, patent applications, regulatory filings, computer programs, manuals, plans, drawings, designs, specifications, supply and customer lists, internal financial data and other documents and records of GTC or LFB, whether or not labeled or identified as “Confidential” or prepared in full or in part by GTC or LFB. If either Party shall be obligated to provide testimony or records regarding the other Party in any legal or administrative proceeding, then the other Party shall reimburse the Party providing such records and/or testimony, out-of-pocket costs therefore plus an hourly fee for its employees or representatives equal to the internal fully burdened cost to GTC or such employee or representative.
