Exit Planning. The Grant Recipient will, in conjunction with the Authority, maintain, and as necessary update, the Exit Plan throughout the Funding Period so that it can be implemented immediately, if required. From time-to-time either the Authority or the Grant Recipient may instigate a review of the Exit Plan.
Exit Planning. 5.6.1 The Supplier shall, within three months after the Commencement Date, deliver to the Customer a plan (the "Exit Plan") which sets out the Supplier's proposed methodology for achieving orderly transition of the Services from the Supplier to the Customer and/or the Replacement Supplier on the expiry or termination of this Contract. Within 30 days after submission of the draft Exit Plan (or any revised Exit Plan) the parties will use their reasonable endeavours to agree its content and if they are unable to reach agreement then the dispute shall be referred to the Dispute Resolution Procedure. The Supplier will review and update the Exit Plan within one month of each anniversary of the Commencement Date. The Supplier shall ensure that the Exit Plan shall include as a minimum:
5.6.1.1 a detailed description of how the Services will be ceased and transferred to the Customer and/or the Replacement Supplier as the case may be;
5.6.1.2 details of the management structure to be employed by the Supplier to effectively transfer the Services to the Customer and/or Replacement Supplier as the case may be;
5.6.1.3 details of how relevant knowledge will be transferred to the Customer and/or the Replacement Supplier;
5.6.1.4 The Supplier shall co-operate fully with the Customer in order to enable an efficient and detailed knowledge transfer from the Contractor to the Authority on the completion or earlier termination of the Contract and in addition, to minimise any disruption to routine operational requirements. To facilitate this transfer, the Contractor shall provide the Authority free of charge with full access to its Staff, and in addition, copies of all documents, reports, summaries and any other information requested by the Authority. The Contractor shall comply with the Authority‟s request for information no later than fifteen (15) Working Days from the date that that request was made.
Exit Planning. After the fourth, but prior to the fifth, anniversary of the Closing Date, at the Unilever Stockholder’s reasonable request, the Company and the Unilever Stockholder shall meet in good faith from time to time to discuss possible exit strategies with respect to the sale or repurchase of the Unilever Shares and the Notes then beneficially owned by the Unilever Group Members; provided, however, that no such meetings or discussions shall be binding in any respect.

Within thirty (30) Working Days after submission of the draft Exit Plan (or any revised Exit Plan) the Parties will use their reasonable endeavours to agree its content and if they are unable to reach agreement then the dispute shall be referred to the Dispute Resolution Procedure. The Supplier will review and update the Exit Plan within one (1) Month of each anniversary of the Commencement Date and shall comply with the exit planning provisions as set out in Schedule 8.

The Supplier shall ensure that the Exit Plan shall include as a minimum: a detailed description of how the Services will be ceased and transferred to the Contracting Body and/or the Replacement Supplier as the case may be; details of the management structure to be employed by the Supplier to effectively transfer the Services to the Contracting Body and/or Replacement Supplier as the case may be; and details of how relevant knowledge will be transferred to the Contracting Body and/or the Replacement Supplier. The Supplier shall provide such support and assistance as is required in order to achieve a smooth transfer of the Services to the Customer or a Replacement Supplier before and after the expiry or termination of the Contract ("Transitional Assistance") as specified by the Contracting Body prior to or within 90 days following the occurrence of termination or expiry of the contract. The Contracting Body shall reimburse the reasonable costs incurred by the Supplier in providing the Transitional Assistance, provided the Supplier notifies the Contracting Body of such costs in advance and the Supplier is not obliged to provide the Transitional Assistance under any other contractual obligation.

Exit Planning. 29.1 The Contractor will during the Mobilisation Period prepare the Exit Plan and deliver it to the Authority for its Approval in accordance with paragraph 3 of Schedule 12 (Exit Plan).
29.2 The Exit Plan will set out the respective obligations of the Authority and the Contractor to facilitate an orderly transfer of the Services to the Authority or a Replacement Contractor and will, without limitation, include those matters set out in Schedule 12 (Exit Plan).
29.3 Once the Authority Approves the Exit Plan it will be adopted as the Exit Plan and will be held under the control of the Authority’s Engineer.
29.4 The Exit Plan will be reviewed and amended from time to time in accordance with paragraphs 3.3 and 3.4 of Schedule 12 (Exit Plan).
Exit Planning. 4.1 The Operator shall in conjunction with the Authority maintain, and as necessary update, the Exit Plan throughout the period of this Agreement so that it can be implemented immediately, if required. From time-to-time either the Authority or the Operator can instigate a review of the Exit Plan. Any revision following such review shall be implemented via the Change Control Procedure.
4.2 The Operator shall co-operate with all reasonable requests made by either the Authority or a New Operator relating to exit transition arrangements.
Exit Planning. 34.1 The Contractor shall during the Mobilisation Period, prepare the Exit Plan and deliver it to the Authority for its approval in accordance Schedule 10.
34.2 The Exit Plan will set out the respective obligations of the Authority and the Contractor to facilitate an orderly transfer of the Services to the Authority or a Replacement Contractor and will, without limitation, include those matters set out in Schedule 10.
34.3 Once the Authority Approves the Exit Plan it will be adopted as the Exit Plan and will be held under the control of the Engineer.
34.4 The Exit Plan will be reviewed and amended from time to time in accordance with the applicable provisions of Schedule 10 or otherwise via the Change Control Procedure.
Exit Planning. If a tenant is moving out of the building, Grantee shall engage tenant in exit planning to support the tenant’s successful transition out of the program. The exit plan shall depend on the tenant’s needs and preferences, and may include establishing a link to services in the community.
