Audit Access. The Contractor shall provide access to its facilities, including those of any Subcontractors, to the County, the state and/or federal agencies or officials at all reasonable times in order to monitor and evaluate the Work provided under this Contract. The County shall give reasonable notice to the Contractor of the date on which the audit shall begin.
Audit Access. The Vendor shall grant reasonable access to all paper and electronic records, books, documents, accounting procedures, practices and any other items relevant to the performance of this Master Agreement the auditors designated by TAMUCC, including auditors of the State Auditors' Office and of the United States.
Audit Access. 37.1 The Contractor shall grant to the Purchaser, any auditors of the Purchaser (including internal auditors and Audit Scotland and any other organisation or body which may from time to time have cause to audit the accounts of the Purchaser) and any other person authorised by the Purchaser (together the “Auditors”) access to all of the Records and shall provide reasonable assistance at all times to the Purchaser or the Auditors (including the provision of such oral and written explanations as the Purchaser or the Auditors may require in relation to the Records, all for the purposes of enabling the Purchaser or the Auditors:
37.1.1 to carry out an audit of the Contractor’s compliance with the Contract;
37.1.2 to carry out an audit of all activities carried out and security precautions taken in connection with the performance of the Contract;
37.1.3 to prepare, audit, examine and certify the accounts of the Purchaser; or
37.1.4 to conduct any audit or investigation by Audit Scotland or any other auditor.
37.2 The Contractor shall be repaid any reasonable expenses properly and necessarily incurred in giving such reasonable assistance.
37.3 Without prejudice to Clause 37.1, in the event of an investigation into suspected fraudulent activity or other impropriety by any Contractor Party or Contract Worker:
37.3.1 the Purchaser and/or the Auditors may without notice enter any premises of any Contractor Party and take access to the Records, which shall be made available to them (whether they are held at such premises or otherwise) by the Contractor or Contractor Party;
37.3.2 the Contractor shall render all necessary assistance to the conduct of such investigation (including the provision of office accommodation and the provision of such oral and written explanations as the Purchaser or the Auditors may require in relation to the Records or any other subject of investigation or enquiry by the Purchaser or the Auditors); and
37.3.3 the Contractor shall be paid any reasonable expenses properly and necessarily incurred in giving such necessary assistance in the event that the result of such investigation is that no fraudulent activity or other impropriety by a Contractor Party or a Contract Worker is found (but not otherwise).
37.4 The Purchaser shall ensure that any representative of the Purchaser given access to any premises or Records by the Contractor in accordance with Clause 37.3.1 causes the minimum amount of disruption to the business of the Contractor.
Audit Access. The Operator shall allow the Authority all reasonable access to its records in order to verify the accuracy of the Project Accounts and/or Regular Reports, and the Operator is otherwise subject to the audit requirements set out in this Agreement. 2008-03-05 CLG EPC - Services Agreement Final.DOC 39 Authority RFC a RFC issued by the Authority; CCN a change control notice issued by the Authority to the Operator confirming acceptance of the Change Response (as agreed or determined pursuant to the Dispute Resolution Procedure) or the Operator's RFC (as modified) as the case may be; Change Response the Operator's response to an Authority RFC prepared in accordance with Paragraph 8.1 below; Financial Consequence details of the financial consequences of a proposed Change produced in accordance with Paragraph 8.4 below and to be taken into consideration in the Review Process; Impact Assessment an impact assessment produced in accordance with Paragraph 8.2 below; Operator RFC a RFC issued by the Operator; Transition Plan a plan for the implementation of a Change produced in accordance with Paragraph 8.3 below;
Audit Access. 39.1 The Contractor shall co-operate fully and in a timely manner with any reasonable request from time to time of any auditor (whether internal or external) of the Council and at the expense of the Contractor to provide documents, or to procure the provision of documents, relating to the Services, and to provide, or to procure the provision of, any oral or written explanation relating to the same.
Audit Access.
32.1 The CONTRACTOR (and any person acting on the CONTRACTOR’s behalf) shall keep, or cause to be kept, full and accurate financial and other performance records of all products used and services exclusively performed in connection with this Agreement (all such information herein referred to as the “Records”). The CONTRACTOR shall ensure that Subcontractors during the term hereof in connection with the performance of the Services shall also keep or cause to be kept full and accurate Records and shall grant and allow the same rights of access and accept the same obligations to provide information as are granted, allowed and/or accepted by the CONTRACTOR under this clause 32.
32.2 Except where specifically provided in this clause 32, neither the CONTRACTOR nor its CONTRACTOR Personnel or other representatives shall be entitled to reimbursement by the AUTHORITY for any costs or expenses incurred as a result of compliance with their respective obligations hereunder.
32.3 The CONTRACTOR shall, and shall procure that its Subcontractors shall, grant to the AUTHORITY or its authorised agents or any other Government body (subject, in the case of authorised agents or other Government body (except for such bodies referred to in clause 32.5) to execution of a confidentiality undertaking in favour of the CONTRACTOR on the terms set out in Schedule 25) the right of access at all reasonable times to inspect and take copies from the Records and/or any sites and/or premises and/or personnel connected with the provision of the Services and shall provide all reasonable assistance at all times during the Term (and for eighteen (18) months after the date of termination or expiry, for whatever reason, of this Agreement) for the purposes of allowing the AUTHORITY to obtain such information as is necessary to:
(A) fulfil the AUTHORITY’s obligations to supply information for parliamentary, judicial or other administrative purposes; and/or
(B) audit the CONTRACTOR’s compliance with its obligations under the Agreement;
(C) carry out physical audits of the Assets involved in the delivery of the Services, whether or not they are listed on the Asset Register; and/or
(D) audit all activities, security and integrity in connection with the provision of the Services.
32.4 Without prejudice to the foregoing, in the event of an investigation into suspected fraudulent activity, other impropriety or Default by the CONTRACTOR, or any CONTRACTOR Personnel, in connection with this Agreement or ...
Audit Access. The FOUNDATION agrees to abide by the audit access provisions in Section 18-1-118, MCA.
Audit Access. The Contractor shall provide to the Authority's Representative all information, documents, records and the like in the possession of, or available to, the Contractor and to this end the Contractor shall use all reasonable endeavours to procure that all such items in the possession of the Contractor or any sub-contractor shall be available to it and the Contractor shall (and shall procure that the sub-contractors shall) include appropriate terms in contracts with all sub-contractors to this effect as may be reasonably requested by the Authority's Representative for any purpose in connection with this Agreement. NO AGENCY No Partnership or Employment Nothing in this Agreement shall be construed as creating a partnership or as a contract of employment between the Authority and the Contractor. Power to Bind Save as expressly provided otherwise in this Agreement, the Contractor shall not be, or be deemed to be, an agent of the Authority and the Contractor shall not hold itself out as having authority or power to bind the Authority in any way. Deemed Knowledge Without limitation to its actual knowledge, the Contractor shall for all purposes of this Agreement, be deemed to have such knowledge in respect of the Project as is held (or ought reasonably to be held) by any Contractor Related Party.
Audit Access. 20.1 The Contractor shall keep and maintain until 6 years after the Contract has been completed, or as long a period as may be agreed between the Parties, full and accurate records of the Contract including the Services provided under it, all expenditure reimbursed by UK Sport and all payments made by UK Sport. The Contractor shall, on request, afford the UK Sport or UK Sport’s representatives (including the National Audit Office, Comptroller Auditor General, or other professional advisors) such access to those records as may be required by UK Sport in connection with the Contract.
20.2 The Contractor shall co-operate fully and in a timely manner with any reasonable request from time to time of any auditor (whether internal or external) of UK Sport and at the expense of the Contractor to provide documents, or to procure the provision of documents, relating to the Services, and to provide, or to procure the provision of, any oral or written explanation relating to the same.
Audit Access. 5.1 The Contractor shall keep and cause its subcontractors to keep, in accordance with generally accepted accounting practices, books, records and accounts pertaining to performance of the Wo rk, necessary for an accurate audit.
5.2 For the purpose of verifying that service or materials were delivered to the County and that charges were properly made in accordance with the terms of this Contract or for verifying the Contract or's compliance with this Contract, including matters relating to Article 9, the County shall have access at all reasonable times to f iles, data, correspondence, computer files, books and accounting records relating in any manner to the Wo rk rendered by the Contractor under the Contract for a period of two (2) years following completion of the Work. In any permitted subcontract, the Contractor shall include terms allowing the County the same aud it access with respect to any permitted subcontractors. The Contractor and subcontract or will allow the County to make copies of all documentation set out in this Section 5.2.
5.3 If an audit indicates errors in the Contractor's invoices, the Contractor shall make ap propriate invoice adjustments and promptly refund overpayments to the County.
