Extension of Agreement Term. The Term is hereby extended to March 31, 2021, unless otherwise terminated in accordance with the terms of the Agreement.
Extension of Agreement Term. On or before the termination date of the Initial Term or any current extension term of this Agreement, the parties may mutually agree to extend the then existing term (an “Extension Term or Extended Term”). The Extension Term shall begin on the expiration of the then existing term and continue for twelve (12) months thereafter, unless otherwise terminated earlier as set forth herein. All terms, covenants, and provisions of this Agreement shall apply to each such Extension Term.
Extension of Agreement Term. Asia Netcom may, at its option, extend the Term of this Agreement at fair market pricing to be mutually agreed by both parties for one (1) subsequent period of three (3) years by delivering written notice to EAN Network no later than three (3) months in advance of the expiration of the initial Term. All other terms and conditions of this Agreement shall apply during any such extension. Any such extension is subject to the transactions contemplated under this Agreement complying with the relevant provisions of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited governing connected transactions at the time of the extension and that The Stock Exchange of Hong Kong Limited granting a waiver from the announcement and independent shareholders’ approval requirements with respect to the transactions contemplated under this Agreement, where necessary.
Extension of Agreement Term. The Agreement is hereby amended by deleting the second sentence of Section 1 and replacing it with the following: “The term of employment of Executive under this Agreement (the “Term”) shall be the period commencing on the Effective Date and ending on June 1, 2020, as may be extended in accordance with this Section 1 and subject to earlier termination in accordance with Section 4.”
Extension of Agreement Term. Section 9 of the Agreement is hereby amended and restated in its entirety as follows:
Extension of Agreement Term. The Term of this Agreement as set forth in Section 9.3 (and 9.4, if applicable) shall automatically be extended for the period of time in which the Parties are engaged in dispute resolution to the degree that such extension of the Term is reasonably required because activities which would have been completed prior to the expiration of the Term are delayed beyond the scheduled expiration of the Term as the result of such dispute resolution.
Extension of Agreement Term. The Agreement term is extended for a period of one year as to any property which during the term of this Agreement was: 1) located or negotiated for by Broker, Xxxxxx's agent, Buyer or any person acting on behalf of Buyer, or 2) which was the subject of a written offer to purchase submitted by Buyer or any person acting on behalf of Buyer. If this extension is based on Broker's or Xxxxxx's agent's location or negotiation, this extension shall only be effective if a written description of the property is delivered to Buyer no later than three days after expiration of this Agreement.
Extension of Agreement Term. The Extension Term, as defined in this Agreement, shall take effect automatically, unless Donnelley has failed to meet the minimum number of the Extension KPIs (as defined herein) specified in Schedule 6.3 and Publisher has notified Donnelley of such failure in accordance with this Section 6.3. The parties have agreed upon certain performance indicators, which are set forth in the Extension Key Performance Indicators Schedule attached hereto as Schedule 6.3 (the "Extension KPIs"). The following provisions shall govern the Publisher's evaluation of Donnelley's performance of the Extension KPIs and the impact of that performance upon the Extension Term:
(a) At the conclusion of the 2006 annual business cycle under this Agreement, but in no event later than March 31, 2007, the parties shall conduct a review of Donnelley's performance of the Extension KPIs during each of the 2003, 2004, 2005, and 2006 annual business cycles (the "Extension KPI Review"). The purpose of the Extension KPI Review shall be to determine if Donnelley has met or exceeded the minimum number of Extension KPIs specified in Schedule 6.3. In conducting the Extension KPI Review, the parties shall promptly devote adequate resources and provide all information needed to conduct a full and comprehensive review of Donnelley's performance.
(b) If, as a consequence of the Extension KPI Review, Publisher demonstrates that Donnelley has failed to meet or exceed the minimum number of Extension KPIs specified in Schedule 6.3 during the time periods indicated therein, then the Extension Term shall not become effective, and this Agreement shall terminate at the conclusion of the Initial Term, as defined herein, subject to the following procedures:
1. Within thirty (30) days of the completion of the Extension KPI Review, Publisher shall deliver to Donnelley a written termination notice ("Publisher's Termination Notice"). Publisher's Termination Notice shall specify: which Extension KPIs Donnelley has failed to meet; describe the nature and particulars of, and the basis upon which Publisher asserts, the failure; and advise Donnelley that this Agreement will terminate at the end of the Initial Term.
2. This Agreement shall thereafter terminate at the end of the Initial Term, unless, within thirty (30) days of Donnelley's receipt of Publisher's Termination Notice, Donnelley notifies Publisher in writing that Donnelley is disputing Publisher's Termination Notice. Extension of Agreement Term. The Obligee, the Obligor and the Participants may, upon the written request of the Obligor and at the sole discretion of the Obligee and the Participant, agree to extend the Basic Tenn for all, but not less than all, Assets subject to this Agreement for an additional period or additional periods on terms (including without limitation, with respect to amounts of Basic Hire payable by the Obligor during such period or periods) mutually agreed to by the Obligor and the Obligee, and upon the effectiveness of any such extension, the Termination Date shall automatically be extended to the last day of the Term for all purposes of the Operative Documents.
Extension of Agreement Term. Provided that Lessee is not in default of this Agreement and subject to County consent, which consent may be withheld at County’s sole discretion, Lessee may request an extension of the Term of this Agreement for ( ) additional term of ( ) years (each additional term, an “Extension Period”), subject to all original agreements, considerations, covenants, and conditions of this Agreement, except for the Rent (defined in Section 3.1) which shall be subject to adjustment at the beginning of the initial Agreement Year of the Extension Period pursuant to Section 3.2 Rent Adjustments of this Agreement. To request an Extension Period, Lessee must provide County with written Notice (defined in Section 16.1) no less than one hundred twenty (120) days and no more than three hundred sixty-five (365) days prior to the expiration date of the Term of this Agreement. If County does not consent to or deny a request for an Extension Period in a written Notice within ninety (90) days prior to the expiration date of the Term, the request will be deemed denied. If the Extension Period is approved by County, the Extension Period shall begin the day following the expiration of the Term and all references to the Term in this Agreement shall include the Extension Period.
