Formal Documentation. Contractor agrees to provide formal documentation for the use, maintenance and secure implementation of Contractor’s Product or System(s). Product or System(s) documentation will be updated within thirty (30) days of a product update, upgrade, patch, or similar change. Product or System(s) documentation will include an inventory of all components, configurations, and dependencies.
Formal Documentation. Any new Service or change to Service referred to in sub-section 1.1 above shall take effect as from the date specified in the formal documentation giving effect to such new Service or change and in accordance with the terms of such documentation.
Formal Documentation. 14.1 Neither the Licensees nor the Licensors will be bound by any other document (including all forms of correspondence and electronic documents) purporting to form part of the Licence or any amendment or variation of the Licence unless it is duly executed.
14.2 The Licence represents the entire agreement between the Parties relating to the licence of the Property and supersedes any previous agreements between the Parties relating to it. Neither of the Parties has been induced to enter into the Licence on account of any prior warranties or representations made which are not embodied in the Licence and no representation, warranty or undertaking of any description in respect of the Property, whether in relation to title, state of repair, compliance with statutes or other matters, the existence of local authority or other proposals or orders, or otherwise, is given in the Licence except insofar (if at all) as expressly stated in the Licence.
Formal Documentation. M-MC has been informed that the current exploitation of the Saindak mine is through a 10 year rental agreement between the Balochistan government and MCC, signed on the 28th of April 2005. This agreement covers access, development and the royalty and rental payments due to the government as well as terms of the lease with respect to rehabilitation and environmental protection. Rental costs have been reported by the Company as USD 500,000 per annum. M-MC provides this information for reference only and recommends that land titles and ownership rights be reviewed by legal experts.
Formal Documentation. The Parties must promptly do all acts and things and execute all documents necessary for the purposes of vesting ownership of Intellectual Property in accordance with this clause 3.7.
Formal Documentation. Within seven (7) business days following the unconditional acceptance of this Offer, the Sublandlord agrees to prepare and deliver to the Subtenant a sublease agreement (the "Sublease"), which shall incorporate the provisions of this Offer and the underlying provisions of the Lease, except for the amount of Basic Rent, rights of renewal, rights of expansion, rights of first refusal, rights of termination and such other similar rights. The Subtenant shall execute and return the Sublease to Sublandlord within five (5) business days from the date of receipt, and in any event prior to obtaining possession of the Subpremises. It is acknowledged that the Landlord must approve the Sublease, to confirm that the terms in the Sublease conform to the terms in this Offer. The Sublease will contain a condition to allow for the obtaining of the Landlord's confirmation.

Formal Documentation. 4.1 Commitments are Conditional: This Memorandum of Understanding is not legally binding and is intended to reflect the understanding of the Parties and their good faith intentions with respect to achieving a northern mining workforce for the Diamond Mines.
4.2 This Memorandum of Understanding is not intended to and does not create legally binding obligations in respect of implementing any particular strategy, activity or initiative as recommended by the Working Committee and/or Strategic Executive Committee. The Parties intend that all commitments as set out herein or in any notice of intention to proceed with any particular activity, strategy or initiative are subject to agreement and the negotiation, entering into, execution and delivery of definitive and formal legal documentation of such terms. The Parties will co-operate in good faith to settle, execute and deliver such agreements as expeditiously as possible.
Formal Documentation. By October 16, 2013 or such other date mutually agreed to by the parties in writing, the parties will negotiate in good faith, the following:
a. a share purchase agreement (the “Definitive Agreement”) among DZ Mexico, Vista, DZ Canada, Granges and Invecture, which will include and be based on the terms set out herein and will contain representations, warranties, conditions and covenants that are reasonable and customary, including (i) that all of the Shares will be transferred to Invecture or its nominee upon the execution of the Definitive Agreement; (ii) that the amount of the Debt equal in percentage to the percentage of the Purchase Price paid as of the date of the Definitive Agreement will be acquired by the Third Party upon the execution of the Definitive Agreement; and (ii) that the balance of the Debt will be acquired by the Third Party upon the payment of the Second Payment, subject to the termination right in Section 3 above. The Definitive Agreement will supersede this Terms of Agreement and will be in a form and substance satisfactory to each of Invecture and Vista, acting reasonably;
b. an agreement to sell the Debt;
c. an agreement to terminate the Earn-In Agreement; and
d. documentation to dissolve the trust created on February 7, 2012 by the Contrato de Fideicomiso Irrevocable de Administración y Control Accionario Identificado con el No. 1227 (the “Trust”). The parties agree to work together to make adjustments (reasonably requested) to the transactions contemplated herein to accommodate tax advice received by the parties; provided that such adjustments do not materially adversely affect the party accommodating the request.
