General Disputes i. In the event of a dispute unrelated to the dispute of an invoice, Grantee shall first attempt to resolve the dispute with the Grant Manager.
ii. Both parties shall deal in good faith and attempt to resolve the dispute informally.
iii. Grantee shall continue to meet its responsibilities and obligations under the terms of this Grant Agreement during a dispute.
iv. If Grantee contests the decision made by the Grant Manager, Grantee shall submit a written “Notice of Dispute” on official letterhead, according to Subsection C below.
General Disputes. 8.1 It is agreed that the STI Committee shall decide any dispute, difference or question as to the meaning or effect of Section 6.1, 6.2, 6.10 and 6.11 of this Agreement, and its decision shall be final and binding upon all persons affected, directly or indirectly, by the decision.
General Disputes. You agree that in the event of a dispute, claim or controversy arising between you and us in regard to our Online Services that we will both agree to resolve the dispute by looking to this Agreement. You and we agree that this Agreement is the complete and exclusive statement of the agreement between us and you, which supersedes any proposal or prior agreement, oral or written and any other communications between us and you relating to the subject matter of this Agreement. If there is a conflict between the terms of this Agreement and something stated by an employee or contractor of ours (including but not limited to its customer service personnel), the terms of this Agreement will prevail.
General Disputes. 1. In the event we are unable to resolve any complaint you may have then you have the right of appeal to the British Vehicle Rental and Leasing Association (‘BVRLA’) which is approved by the UK Government for resolution of consumer disputes relating to car rentals that take place in the UK. 2. A notice required or permitted to be given by either party to the other under this Agreement will be in writing addressed to that other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice.
3. No waiver by us of any breach of the Agreement by you will be considered as a waiver of any subsequent breach of the same or any other provision.
4. If any provision of the Agreement is held by a court or other competent authority to be invalid or unenforceable in whole or in part of the validity of the other provisions of the Agreement and the remainder of the provision in question will not be affected
5. The Agreement will be governed by the laws of England, and you agree to submit to the exclusive jurisdiction of the English courts.
6. We will be entitled to assign its rights and obligation under this Agreement to any third party or to novate this agreement in whole to any third party. You will not purport to assign any rights or obligations arising under this Agreement to any third party.
General Disputes. In the event of a dispute between Concessionaire and any other Airport tenant or concessionaire as to the services to be offered or products to be sold at the any Unit, Concessionaire shall meet and confer with CEO and, CEO shall determine the services to be offered or products to be sold by each, and any decision by CEO shall be final and binding upon Concessionaire and such other Airport tenant or concessionaire.
General Disputes a. If a Customer Contract includes a service level guarantee that deals with a dispute between us, the dispute must be dealt with according to that service level guarantee.
b. If you dispute an invoice, the dispute must be dealt with under clause 21.
c. Otherwise, if you have a dispute with us then you must notify us by notice in writing which must:
I. be given to us within 14 days of the date of the invoice;
II. clearly identifies you and the invoice you dispute;
III. detail the grounds of your dispute.
d. We will acknowledge your notice within 7 days.
e. You must still pay all invoices by their due date.
General Disputes. (a) The Seller, on the one hand, and the Purchaser, on the other hand, shall attempt in good faith to resolve any dispute, controversy or claim between them arising out of or relating to this Agreement, including any dispute over the breach, termination, interpretation, or validity hereof (the “Dispute”). Each party may request through written notice that the Dispute be referred to senior executives of the parties who have authority to resolve the Dispute. The executives shall attempt to resolve the Dispute by agreement within thirty (30) days of such notice. In attempting to resolve the Dispute the parties shall not be waiving and shall not be deemed to have waived any rights which they may have under this Agreement or otherwise as a result of the resolution of a Dispute pursuant to this Section 15.1.
(b) If the parties to the Dispute are unable to resolve the Dispute as provided in Section 15.1(a), then the Dispute shall be resolved in accordance with this Section 15.1(b) unless the parties otherwise agree to an alternative dispute resolution procedure. All Actions arising out of or relating to the Transaction Documents shall be heard and determined exclusively in any New York federal court sitting in the Borough of Manhattan of The City of New York; provided, however, that if such federal court does not have jurisdiction over such Action, such Action shall be heard and determined exclusively in any New York state court sitting in the Borough of Manhattan of The City of New York; provided, further that to the extent that any Action has an indispensable party that is not subject to jurisdiction in the State of New York, such Action will be heard and determined in a court with jurisdiction over such Person. Consistent with the preceding sentence, the parties hereto hereby (a) submit to the exclusive jurisdiction of any federal or state court sitting in the Borough of Manhattan of The City of New York for the purpose of any Action arising out of or relating to this Agreement brought by any party and (b) irrevocably waive, and agree not to assert by way of motion, defense, or otherwise, in any such Action, any claim that it is not subject personally to the jurisdiction of the above-named courts, that its property is exempt or immune from attachment or execution, that the Action is brought in an inconvenient forum, that the venue of the Action is improper, or that this Agreement or the transactions contemplated by this Agreement may not be enforced in or by a...
General Disputes. 25.1 If a contract includes a service level agreement that deals with a dispute between us, the dispute must be dealt with according to that service level agreement.
25.2 If you dispute an invoice, the dispute must be dealt with under clause 24.
25.3 Otherwise, if you have a dispute with us then you must notify us by notice in writing which must:
25.3.1 be given to us within 14 days of the date of the invoice or event relating to the dispute;
25.3.2 clearly identify your dispute;
25.3.3 detail the grounds of your dispute.
25.4 We will acknowledge your notice within 14 days
25.5 You must still pay all invoices by their due date
General Disputes. Except as provided in Section 5.7.4.2, each Party shall timely notify the other Party of any Tax examination, refund claim, dispute, or proceeding involving Taxes subject to Section 2.7 or 5.7.1 and allow the other Party to participate in the resolution of such action (at each Party’s own expense) and shall not settle such action without the other Party’s consent. Each Party shall timely notify the other Party of any Tax examination, refund, claim, dispute, or proceeding involving Taxes relating to the allocation of Purchase Price provided for in Section 2.8, provided that in no event shall Buyer have access to any federal, state or local income Tax Returns of Seller or any of its Affiliates.
General Disputes. In the event of a dispute between the parties arising ----------------- under or relating to this Agreement, excluding any disputes related to Sections 12.3 and 16.6, which cannot be amicably resolved within five (5) Business Days by the individuals appointed pursuant to Section 2.7 and Section 3.1 hereof, such dispute shall be referred to a representative of senior management of the parties hereto for resolution. If senior management of the parties cannot amicably resolve the dispute within ten (10) Business Days the dispute shall be submitted to arbitration pursuant to Section 13.2.
