Grant; Limitations. Subject to the observance by Customer of the terms and conditions of this Agreement, AvePoint hereby grants to Customer and Customer hereby agrees to pay for a non-exclusive, non-transferable (except as set forth in Section 12.5) license to use the Licensed Property as set out in the applicable Order solely for Customer’s Internal Use in accordance with the terms set forth on the applicable Addendum hereto and the applicable Documentation delivered with the Software (the “License”).

Customer may copy, modify, and create derivative works based upon the Licensed Property solely (i) for the use of the Licensed Property in accordance with contractual purposes, or (ii) for trouble shooting if, de- spite a written request by Xxxxxxxx, AvePoint has not offered to rectify the defect within a reasonable period of time and on reasonable terms, or, if Customer has accepted a corresponding offer by AvePoint, AvePoint has not begun to rectify the default within a reasona- ble period of time and after a deadline set by Cus- tomer; provided, that, any such modifications and/or derivative works shall be Licensed Property subject to the terms and conditions of this Agreement.

The District will not disclose or make available any software or documentation associated with this Agreement to any parties or persons not using the same on behalf of the District.
