Holding Fees. Other than as permitted by the Stockholders Agreement, the aggregate fees (but not including any expense reimbursements) payable to Xxxxx and its affiliates (1) in connection with the consummation of the transactions contemplated by this Agreement, the Merger Agreement and the other agreements contemplated hereby and thereby and (2) in connection with any agreements (including financial advisory agreements) to be entered into between the Company and Xxxxx and its affiliates in connection with the Closing will not exceed the amounts set forth in Section 5.16 of the Merger Agreement.
Holding Fees. The holding fee may be credited against the use fees incurred in an 8-week cycle of use. Per Section 31.E, if Producer fails to pay the holding fee due within the 8-week dealer cycle, all further right of Producer to use the commercial shall cease and terminate, and the principal performer is automatically released from all contractual obligations with respect to the commercial.
Holding Fees. 8.1 Upon receipt of a written request from the Caregivers, the Principal may in his/her discretion consent to the Student taking a leave of absence from the School. Where a leave of absence is granted to the Student for any period and the Student’s place is reserved pending their return, the Caregivers agree to pay a Holding Fee. A Holding Fee will also be payable if, at the Caregivers’ request, a confirmed place is held for the Student from the date the place is confirmed until the Student commences at the School.
8.2 Except in exceptional circumstances, a position will not be held for a period of more than one year. The Principal may at his/her discretion agree to alternate arrangements based on individual circumstances.
8.3 Holding Fees may not be offset against Tuition Fees upon the Student’s return to the School and are not refundable should the student fail to commence at, or return to, the School.
8.4 Holding Fees shall be payable as specified below, and subject to alteration from time to time at the Principal’s discretion:
a. For an absence of up to 4 weeks during a Term, or which spans 2 Terms – Full Tuition Fees are payable;
b. For an absence from 4 weeks to less than 1 full Term - 30% of the applicable year level Tuition Fees for each week of leave, after the initial four weeks of absence for which full Fees are payable;
c. For an absence from 1 full Term to 3 full Terms (whether during one academic year or which spans two academic years) - 30% of the applicable year level Tuition Fees per Term, for the duration of the Student’s absence;
d. If the Student is participating in international exchange programs to which the School has consented in writing for a period of up to one year – Nil;
e. For an absence of more than 3 Terms up to 4 full Terms (whether during one academic year or which spans two academic years) - 40% of the applicable year level Tuition Fees for the duration of the student’s absence;
f. For an absence of more than 4 Terms – at the discretion of the Principal.

Holding Fees. 8.1. You agree that after 3 months of Ellenby Tree Farm holding Deliverables pursuant to an order placed by You, a Holding Fee of 1.75% per deliverable at price, will be incurred weekly and payable by You.
8.2. Holding Fees must be paid monthly in advance.
Holding Fees. If your child is due to miss more than 2 sessions in a row, or greater than 5 sessions in a year, you will be given the option to pay a ‘holding fee’ of $50.00 in order to maintain your regular therapy time. If you choose not to pay this fee, your session time will not be held for your child, and you risk the chance of losing a regular or preferred therapy time. Please note that fees will be waivered in special circumstances (refer to ‘Special Circumstances’ in the Cancellation Policy)
Holding Fees. A holding fee will be charged for any childcare spot that is held for more than one week. The current holding fee rate is 35% of your contracted weekly rate. This holding fee rate applies to Maternity Leaves, Teacher’s summer leave of absence and holding a long-term Child Care spot. The decision to hold a childcare spot is up to the Provider and will be carefully considered based on enrollment capacity and current circumstances. You must complete and sign a Contract to Hold Child Care Agreement. A signed Child Care Enrollment Contract must accompany all Contract to Hold Child Care Agreements. Unless you are a teacher all holding fees are due upon signing. You will receive an invoice to be paid through Brightwheel. Holding a childcare spot beyond the expiration date is up to the discretion of the Provider and additional fees may apply. If you have a child currently enrolled in care, their normal rate will still apply weather they attend care or not during any leave of absence. If there is availability during the holding period your child may attend care, however, you will be required to pay the additional 65% of your fee at that time. You are not required to pay holding fees, however, if you choose not to, placement is unlikely and not guaranteed due to limited childcare spots. All holding fees are non-refundable and will not be refunded for any reason including your decision not to enroll. Holding fees cannot be used towards payment of any daycare fees. Failure to take a held spot within the 5 days of the expiration date will forfeit your childcare and the spot may be offered to someone else. Failure to comply with these terms and conditions may void your holding fee agreement and/or childcare.
Holding Fees i. A non-refundable holding fee totalling £200 is payable by the buyer within 48 hours of being offered a deposit waiting list place by the breeder to secure the place offered.
ii. This holding fee is only refundable where the breeder withdraws the offer of a waiting list place from the buyer.
iii. The holding fee is not refundable under any circumstances where the buyer choses to withdraw from the waiting list or no longer wants a puppy, except where clause 3.2 on this contract applies.
iv. Holding fees are deducted from the full price of a puppy.
