Leave of Absence Programs and FMLA. (a) Effective Immediately after the Distribution Date: (1) Tronox shall honor, and shall cause each Tronox Entity to honor, all terms and conditions of leaves of absence which have been granted to any Transferred Individual under a Xxxx-XxXxx Leave of Absence Program or FMLA before the Close of the Distribution Date by Xxxx-XxXxx, a Xxxx-XxXxx Entity, Tronox, or a Tronox Entity, including such leaves that are to commence after the Distribution Date; (2) Tronox and each Tronox Entity shall be solely responsible for administering leaves of absence and compliance with FMLA with respect to their employees; and (3) Tronox and each Tronox Entity shall recognize all periods of service of Transferred Individuals with Xxxx-XxXxx or a Xxxx-XxXxx Entity, as applicable, to the extent such service is recognized by Xxxx-XxXxx for the purpose of eligibility for leave entitlement under the Xxxx-XxXxx Leave of Absence Programs and FMLA; provided that no duplication of benefits shall be required by the foregoing. (b) As soon as administratively practicable after the Close of the Distribution Date, Xxxx-XxXxx shall provide to Tronox copies of all records pertaining to the Xxxx-XxXxx Leave of Absence Programs and FMLA with respect to all Transferred Individuals to the extent such records have not been provided previously to Tronox or a Tronox Entity.

Leave of Absence Programs and FMLA. Prior to the Distribution Date, Spinco shall assume and thereafter honor all terms and conditions of leaves of absence which have been granted to any Spinco Employees under a leave of absence program or FMLA by the AT Co. Group. After the Distribution Date, unless otherwise provided in the Transition Services Agreement, Spinco shall be solely responsible for administering leaves of absence and compliance with FMLA with respect to Spinco Employees. Spinco shall recognize all periods of service of Spinco Employees with the AT Co. Group, as applicable, to the extent such service is recognized by AT Co. Group for the purpose of eligibility for leave entitlement under an Alltel leave of absence program and FMLA.
Leave of Absence Programs and FMLA. (a) Patriot shall be responsible for administering compliance with the Patriot leave of absence programs and FMLA with respect to Patriot Employees. (b) Effective as of Immediately after the Distribution Date: (i) FRP shall adopt, and shall cause each member of the Real Estate Group to adopt, leave of absence programs; (ii) FRP shall honor, and shall cause each member of the Real Estate Group to honor, all terms and conditions of leaves of absence which have been granted to any FRP Employee under an FRP leave of absence program or FMLA before the Distribution Date, including such leaves that are to commence after the Distribution Date; (iii) Patriot and each member of the Transportation Group shall be solely responsible for administering leaves of absence and compliance with FMLA with respect to their employees; and (iv) FRP and each member of the Real Estate Group shall recognize all periods of service of each FRP Employee with the Real Estate Group to the extent such service is recognized by Patriot for the purpose of eligibility for leave entitlement under the Patriot leave of absence programs and FMLA. (c) As soon as administratively possible and not later than the Close of the Distribution Date, Patriot shall provide to FRP copies of all records pertaining to the Patriot leave of absence programs and FMLA with respect to all FRP Employees to the extent such records have not been provided previously to FRP or a member of the Real Estate Group.
Leave of Absence Programs and FMLA. Effective as of the Distribution Date, (a) the Spinco Group shall honor all terms and conditions of leaves of absence that have been granted by Pluto to any Spinco Employee under a Pluto Leave of Absence Program or FMLA or other applicable Law regarding leave of absence before the Distribution Date, including such leaves that are to commence after the Distribution Date; (b) the Spinco Group shall be solely responsible for administering any such leave of absence and complying with FMLA or other applicable Laws regarding leave of absence with respect to Spinco Employees; and (c) the Spinco Group shall recognize all periods of service of Spinco Employees with the members of the Pluto Group, as applicable, to the extent such service is recognized by the members of the Pluto Group for the purpose of eligibility for leave entitlement under the Pluto Leave of Absence Programs, FMLA and other applicable Laws.

(b) Effective as of the Close of the Distribution Date: (i) TopBuild shall adopt, and shall cause each member of the TopBuild Group to adopt, leave of absence programs; (ii) TopBuild shall honor, and shall cause each member of the TopBuild Group to honor, all terms and conditions of leaves of absence which have been granted to any TopBuild Employee under a Masco leave of absence program or FMLA before the Distribution Date, including such leaves that are to commence after the Distribution Date; (iii) Masco and each member of the Masco Group shall be solely responsible for administering leaves of absence and compliance with FMLA with respect to their employees; and (iv) TopBuild and each member of the TopBuild Group shall recognize all periods of service of each TopBuild Employee with the Masco Group to the extent such service is recognized by Masco for the purpose of eligibility for leave entitlement under the Masco leave of absence programs and FMLA. (c) As soon as administratively possible and not later than the Close of the Distribution Date, Masco shall provide to TopBuild copies of all records pertaining to the Masco leave of absence programs and FMLA with respect to all TopBuild Employees to the extent such records have not been provided previously to TopBuild or a member of the TopBuild Group.
Leave of Absence Programs and FMLA. (a) Effective Immediately after the Distribution Date: (i) Agere shall honor, and shall cause each Agere Entity to honor, all terms and conditions of leaves of absence which have been granted to any Transferred Individual under a Lucent Leave of Absence Program or FMLA before the Close of the Distribution Date by Lucent, Agere, or an Agere Entity, including such leaves that are to commence after the Distribution Date; (ii) Agere and each Agere Entity shall be solely responsible for administering leaves of absence and compliance with FMLA with respect to their employees; and (iii) Agere and each Agere Entity shall recognize all periods of service of Transferred Individuals with Lucent or a Lucent Entity, as applicable, to the extent such service is recognized by Lucent for the purpose of eligibility for leave entitlement under the Lucent Leave of Absence Programs and FMLA; provided, that no duplication of benefits shall be required by the foregoing. (b) As soon as administratively possible after the Close of the Distribution Date, Lucent shall provide to Agere copies of all records pertaining to the Lucent Leave of Absence Programs and FMLA with respect to all Transferred Individuals to the extent such records have not been provided previously to Agere or an Agere Entity.
Leave of Absence Programs and FMLA. Effective as of the Plan Transition Date, (i) the Versum Group shall honor all terms and conditions of leaves of absence that have been granted by Air Products to any Versum Employee under an Air Products Leave of Absence Program or FMLA or other applicable Law regarding leave of absence before the Plan Transition Date, including such leaves that are to commence after the Plan Transition Date; (ii) the Versum Group shall be solely responsible for administering any such leave of absence and complying with FMLA and other applicable laws regarding leave of absence with respect to Versum Employees; and (iii) the Versum Group shall recognize all periods of service of Versum Employees with the members or the Air Products Group, as applicable, to the extent such service is recognized by the members of the Air Products Group for the purpose of eligibility for leave entitlement under the Air Products Leave of Absence Programs and FMLA and other applicable Laws; provided, however, that no duplication of benefits shall be required by the foregoing.

(c) As soon as administratively possible and not later than the Close of the Distribution Date, Xxxxxx Oil shall provide to Xxxxxx USA copies of all records pertaining to the Xxxxxx Oil leave of absence programs and FMLA with respect to all Xxxxxx USA Employees to the extent such records have not been provided previously to Xxxxxx USA or a member of the Xxxxxx USA Group.
Leave of Absence Programs and FMLA. (a) Allocation of Responsibilities After Payroll Date. Effective as ------------------------------------------------- of the Payroll Date: (i) Agilent shall adopt Leave of Absence Programs which are substantially identical in all Material Features to the HP Leave of Absence Programs as in effect on the Payroll Date; (ii) Agilent shall honor all terms and conditions of leaves of absence which have been granted to any Agilent Employee under an HP Leave of Absence Program or FMLA before the Payroll Date by HP, including such leaves that are to commence after the Payroll Date; (iii) Agilent shall be solely responsible for administering leaves of absence and complying with FMLA with respect to Agilent Employees and Agilent Transferred Employees; and (iv) Agilent shall recognize all periods of service of Agilent Employees and Agilent Transferred Employees with the HP Group, as applicable, to the extent such service is recognized by the HP Group for the purpose of eligibility for leave entitlement under the HP Leave of Absence Programs and FMLA; provided, however, that no duplication of benefits shall, to the extent permitted by law, be required by the foregoing.

Effective as of the Distribution Date, Resources shall establish the Resources Leave of Absence Programs and FMLA programs and shall be responsible for administering leaves of absence and complying with FMLA with respect to Resources Employees.
