LESSOR'S RESERVED RIGHTS. Lessor reserves all rights not specifically granted to Lessee in this Lease. Specifically reserved by Lessor are all oil, gas and other mineral rights from the surface to the top of the Queenston Shales, other than such rights allowed to Lessee to drill through such reserved portions as are necessary for Lessee to have access to the Queenston Shales and below.
LESSOR'S RESERVED RIGHTS. Lessor reserves all rights not specifically granted to Lessee in this Lease.
LESSOR'S RESERVED RIGHTS. Lessor reserves and shall at any and all reasonable times with reasonable notice have the right to enter the Premises, to inspect the same for the purposes of inspecting the performance by Lessee of the terms and conditions of this Sublease. In addition, Lessor expressly reserves for its benefit a reasonable right of access through, above and below the Premises, to any portion of the Retained Premises by Lessor, including the right to run cabling and wiring. Lessor reserves the right to enter the Premises, at reasonable times to post notices of non-responsibility, to alter, improve or repair the Premises, including making repairs or alterations to the Retained Premises. In exercising the rights reserved by Lessor, Lessor shall use commercially reasonable efforts to not unreasonably interfere with the conduct by Lessee of its business in the Premises, and the exercise by Lessor of its rights pursuant to this Section 28 shall not entitle Lessee to an abatement of Rent unless such exercise materially prevents Lessee from conducting its business operations in the Premises. Nothing in this Section 28 shall be construed as obligating Lessor to perform any repairs, alterations or maintenance to the Premises.
LESSOR'S RESERVED RIGHTS. Lessor reserves the right to (i) use any street or roadway constructed by Lessee or located on the Leased Premises, (ii) relocate or make changes in and additions to any easements, right-of-way dedications, limitations, reservations, and grants for the purpose of most efficiently and economically developing the Port of Galveston, Galveston, Texas (the "Port"), and (iii) locate, relocate, construct, erect, and maintain, in and on any streets or roadways, sewer lines, water lines, electrical lines, and conduits maintained by the Lessor, as well as other pipelines, conduits, wires, and utility functions beneath or above the surface of the ground, with the right of access to the same at any time for the purposes of repair and maintenance; provided, however, that in exercising any of these reserved rights Lessor must not unreasonably interfere with Xxxxxx's use of the Leased Premises. Lessor has the right to use third parties to exercise the rights reserved to Lessor under this Section, and the right to grant easements or rights of way reserved to Lessor in this Section to other parties to exercise these reserved rights.
LESSOR'S RESERVED RIGHTS. Lessor shall have the following rights, exercisable without notice and without liability to Lessee for damage or injury to property, person or business (all claims for damage being hereby released, except for damages or injury resulting from Lessor's negligence or willful acts or omissions), and without effecting an eviction or disturbance of Lessee's use or possession or giving rise to any claim for off-sets or abatement of rent, except as otherwise expressly provided in this Lease:
(a) To enter the Leased Premises to make inspections, repairs, alterations or additions in or to the Leased Premises or to exhibit the Leased Premises to prospective tenants, purchasers or others, at reasonable hours and upon prior notice to Lessee and at any time without notice in the event of an emergency, and to perform any acts related to the safety, protection, preservation, reletting, sale or improvement of the Leased Premises;
(b) To decorate, alter, repair or improve the Leased Premises at any time, including the right of Lessor and its representatives to enter on and about the Leased Premises with such materials as Lessor may deem necessary, erect scaffolding and all other necessary structures on or about the Leased Premises and close or temporarily suspend operations of entrances, doors, corridors and other facilities, provided that in the exercise of its rights under this paragraph, Lessor shall not unreasonably interfere with the conduct of Lessee's business and shall provide Lessee with at least three business days prior notice of such activities; and
(c) To do or permit to be done any work in or about the Leased Premises or any adjacent or nearby building, land, street or alley; provided that such work does not unreasonably interfere with the conduct of Lessee's business or Lessee's access to the Leased Premises and Lessee is given at least three days prior notice.
LESSOR'S RESERVED RIGHTS. Subject to the terms and conditions hereof, following reasonable prior notice to Lessee (except in the case of an emergency, in which event no notice shall be required), Lessor shall have the right to enter upon any part of the Premises or the Project from time to time during normal business hours for the purpose of ascertaining the condition of the Premises or the Project, exercising its rights under this Lease, posting notices of non-responsibility, ascertaining whether Lessee is complying with its obligations under this Lease or showing the Premises or the Project to prospective successors, lenders or underwriters. Lessor shall use reasonable efforts in exercising its entry rights to avoid or minimize interference with the construction and operation of the Project. Lessor shall have the right to use any and all means it deems necessary or appropriate under the circumstances in order to obtain entry to the Premises or the Project in case of an imminent threat or danger to persons or property, and such entry shall not be construed or deemed to be a forcible or unlawful entry into the Premises, or an actual or constructive eviction of Lessee from the Premises or any portion thereof. Lessor shall permit an employee or other representative of Lessee to accompany any person entering upon the Premises and all persons entering the Premises on behalf of Lessor shall be required to comply with all reasonable security requirements and practices of Lessee.
LESSOR'S RESERVED RIGHTS. Lessor reserves the right to do any of the following:
(a) make any changes, additions, improvements, maintenance, repairs or replacements in or to the Premises, and the fixtures and equipment thereof, upon agreement from Sub- lessee, (b) make emergency repairs to protect the health and safety of the public, and to protect the Lessor’s investment in the Premises where it has notified Sub-lessee of the necessity of doing the same, and Sub-lessee has failed to do so within 30 days, or other period of time as is dictated by the circumstances and such other period of time is so indicated in the notice herein described, in which event Sub-lessee shall pay to Lessor, as Additional Rent, the costs of such maintenance, repairs and replacements. If Lessor is required to do any work within the Premises as a result of any changes to the Property as a result of Lessor’s exercise of its rights under this Section, Lessor shall provide Sub- lessee with reasonable advance written notice of the construction schedule to the extent that the Premises are affected, and Lessor shall endeavor to minimize, as reasonably practicable, the interference with Sub-lessee’s operations as a result of any such construction.
LESSOR'S RESERVED RIGHTS. Lessor and Lessee acknowledge that the Premises are in a Building which is not open to the general public. Access to the Building is restricted to Lessor, Lessee, their agents, employees and to their invited visitors. In the event of a labor dispute including a strike, picketing, informational or associational activities directed at Lessee or any other tenant, Lessor reserves the right unilaterally to alter Lessee's ingress and egress to the Building or make any other change in operating conditions to restrict pedestrian, vehicular or delivery ingress and egress to a particular location. Additionally, Lessor reserves unto itself all rights not granted Lessee, including by way of example and not by way of limitation, the right to change the name by which the Building is commonly known.
LESSOR'S RESERVED RIGHTS. A. LESSOR reserves the right to further develop or improve the aircraft operating area of the Airport as it sees fit and to take any action it considers necessary to protect the aerial approaches of the Airport against obstructions, together with the right to prevent LESSEE from erecting or permitting to be erected, any building or other structure on the Airport which, in the opinion of LESSOR, would limit the usefulness of the Airport or constitute a hazard to aircraft.
B. During the time of war or national emergency declared by Congress, LESSOR shall have the right to lease the Airport or any part thereof to the United States Government for military or naval use, and if any such lease is executed, the provisions of this instrument insofar as they are inconsistent with the lease to the Government shall be suspended and in that event a just and proportionate part of the rent hereunder shall be abated.
C. Any other provision of this Agreement notwithstanding, this Agreement shall be subordinate to the provisions of any existing or future agreement between LESSOR and the United States, relative to the operation or maintenance of the Airport, the terms and execution of which has been or may be required as a condition precedent to the expenditure or reimbursement to LESSOR of Federal funds for the development of the Airport.
X. XXXXXX, through its duly authorized agent, shall have at any and all times the full and unrestricted right to enter the leased premises for the purpose of inspection or maintenance and for the purpose of doing any and all things which it is obligated and has a right to do under this Agreement.
LESSOR'S RESERVED RIGHTS. Lessor reserves the right to:
a. Inspect the premises during normal business hours.
b. Make repairs and improvements, structural or otherwise, in or to the premises as Lessor deems desirable or necessary, so long as said improvements do not interfere with the operation of the conduct of business by the Lessee.
