Live Events Sample Clauses

Live Events. “Live Events” are events attended by at least 20 persons who are neither hired nor cast by Producer to attend the event. However, such Live Events (1) shall not be staged for the purpose of producing a commercial(s); and (2) non-covered participants at the live event may not receive individual direction but may be directed as a group.
Live Events. (On-Site and Virtual). For Services concerning on-site or live virtual development, including, without limitation, keynotes, workshop days, implementation days and coaching days (each, a “Live Event”), Xxxxxx will establish and agree on final dates with Customer for dates not scheduled at the time the Agreement is signed which will be subject to speaker availability. Confirmation of such final dates will be communicated by email to Customer. For any on-site, in-person Event (“On-Site Event”), Customer shall: (1) employ appropriate safety measures to ensure the safety of the Event participants and speakers (e.g., to reduce the spread of COVID-19 or any other virus as applicable); and (2) inform its participants (a) of all risks associated with attending an On-Site Event, (b) that by participating in the On-Site Event, the participants will be deemed to have assumed all such risks, and (c) that Xxxxxx shall have no liability whatsoever arising from or related to any Customer participant’s attendance and participation in any On-Site Event. Customer may request to reschedule the date of a Live Event and, if approved by Xxxxxx, Customer will reimburse Xxxxxx for any additional costs or expenses incurred by Xxxxxx and/or the speaker of such rescheduled Live Event. For the sake of clarity, a Live Event will include a Synchronous Webinar (as defined below) but not an Asynchronous Webinar (as defined below).
Live Events. 7.1 This Clause 7 contains specific clauses that relate solely to the provision of Live Events by the Agency. In the event of conflict between the provisions contained within this Clause 7 and the Conditions, these provisions shall take precedence. 7.2 The Project Plan may include, among other matters: (a) Milestones; (b) Project Delivery Date;
Live Events. 7.1. All FringeVIEW LIVE events must adhere to the rating classification as entered at time of registration. Ratings may be updated by request by emailing xxxxxxxxx@xxxxxxxxxxxxxx.xxx.xx at least 24 hours prior to the performance. If your FringeVIEW LIVE event does not concur with your event rating advice, customers may be entitled to a refund under the LPA Code of Practice if requested. 7.2. All FringeVIEW LIVE events fall under the Live Performance Australia (LPA) Ticketing Code of Practice. This includes cases of refund requests, whereby Adelaide Fringe will comply with the code when determining the outcome of a refund request. 7.3. All FringeVIEW LIVE events must adhere to copyright rules of the platform you live stream from. 7.4. You may choose any live streaming platform. 7.5. Your live stream platforms may have a maximum capacity for viewers. Please ensure you have the correct capacity listed against your registration. You may need to look into plugins and advanced accounts for your platform. This includes ‘Zoom plus’ if using the Zoom platform. 7.6. Your live stream platform may have a maximum time limit. Please ensure you have the correct time frame listed on your event description or you may need to look into an advanced account for your platform should you wish to exceed the free offered time limit. Please bear in mind that this time begins from when the event has been initiated (started) and should be included in your calculations. 7.7. All information in regards to how to sign in for your FringeVIEW LIVE event must be made available under your event description on the Adelaide Fringe website. Adelaide Fringe are not able to send further instructions out to customers, so please ensure the customer has all the information they need to access your live event without issue. This may include: - What time customers may check in for your event - Any equipment or set up instructions a customer may need for your event 7.8. Your FringeVIEW LIVE event must not be protected by any passwords as this cannot be communicated to any customer prior to your event start time. 7.9. The start time provided must be Adelaide time (ACST). 7.10. The date of your event must be during the month of May 2020. Please allow up to THREE business days for your event to be ready for sale once your registration is fully complete in AVR. Including these three business days, we recommend to allow at least SEVEN days to hold your live-streamed event from completing your event regis...

Live EventsLive streaming of pornographic material is prohibited. We may prohibit you from streaming other live events where there is a special risk, in our reasonable discretion, that the event may violate other parts of this Policy. •Dangerous Use. Use of the Cloud Services in any situation where failure or fault of the Cloud Services could lead to death or serious bodily injury of any person, or to physical or environmental damage. For example, you may not use, or permit any other person to use, the Cloud Services in connection with aircraft or other modes of human mass transportation, nuclear or chemical facilities or medical devices.
Live EventsThe City agrees that live events, including, without limitation, shows, festivals, concerts, sales, corporate events, and other indoor/or outdoor public gatherings (the “Live Events”) are permitted subject to an annual noise assessment and noise management plan approved by the City. In the event City receives what in its reasonable discretion deems a significant amount of citizen complaints related to Live Events, City may request that Company modify its noise assessment and noise management plan to address such complaints, and Company will make all necessary and reasonable adjustments in response to such request.
Live Events. For each Live Event based on any Eligible DW Property, MCA shall pay DW either, at MCA’s election: a. per Live Event, per year, per Theme Park, commencing upon the date of the initial public performance; or b. per Live Event for six months, per Theme Park, payable upon the initial public performance. At the conclusion of such six months, MCA shall pay DW ***if MCA elects to continue such Live Event and then, commencing one year after the initial public performance of such Live Event, *** per year, per Theme Park, for such Live Event. Any event which MCA determines in good faith to be a Live Event (i.e., as opposed to a Permanent Attraction) and which is performed for a period in excess of *** (or *** if the additional *** is necessary for such show to run for two complete xxxxxxx), whether or not continuously performed, shall be deemed a Permanent Attraction and upon the conclusion of such *** or ***, as applicable, MCA shall pay DW an amount equal to the difference between sums already paid with respect to the show, and the applicable fee due for a Permanent Attraction as set forth in Paragraph 4.B. 1.(a) above. By way of example, if a Live Event based on an animated motion picture runs for ***, which encompasses two xxxxxxx, upon the conclusion of such ***, MCA would pay DW *** less amounts paid under 4(B)(2) in order to continue the applicable Permanent Attraction and on the next anniversary of the initial public performance, the annual payments as set forth in 4.B.1(b) would commence, provided, however, that if prior to expiration of the above *** month period, MCA announces or designates the applicable event to be a Permanent Attraction, upon the conclusion of such *** period, MCA would then pay DW the applicable fee in paragraph 4.B. 1 .(a) less the payments under 4.B.2 plus the payments under 4.B.1.(b) commencing upon the next anniversary of such announcement or designation.
