Loaner Units. 3.7.1 LSI will loan NCR equipment for various purposes related to this Agreement (including, but not limited to, evaluation and benchmarking), and may loan NCR certain related hardware, software, firmware, documentation, and information for NCR's use with that equipment. The total value of the equipment permitted to be loaned to NCR is based on [*] ("Loaner Pool Value"). The value of any additional equipment permitted to be loaned over and above the Loaner Pool Value shall be calculated at [*]. Such limitations may be changed at any time upon mutual written agreement of the parties. Any such change shall not affect loaned equipment in NCR's possession as of the effective date of such change, which equipment NCR shall be permitted to continue to use until the expiration of the applicable loan period. In the event that the total value of the equipment loaned to NCR is permitted to [*], NCR shall pay to [*] which needs to be approved by NCR. [*]. Each piece of equipment may be used by NCR for a period of [*] commencing on the date of shipment by LSI and ending upon the date of return of the equipment to LSI. NCR shall issue orders for these loaner units from a single point of contact. When returned to LSI, the units will be refurbished to "as-new" condition and will have the same warranty as a new unit. Refurbishment charges to NCR will not exceed [*] per module. Units refurbished by LSI will be completely updated to the latest revision levels. Returned units are also subject to actual drive erosion charges, to the extent that such charges are stated in the applicable Equipment Request for NCR (of the type marked Exhibit I and attached hereto) which has been signed by NCR and LSI, which will be specified in the individual "Equipment Request for NCR" form issued by LSI in conjunction with each loan. If a loaner unit is not returned within [*], LSI will invoice NCR for the loaner unit(s) at full NCR OEM value and the loaner return will not be accepted at the LSI factory. NCR shall be responsible for shipping charges for the initial shipment out and the return shipment associated with all loaner equipment.
3.7.2 LSI will provide standard warranty coverage during the loan period.

During the warranty period, in the event the actual Quarterly Failure Rate for a Product purchased hereunder exceeds the Target Reliability Percentages set forth in the table below, then at XPLORE’s written request, and in addition to any additional spares provided under Section 11.1, WISTRON shall supply XPLORE, at no cost to XPLORE, a quantity of Products on loan or bailment in that specific product category (“Loaner Units”). The quantity being determined in accordance with the following formula: Number of Loaner Units = (Unit failures in excess of the Target) times ((number of turn days [5 days per month [20])). Illustrative example: Assuming 10,000 units in the field with a 1100 quarterly failure rate, then; if the target quarterly failures = 1000 units (e.g. 10% of 10,000< the result is; number of loaner units = (1100-1000)*(5/20) = 25 loaner units. Loaner Units. As part of Neoprobe’s warranty obligation described in Sections 11.1 and 11.2, Neoprobe agrees at no cost to Ethicon to (a) provide loaner units to Ethicon’s customers within two (2) business days of notification; and (b) to repair and return or replace products under warranty within twenty (20) days from the date of receipt of such return during, unless otherwise agreed to by Ethicon. Neoprobe shall provide Ethicon with a procedure for handling customer returns for servicing and repairing Products covered under the warranty obligations described in Sections 11.1 and 11.2 within thirty (30) days of the Effective Date.
15. Paragraph 12.1(a) of the Agreement is hereby amended and restated in its entirety as follows:
(a) for any reason other than those set forth under Section 17.6 below, and this failure lasts longer than ninety (90) days from such desired delivery date; or

Loaner Units. EPG will provide a loaner unit should repair downtime be more than five (5) consecutive normal workdays. All costs associated with securing and delivering the relief unit shall be at EPG's expense, with no cost to the Customer. The relief unit must be functionally equivalent to its replacement.
a) A Certificate of Insurance or Self Insurance Certificate for Loaner Equipment will need to be provided at the beginning of this agreement and remain in force the entire duration of this maintenance agreement. Name to be listed on the insurance is Environmental Products Group, Inc and/or EP Rents, LLC.
b) A no charge rental/loaner document will need to be executed, that notates that the customer’s responsibilities including; returning the unit clean, with all equipment/tooling and without damages. Use of consumables as defined in #4 will be the customer’s responsibility.
