MANAGEMENT RIGHTS AND DEPARTMENTAL RULES. 5.1 The City retains all rights and authority to manage and direct its employees except as otherwise specified in this Agreement. The Association acknowledges the right of the City to make appropriate rules and regulations governing the conduct and qualifications of its employees, provided they are not inconsistent with the provisions of this Agreement. Except as otherwise provided in this Agreement, the foregoing shall not constitute a waiver of the duty to bargain regarding mandatory subjects of bargaining.

MANAGEMENT RIGHTS AND DEPARTMENTAL RULES. 5.1 The City retains all rights and authority to manage and direct its employees, except as otherwise specifically provided in this Agreement. The City may adopt rules for the operation of the Department and the conduct of employees, provided such rules do not conflict with any provisions of this Agreement. The City shall give not less than ten (10) days' notice to the Union in advance of the effective date of any changes in such rules. Such notification shall be in writing. All rules and regulations of the Department in effect as of the date of execution of this Agreement are incorporated into and form a part of this Agreement. In no case shall the City, without prior negotiation with the Union, change or add to these rules and regulations, if such changes or additions relate primarily to working conditions. With respect to any disputes pertaining to changes in primarily working conditions rules and regulations, the parties agree that past practice shall be applicable in resolving any such issues. The City may change or add to the rules and regulations if such changes or additions relate to matters which are not working conditions. In such matters, the Union may negotiate over the impact of such changes upon written notice from the Union.

MANAGEMENT RIGHTS AND DEPARTMENTAL RULES. Section 1. The CITY and the UNION agree that unless specifically abridged by any provision of this AGREEMENT, the rights and responsibilities to operate and manage the CITY's business and the affairs of the CITY are vested exclusively in the CITY. The CITY further retains the exclusive right and authority to take any action it deems appropriate in the efficient operation of the CITY and in the implementation of all administrative policy and in the direction of the work of personnel covered herein in accordance with its judgment and within the provisions of law. Such rights shall include, but shall not be limited to, the right to: a) direct and supervise employees, b) appoint employees, c) establish, distribute, modify and enforce work rules and regulations, d) maintain the efficiency of CITY operations including the right to close any or all facilities for cogent business reasons, e) to determine means, methods, facilities and personnel by which operations are to be continued, and f) take whatever actions, including traditional personnel actions, which are necessary to carry out the operating directives of the CITY in support of the mission of the CITY as may be defined by the CITY from time to time.

The Union acknowledges the right of the School Board and/or Superintendent of Schools to make such rules and regulations governing the conduct of its employees as are not specifically inconsistent with the provisions of this Agreement. The School Board agrees that the Superintendent of Schools will meet and consult with Union officers on changes to existing rules or on new rules prior to the implementation date of any such changes or new rules.
