Marketing and Sales Support. In LipoMatrix's sole determination, LipoMatrix personnel shall make periodic visits to the Territory during the period of this Agreement, as necessary in order to monitor administration, marketing and sales related to the Products. LipoMatrix shall pay all transportation, meal, lodging, salary and related expenses for its personnel in this regard. LipoMatrix shall use commercially reasonable efforts to assist Distributor in locating and obtaining appropriate clinical expertise at Distributor's reasonable request, for purposes of supporting Distributor's marketing effort. The parties will mutually agree in advance on the amount and duration of clinical education and the allocation of costs associated with such clinical education.
Marketing and Sales Support. (a) Training and Support - Distributor shall train and support its personnel or subcontractors for the satisfactory completion of its obligations under this Agreement. Supplier will assist in training by furnishing Distributor with English training literature.
(b) Supplier may, at his sole discretion, provide Distributor with his own personnel for training.
Marketing and Sales Support. DCC agrees to support Marquette's --------------------------- marketing and sales activities in every reasonable way. Without limiting the generality of the foregoing, DCC agrees:
(a) To make available to Marquette, free of charge, a reasonable quantity of Product literature and promotional material used by DCC. Marquette is hereby authorized to reproduce this literature and material, and to make needed translations thereof, as may be appropriate in the Territory, at Marquette's expense.
(b) To promptly answer any queries concerning the Products or applications thereof which Marquette may submit to DCC in connection with the proposed marketing campaigns or contemplated sales.
Marketing and Sales Support. Upon request of LICENSEE, LICENSOR shall provide to LICENSEE reasonable marketing and sales support to assist LICENSEE in its sales efforts during the first twenty-four (24) months after the Effective Date. Such assistance may include, but not be limited to, participating in sales meetings, demo training and presentation assistance.
Marketing and Sales Support. In the event that Inspire requires marketing and or sales support to assist it in the marketing of the Private Label Licensed Programs, CSI is willing to provide such assistance, subject to availability of personnel, in accordance with its applicable daily rate, plus reimbursement (in accordance with CSI's travel policy, as more particularly referenced in Section 7 hereof for any travel, lodging and subsistence expenses incurred by its personnel in the provision of such support.
Marketing and Sales Support. 7.1 The Supplier shall:
(a) Provide Dealership at cost (or files at no cost) with marketing materials that STI develops independently for its products. (This will not include materials developed specifically and exclusively for other companies.) Materials that STI will make available to Dealership include brochures, spec sheets, posters, rendered solid models in Rhino 3-D software, JPEGs and AVI animations of Rhino images, photographs of installations of STI systems in Dealership's boats, photographs taken of exterior of Dealership's boats on land and in the water, training materials, installation manuals, and operating manuals.
(b) Provide the services of its marketing staff to Dealership at cost and as time permits for special marketing assignments such as copywriting, magazine ad layout, electronic publishing, print materials production and video production.
(c) Provide personnel when available for joint marketing appearances at boat shows.
(d) Provide a link on the Solomon Technologies web site to Dealership's web site.
(e) Produce a Solomon Technologies page for Dealership's web site if requested.
(f) Prominently display or mention Dealership's boats (subject to supplier's esthetic criteria) in marketing materials and presentations developed for trade events and marketing functions that supplier engages in independently, such as boat show booth displays and speaking engagements before technical organizations.
7.2 The Dealership shall:
(a) Actively promote and market its boats powered by STI electric propulsion at boat shows, on the company web site and in brochures and other printed marketing materials.
(b) Preserve STI's labels, trademarks and service numbers on all components and provide clear and obvious references to STI as the provider of the electric propulsion systems used in Dealership's boats.
(c) Provide supplier with video (when available) and high-resolution photo files of company's boats under sail and during sea trials with Solomon Technologies motors.
(d) Provide CAD files (with appropriate safeguards to preserve proprietary information) that will allow supplier to create computer renderings of the STI system installed in Dealership's boats. Provide supplier with marketing and promotional access to regattas, transatlantic crossings and other high-profile sailing events that include Dealership boats powered by STI electric drive.
Marketing and Sales Support. Except as otherwise expressly provided herein, Zimmer shall have sole control and authority over its marketing and sales activities relating to the Products, including design and production of marketing materials. X-spine shall use commercially reasonable efforts to support Zxxxxx’x marketing and sale of the Products, including providing Zimmer with reasonable quantities of its existing marketing and promotional materials for distribution to Zxxxxx’x customers and cooperating with Zimmer in making reasonable modifications to existing marketing and promotional materials as may be requested by Zimmer. Any marketing materials designed or produced by Zimmer (including any modifications requested by Zimmer under the previous sentence) are subject to approval from X- spine, which shall not be unreasonably withheld, conditioned or delayed. If X-spine does not respond to such a modification request within five (5) Business Days, such request shall be deemed approved.
Marketing and Sales Support. Supplier shall provide at no additional cost reasonable training and technical support materials to AT&T’s product marketing and sales personnel to enable such personnel to effectively sell Material, licenses, and Services available under this Agreement. In addition Supplier will share marketing collateral and market intelligence with AT&T to support development of Supplier product offerings.
2. Subsection F, MobileIron Cloud Pricing , is added to Appendix B of the Supplement as it is provided in the attached Appendix B of this Amendment. 3. Appendix HH — “Connected Cloud, Basic Connected Cloud and BYOD Portal SLAs” of Amendment no. 20100106.054.S.001.A.011 and Amendment no. 20100106.054.S.001.A.016 is deleted in its entirety and replaced with Appendix HH as provided in is the attached Appendix HH to this Amendment.
Marketing and Sales Support. Until the Closing Date, Sellers, Purchaser, their respective Affiliates, and the EDP Companies shall cooperate (or cause their Affiliates to cooperate) with each other in connection with (i) the announcement of the sale of the EDP Business to Purchaser and (ii) notification of customers of the EDP Business of the transactions contemplated by this Agreement.
Marketing and Sales Support. Licensor shall provide marketing and sales support (including without limitation product line analysis, competitor information, advertising and sales literature) relating to the Products to Licensee. Where possible, Licensee shall offer to Licensor, marketing information relating to the Products.
