Sales Efforts. Reseller shall use its diligent efforts to: (i) market, advertise, and otherwise promote and sell the Products and related Services contracts in the Territory, (ii) unless prohibited by law, prevent the export of the Products and Services from the Territory for resale outside the Territory, (iii) perform its obligations under this Agreement, and (iv) further preserve the goodwill and reputation of Malwarebytes and the Products and Services. As part of these efforts, within thirty (30) days of the Effective Date, Reseller shall put a Malwarebytes logo on Reseller's web site according the relevant specifications in Malwarebytes's latest Reseller guidelines available at the Malwarebytes Partner Portal and according to Malwarebytes's applicable policies and guidelines. For clarity, notwithstanding anything to the contrary, Reseller is solely responsible to sell any Products and Services that it purchases from Malwarebytes, and Malwarebytes has no responsibility to assist with that sale and in no way assumes any responsibility to assist with that sale or to ensure any sale is consummated. Reseller is free to set the prices it charges in its discretion, provided it is responsible to ensure full compliance with all laws.

Sales Efforts. Cabletron agrees to use its commercially reasonable best efforts to promote the Products in the Territory. To assist Cabletron in this regard, Interspeed will make available to Cabletron a supply of sales brochures and technical documentation for the marketing and promotion of the Products, which may be ordered by Cabletron at the prices then in effect. Interspeed further will make available to Cabletron the opportunity for its personnel to participate in sales and technical training relating to the Products as offered by Interspeed from time to time at prices then in effect. Cabletron shall be responsible for the travel and other expenses of its personnel attending such training. Notwithstanding the above, Interspeed shall provide to Cabletron one (1) set of technical documentation and one (1) set of user manuals for each Interspeed Product, and twenty-five (25) sets of marketing brochures. Interspeed agrees to furnish and update Product descriptions at no charge for the initial order under this Agreement. Interspeed also agrees to furnish and update at no charge technical documentation to support Cabletron's planning, installation, testing, maintenance, and operation of the Products, for the initial order under this Agreement. Cabletron may make copies of Interspeed's Product description required in response to prospects/customers' requests for proposal. Prior to or contemporaneous with the delivery of Products, Interspeed shall provide Cabletron with respect to each individual Product one (1) set of documentation that addresses installation and maintenance of the Product. Initial technical and sales training and information with respect to installation and service of the Product, including training on any special tools or test equipment, will be provided to Cabletron at no cost for up to ten (10) people during the first six (6) months of this Agreement. The training shall take place at a mutually agreed upon time and location.
Sales Efforts. Akorn shall transmit or cause to be transmitted to A-S any order and all inquiries or complaints concerning Products originating from the Territory. Akorn shall additionally provide, on request, assistance and advice to customers in the Territory concerning the handling, storage and use of Products. Such advice and assistance shall be in accordance with A-S’ published data sheets and specifications for the Products. All sales of Products in the Territory, notwithstanding Akorn’s provision of the Services, shall be solely made by A-S and for the account of A-S.
Sales Efforts. Throughout the Distribution Term, Distributor shall use its ------------- best efforts to solicit orders from responsible and credit-worthy End Users located in the Territory, for the licensing of the Software and the provision of End User Maintenance. For clarity, notwithstanding anything to the contrary, FortiPartner is solely responsible to sell any Products and Services that it purchases from Fortinet, and Fortinet has no responsibility to assist with that sale and in no way assumes any responsibility to assist with that sale or to ensure any sale is consummated. FortiPartner is free to set the prices it charges in its discretion, provided it is responsible to ensure full compliance with all laws.
Sales Efforts. In connection with an underwritten offering, the ------------- Company will participate, to the extent reasonably requested by the managing Underwriter for the offering or the Selling Holders, in customary efforts to sell the securities under the offering, including, without limitation, participating in "road shows"; provided, however, that the Company shall not be -------- ------- obligated to participate in more than one such offering in any 12-month period. The Company may require each Selling Holder to promptly furnish in writing to the Company such information regarding the distribution of the Registrable Securities as the Company may from time to time reasonably request and such other information as may be legally required in connection with such registration including, without limitation, all such information as may be requested by the Commission or the NASD. The Company may exclude from such registration any Holder who fails to provide such information. Each Selling Holder agrees that, upon receipt of any notice from the Company of the happening of any event of the kind described in Section 3.1(f) hereof, such Selling Holder will forthwith discontinue disposition of Registrable Securities pursuant to the registration statement covering such Registrable Securities until such Selling Holder's receipt of the copies of the supplemented or amended prospectus contemplated by Section 3.1(f) hereof, and, if so directed by the Company, such Selling Holder will deliver to the Company all copies, other than permanent file copies then in such Selling Holder's possession, of the most recent prospectus covering such Registrable Securities at the time of receipt of such notice. In the event the Company shall give such notice, the Company shall extend the period during which such registration statement shall be maintained effective (including the period referred to in Section 3.1(a) hereof) by the number of days during the period from and including the date of the giving of notice pursuant to Section 3.1(f) hereof to the date when the Company shall make available to the Selling Holders of Registrable Securities covered by such registration statement a prospectus supplemented or amended to conform with the requirements of Section 3.1(f) hereof.
Sales Efforts. (a) ACADIA and the Distributor shall each use Commercially Reasonable Efforts to Detail Product for the Field in the United States pursuant to the terms and conditions hereof and the then-current Sales Operation Plan. BLS shall grant, or cause its Affiliates to grant, to ACADIA a […***…] to the extent necessary or useful for ACADIA to co-promote Product for the Field in the United States in accordance with the Co-Promotion Agreement.

Sales Efforts. Topcon shall use its commercially reasonable efforts to promote and sell all Products in each country and region within the Territory. Without limiting the foregoing, Topcon will use its commercially reasonable efforts to allocate necessary personnel, to meet annual sales plans, to maintain and enhance the reputation and acceptance of the Products and reasonably cooperate with Iridex in promoting the sale of the Products in the Territory, in each case subject to and in accordance with Topcon’s standard internal procedures and policies. Iridex shall cooperate with Topcon in advertising and promoting the Products in the Territory. Upon Iridex’s reasonable written request, Topcon shall provide Iridex opportunities to participate in Topcon’s national or regional sales meetings at no charge, provided Iridex shall pay its own incidental costs, including costs related to travel and lodging, with respect thereto. Any and all costs associated with advertising, sales promotion, workshops, seminars, conventions, exhibits or other selling costs shall be the responsibility of Topcon; provided, that to the extent any such fees relate to joint advertising and commercialization efforts of Topcon and Iridex, the Parties shall discuss and agree on cost allocation procedures and methods with respect to such fees in good faith.
Sales Efforts. USWeb/CKS will be responsible to sell the USWeb/CKS iAMcommerce Solutions Powered by OneSoft and OneSoft will be responsible to support USWeb/CKS in selling the iAMcommerce Solutions Powered by OneSoft, all as set forth in Section 2 of the Statement of Alliance Efforts.
Sales Efforts. DEALER shall use its best efforts to develop the market for, promote the sale of, and solicit orders for Buses, parts and service throughout its Territory. The sales quota described in Exhibit C (“Sales quota”) for Buses for the term of this Agreement shall be deemed a material breach of this Agreement if those sales quotas are not respected.
