Meetings of Steering Committee. The Steering Committee shall meet at least once every calendar quarter, and more frequently as the parties deem appropriate, on such dates and at such times as the parties shall agree, on ten (10) days' written notice to the other party unless such notice is waived by the parties. The first meeting of the Steering Committee shall take place within thirty (30) days after the Effective Date, at Lexicon's facility in The Woodlands, Texas. The Steering Committee may convene or be polled or consulted from time to time by means of telecommunications, video conferences or correspondence, as deemed necessary or appropriate by the parties. To the extent that meetings are held in person, they shall alternate between the offices of the parties unless the parties otherwise agree. The chairperson shall be responsible for sending notices of meetings to all members.

The Steering Committee shall meet quarterly or at such other intervals as shall be agreed between the parties, and at such times as shall be mutually agreed upon by the parties and at a site alternating between RiboGene's and Robexxx'x xxxce of business, or as otherwise mutually agreed.

The Representatives of the Steering Committee shall meet in person or by telephone as often as required but at least once per calendar quarter with advance written notice of not less than ten (10) Business Days at the request of ImmunoCellular or PharmaCell. The Steering Committee must meet in a setting that allows the committee to make valid and enforceable decisions at least every three (3) months or immediately upon the request of one Party. The Steering Committee shall only be able to make valid and enforceable decisions if no less than two (2) Representatives of each Party are present at and attend the meeting. In the event that either Party does not send at least two Representatives to the meeting of the Steering Committee, the Steering Committee can also make valid and enforceable decisions with the attendance of one Representative of each Party.

The location of such meetings shall be agreed upon between the Parties, and may be via teleconference and/or videoconference. Minutes of each Steering Committee meeting shall be transcribed and issued by a designee of the Committee within ten (10) Business Days after each meeting and shall be approved by a representative from each Party no later than the first order of business at the immediately succeeding Steering Committee meeting. Each Party shall bear its own expenses in connection with attending meetings of the Steering Committee. The Committee shall also establish a procedure for either (i) calling special interim meetings of the Committee in the event a need for Committee decisions arises between regularly scheduled meetings or (ii) establishing a process for making such interim decisions. Meetings of the Steering Committee shall be subject to strict antitrust compliance guidelines.

Meetings of Steering Committee. Regular meetings of the Steering Committee shall be held at such time and at such place as may from time to time be determined by the Steering Committee, but shall be held at least on a monthly basis and more frequently as may be necessary. Special meetings of the Steering Committee may be called if requested by the Chair, by any two Members, or by the Director. Notice stating the place, date, time and agenda of the meeting shall be given to each Member by the Secretary of MCA-Vanuatu (a) in respect of a regular quarterly meeting, either by hand, mail, facsimile or e-mail at least seven (7) days prior to the date of the regular quarterly meeting, and (b) in respect of a special meeting, either by hand or mail not less than 48 hours before the date of the special meeting or by telephone or e- mail not less than 24 hours before the date of such special meeting. Notwithstanding the foregoing, (x) any Member may waive, in writing, the requirement to receive notice in respect of any such meeting, and (y) a Member's presence at any such meeting shall constitute waiver by such Member of the requirement to receive notice of such meeting. A valid meeting of the Steering Committee may not be held unless each Member receives notice (or waives or is deemed to waive notice) of such meeting. To the extent any meeting of the Steering Committee is conducted in a language other than English, a translator shall be provided for any Member who does not speak such language. All documents to be discussed at any Steering Committee meeting shall be translated into English, and the English language version of all such documents shall be made available to all Members prior to the date of such Steering Committee meeting.

Unless otherwise agreed by the Members, the Steering Committee will meet or have a telephone conference approximately: (i) bi-weekly for the first eighteen (18) months after the Effective Date (the “Weekly Period”), (ii) monthly for the six (6) months following the end of the Weekly Period (the “Monthly Period”) and (iii) bi-monthly following the end of the Monthly Period. Each respective Steering Committee meeting or telephone conference will be held at such location and on such date and time as the General Manager of the Company may reasonably determine and inform all members of the Steering Committee reasonably in advance.
