Minimum Spend. If a Product Agreement contains a minimum spend commitment from the Customer and, at the effective date of termination or expiry of such Product Agreement, such spend commitment has not been reached, then the Customer shall either: (1) within 30 days of such date, pay to Arrow the difference between (i) the minimum spend commitment and (ii) the total amount paid to Arrow by the Customer as at such date. Any such payment shall be without prejudice to the Customer’s liability for, and Arrow’s ability to recover, any other sums from the Customer under this Agreement; or (2) agree that the term of the Product Agreement shall be extended on the same terms until such time as the minimum spend commitment has been satisfied and thereafter, the terms of the Product Agreement shall continue unless and until terminated by the Customer upon 90 days’ written notice.
Minimum Spend. 18.1 If you fail to reach the annualised Minimum Spend commitment in respect of a Service over the Minimum Term for such Service then we reserve the right to xxxx you in the month following expiry of the Minimum Term the difference between the actual amount you spent and the amount you committed to spend pursuant to the Minimum Spend over the Minimum Term. Following the expiry of the relevant Minimum Term, if in any 6-month period you fail to reach the total six-monthly Minimum Spend that you committed to spend over that six-month period, we reserve the right to xxxx you in the month following expiry of the relevant six-month period the difference between the actual amount you spent and the amount you committed to spend in that six-month period pursuant to the Minimum Spend.
18.2 If the Contract or any individual Services are terminated during the Minimum Term or any agreed term for the relevant Service(s) and you received free installation of any Services or Lines as part of the Tariff or otherwise, then we reserve the right to impose a termination charge equal to the installation cost divided by the number of the months in the relevant term, multiplied by the number of months remaining in the relevant term, less a discount sum, computed on the basis of a 5% discount for a full year or early payment, and a pro rata lesser sum for a shorter period of greater sum for a longer period.
Minimum Spend. If a Product Agreement contains a minimum spend commitment from the Customer and, at the effective date of termination or expiry of such Product Agreement, such spend commitment has not been reached, then the Customer shall, within 90 days upon receipt of an invoice from Arrow, pay Arrow the difference between (i) the minimum spend commitment and (ii) the total amount paid to Arrow by the Customer as at such date. Any such payment shall be without prejudice to the Customer’s liability for, and Xxxxx’s ability to recover, any other sums from the Customer under this Agreement.
Minimum Spend. 2.1 Xxxxxxx Haven does not charge the Client on a per capita basis but requires a Minimum Spend from the Client on the day. This Minimum Spend is a fixed fee which is allocated to food, drinks and the service fee. The full Minimum Spend amount (in column 4 of Table 1 above) must be paid no later than 1 (ONE) month prior to the wedding day. Any available surplus on the Minimum Spend after food, welcome drinks, wine, and / or other beverages have been paid for in full, will be utilised as a deposit for an open bar on the night. The Minimum Spend amount is refundable, subject to a reasonable cancellation penalty in terms of section 17 of the Consumer Protection Act, Act 68 of 2008, read with clause 15 of this Agreement.
2.2 The final number of guests as discussed at the final appointment will be the number charged for, unless attendance is greater as detailed above in which case the additional food will be ordered and charged for.
Minimum Spend. (a) You agree that the total Fees payable for the Mobile Services must meet any monthly minimum spend amounts set out in the Critical Information Summary or elsewhere in this Agreement in respect of the Mobile Services (Minimum Spend).
(b) If your Fees for the Mobile Services in a billing period are less than the Minimum Spend, you acknowledge that we will still invoice you for the Minimum Spend amount.
(c) You can change your Minimum Spend amount:
(i) if it is specified in your Application; or
(ii) otherwise agreed by us in writing.
(d) If we allow you to change your Minimum Spend amount, we may require you to agree to a new Minimum Term in respect of the Mobile Services and other charges may apply.
Minimum Spend. (a) You agree that the total Fees payable for the Satellite Services must meet any monthly minimum spend amounts set out in the Critical Information Summary or elsewhere in this Agreement in respect of the Satellite Services (Minimum Spend).
(b) If your Fees for the Satellite Services in a billing period are less than the Minimum Spend, you acknowledge that we will still invoice you for the Minimum Spend amount.
(c) You can change your Minimum Spend amount:
(i) if it is specified in your Application; or
(ii) otherwise agreed by us in writing.
(d) If we allow you to change your Minimum Spend amount, we may require you to agree to a new Minimum Term in respect of the Satellite Services and other charges may apply.
Minimum Spend. During the Term of this Agreement and until the occurrence of [***] for a Licensed Product, in developing a Licensed Product, Isis or its Sublicensee shall spend annually an aggregate amount of at least [***] dollars ($[***]) consisting of [***] (“Minimum Spend”). Both University and Isis acknowledge that, because the nature and amount of tasks associated with development of the Licensed Product shall vary from year-to-year, the amount of [***] and [***] expenditure shall also vary year-to-year, with some years exceeding the Minimum Spend and some years not. Achievement of either a diligence event under Subsection 3.1(b)(i) or the Minimum Spend under this Subsection 3.1(b)(ii) shall be deemed dispositive of using Commercially Reasonable Efforts.
Minimum Spend. For any function that requires Bar Service, a minimum bar spend may be outlined in the Venue Hire Agreement.
Minimum Spend. Functions where either the Full Cash Bar or Consumption package is selected will be subject to a minimum spend of $400 over the bar. In the event that $400 worth of drinks is not purchased or supplied over the bar during the function, the client will then be invoiced for the shortfall. No minimum spend is applied to the Per-‐head Packages (i.e Elite, Premium and Basic).
Minimum Spend. On Friday and Saturday’s, we have a minimum spend of £2500 this is inclusive of food and drinks. If the minimum spend is not met, then the organiser will be liable for the remaining amount and will need to pay this prior to departure from the venue. I.e. if you have only spent £2300 on the night, then you will need to settle the remaining £200.
