NON-SOLICITATION POLICY Sample Clauses

A Non-Solicitation Policy is a contractual provision that prohibits one party from directly or indirectly soliciting the employees, clients, or customers of the other party for a specified period of time. Typically, this clause applies during the term of the agreement and for a set duration after its termination, and may cover actions such as recruiting staff or enticing clients to switch providers. Its core function is to protect a business’s workforce and client relationships from being poached by former partners or employees, thereby preserving the company’s competitive advantage and stability.

NON-SOLICITATION POLICY. During the term of this Agreement, Independent Sales Consultants may not recruit other Upyugo Independent Sales Consultants or Upyugo customers for any other network marketing business that has been deemed by the Company to be competing. Following the cancellation of this Agreement, and for a period of one (1) year thereafter, a former Independent Sales Consultant may not recruit any Upyugo Independent Sales Consultant or customer for a competing network marketing business or venture. 4.6.2.1. The Independent Sales Consultant and Upyugo recognize that because network marketing is conducted through networks of independent contractors dispersed across the entire United States and internationally, and business is commonly conducted via the Internet and telephone, an effort to narrowly limit the geographic scope of this non-solicitation provision would render it wholly ineffective. Therefore, the Independent Sales Consultant and Upyugo mutually agree that this non solicitation provision shall apply to all markets in which Upyugo conducts business. 4.6.2.2. The term “recruit” shall be defined as the actual or attempted solicitation, enrollment, encouragement or effort to influence in any other way, either directly or through a third party, another Upyugo ISC or customer to enroll or participate in another multi level marketing, network marketing or direct sales opportunity that competes with the business of the Company. This conduct constitutes recruiting even if the ISC’s actions are in response to an inquiry made by another ISC or customer.
