Production Services. Section 3.4(b) of the Magazine Agreement is hereby deleted and replaced with the following: Effective as of the date of this Amendment and continuing until the third anniversary date hereof, Hearst hereby agrees to purchase from iVillage and iVillage agrees to provide to Hearst, Production Services in the minimum guaranteed amount of five million dollars ($5,000,000) in each consecutive twelve month period (the "Production Commitment"), which services include the creation of Original Site Content and Third Party Work in a manner which is consistent with the quality, performance and cost standards set forth in Exhibit B as provided by Xxxxx.xxx prior to the effective date of this Amendment and as enhanced by the amendments to Exhibit B set forth herein, in order that the Magazine Sites provided for in Exhibit B shall continue to operate in a substantially similar manner as existed prior to the effective date of this Amendment and as enhanced by the amendments to Exhibit B set forth herein. To the extent that in any consecutive twelve month period Hearst requests that modifications be made to the Magazine Sites outlined in Exhibit B and as enhanced by the amendments to Exhibit B set forth herein, which would materially modify or change the Magazine Sites from the manner in which each looks and functions during the period prior to the effective date of this Amendment and as enhanced by the amendments to Exhibit B set forth herein, and such material modifications or changes result in the amount of Production Services performed by iVillage exceeding in any consecutive twelve (12) month period throughout the Term, the sum of five million dollars ($5,000,000) those costs shall be billed to Hearst in addition to the Production Commitment of five million dollars. These Production Services may be performed for the Magazine Sites that are the subject of this Agreement, or for other sites associated with other units, divisions or affiliates of Hearst (the "Hearst Sites"). Production Services. Accel Media International LLC, agrees to provide the Services to the Client during the “Term” (as hereinafter defined). Accel Media International LLC, agrees to provide such information, evaluation, and analysis, in accordance with the Services as will assist in maximizing the effectiveness of the Client’s business model. Accel shall personally provide the Services and the Client understands that the nature of the services to be provided are part-time and that Accel will be engaged in other business activities during the term of this Agreement. Conflicts: The Client waives any claim of conflict and acknowledges that Accel has owned and continues to work with and provide production services with companies in competitive businesses.

Production Services. 4.1 If specified in the Order and provided that Artwork is supplied to us in accordance with clause 3 of these Outdoor T&Cs, we will: (a) procure Printing; and/or (b) undertake the Design on the terms of this clause 4 of these Outdoor T&Cs. We warrant that we will procure Printing and/or undertake the Design (as appropriate) using reasonable skill and care.
4.2 You hereby grant us a non-exclusive licence of all IPR in and to the Artwork reasonably required by us to design Advertisement Copy and to perform our other obligations in this Agreement without infringing any third party’s rights. Without prejudice to any other provision of this Agreement, you warrant that you have the right, capacity, power and authority to give the licence contained in this clause 4.2. You covenant to pay and shall indemnify us and the Indemnified Parties on demand for and against all Losses incurred by any of them, arising out of or in connection with a claim by a third party that the use of the Artwork as contemplated by this Agreement infringes that third party's rights.
4.3 Following receipt of the Artwork in accordance with clause 3 of these Outdoor T&Cs, we will provide you with an electronic copy of the draft Advertisement Copy ("Draft Copy").
4.4 Upon receipt of the Draft Copy, you will promptly (and, in any case, in no more than three (3) Working Days) accept or reject the Draft Copy by notice in writing to us. Subject to clause 4.6 of these Outdoor T&Cs, where you reject any Draft Copy (or revised Draft Copy), we will endeavour to produce revised Draft Copy for your approval, and upon receipt of any such revised Draft Copy, you will within one (1) Working Day accept or reject the revised Draft Copy by notice in writing to us. You undertake to provide us with such information as we may reasonably request to facilitate the performance by us of our obligations in this clause 4.4.
4.5 Where Design is included in the Fee or is otherwise stated to be free of charge in respect of any Outdoor Campaign, you will be entitled to the initial Draft Copy and no more than three (3) revised drafts of the same (provided that we have complied with the warranty set out in clause 4 of these Outdoor T&Cs). All further Design work undertaken by us shall be charged at our standard rate of £150 for each subsequent revised draft.

Production Services. (a) XXX agrees to provide the production services as indicated on the IO (the “Production Services”) in accordance with the timelines specified on the IO, which timelines may be changed by mutual agreement of the parties.
(b) BAM will be responsible for supplying itself or via third parties, all production personnel, equipment, supplies and facilities required for the production and delivery of the Production Services specified in the IO and for paying the costs to produce and deliver the deliverables therefor (the “BAM Deliverables”).
(c) Purchaser will have the right to review the rough cut of each visual element included in the BAM Deliverables (“Visual Elements”) and the right to approve the final edited version of each Visual Element in accordance with the following review and approval rights: Purchaser shall receive rough cuts and final edited versions of all Visual Elements and shall have in each case five (5) business days to review and approve, or if it does not grant its approval, to provide BAM with its detailed reasons for its non-approval, as well as suggested reasonable changes that, if made, would make the materials in question acceptable. Failure of Purchaser to notify BAM of approval/disapproval within such five (5) business day period hereof will be deemed approval. Purchaser shall act reasonably and in good faith in exercising its review and approval rights. BAM shall not be responsible for any late delivery of the BAM Deliverables that is caused in whole or in part by any failure or delay on the part of Purchaser to exercise the review and approval rights by the required dates set out in the IO or to otherwise exercise the review and approval rights in accordance with this Section 5(c).
(d) Subject to any restrictions communicated to Purchaser by BAM from time to time with respect to rights/talent clearances, Purchaser will have the right to exhibit the BAM Deliverables in Canada on Purchaser branded platforms until such date as specified on the IO.
(e) BAM shall own all rights, including without limitation, copyright, in and to the BAM Deliverables and, without limitation, BAM shall have the right in perpetuity to exhibit the BAM Deliverables on any BAM platform(s).
Production Services. If Customer has engaged SNEAKY BIG to perform any production and/or post-production services in connection with its rental and use of the Goods, SNEAKY BIG will, at no additional cost to Customer, store the footage shot during the use of the Goods for a period of seven (7) business days from the date of production; provided, however, if the footage is not obtained by Customer within said seven (7) business day period and Customer has not requested that SNEAKY BIG store the footage or Customer has not otherwise engaged SNEAKY BIG to perform post- production services with respect to such footage, SNEAKY BIG will delete the footage after the expiration of said seven (7) business day period. If, on the other hand, the footage is not obtained by Customer within said seven (7) business day period, but Customer has requested that SNEAKY BIG store the footage, SNEAKY BIG will charge Customer a minimum storage fee of $10 per gigabyte of footage per day (“storage fee”) until the footage is obtained by Customer. The current storage fee will be communicated to Customer upon request. The aggregate storage fee will be added to the final invoice payable by Customer in accordance with the terms set forth in the Payment/Deposit paragraph above. Notwithstanding the foregoing, if Customer has engaged SNEAKY BIG to provide post-production services with respect to the footage, the seven (7) business day free storage period shall commence on the date that the post-production services are completed and the footage is delivered to Customer. Customer acknowledges and agrees that SNEAKY BIG shall have no liability with respect to damage, destruction or loss of footage remaining at SNEAKY BIG’s studio following the expiration of the applicable seven Virtual Reality Production Services – If Customer is engaging SNEAKY BIG to provide virtual realty production services and Customer is providing any personal property (i.e. graphics, PowerPoint, images, music, furniture, etc.) in connection therewith, Customer must ensure that all such personal property to be utilized in connection with the virtual realty production is delivered to SNEAKY BIG, at Customer’s sole cost and expense, by no later than the due date for delivery to SNEAKY BIG set forth on the applicable Statement of Work (the “Due Date”). Production Services. (a) Subject to employee contractual, third party and other restrictions, the Broadcaster agrees to allow ATN reasonable access to the Production Resources during the Term for the purpose of:
(i) producing the Reports, the Links and the Tags; and
(ii) gathering, researching, obtaining, preparing and summarising the News Information for the Reports,
(b) Subject to clauses 5(e) and 5(t), the Broadcaster shall use all reasonable endeavours to ensure that its employees, contractors and consultants comprising part of the Production Resources cooperate with ATN in relation to:
(i) producing the Reports, the Links and the Tags;
(ii) gathering, researching, obtaining, preparing and summarising the News Information for the Reports; and
(iii) any other associated activities reasonably requested by ATN for the purpose of production of the Reports or the Tags.
(c) The Broadcaster must maintain during the Term the lesser of:
(i) the same level of production resources as the Production Resources it possesses at the date of execution of this agreement; or
(ii) such production resources as are reasonably necessary to prepare and produce the Reports, the Links and the Tags in accordance with this agreement,
(d) A failure by ATN to comply with its obligations under this agreement does not constitute a breach of this agreement if it was caused wholly or partly as a result of a failure by the Broadcaster to provide the Production Services in accordance with its obligations under this Agreement.
(e) ATN acknowledges and undertakes that employees of the Broadcaster who may form part of the Production Resources shall at all times be treated consistently with their employment contract or agreement so as not to trigger any termination right on the part of the relevant employee and that nothing in this agreement will require the Broadcaster to act in any manner inconsistent with that employment contract.
(f) ATN shall fully consult with the Broadcaster's nominated representative in relation to any employment related issue concerning an employee of Austereo whose services comprise part of the Production Resources with a view to reaching an agreed outcome based on the principle that no employee forming part of the Production Resources shall be treated inconsistently with the customary human resources and employment policies of the Broadcaster.
