Operating Reports. During the term of this Agreement, Owner shall, within fourteen (14) days of issuance, furnish to Capital copies of any and all Facility-related reports, including the annual audit (if any).
Operating Reports. SanDisk will have full access to any management or operation reports related to Flash Forward or Flash Forward’s business through the Y5 Operating Committee (as defined in the FF Operating Agreement). Management and operating reports related to Flash Forward or Flash Forward’s business as mutually agreed from time to time will be simultaneously made available in Japanese and English to each Party. Upon request, Toshiba employees will explain such reports to SanDisk’s employees and respond to questions from SanDisk’s employees, but Toshiba will not be responsible for SanDisk’s failure to understand such reports.
Operating Reports. As soon as practicable but no later than sixty (60) days after the close of each quarterly period of its fiscal year, a quarterly summary operating report substantially in the form attached hereto as Schedule 7.1(k), which shall include: (i) a quarterly and year-to-date numerical and narrative assessment of (A) the Project’s electrical production and delivery, (B) the actual O&M Costs and Emergency Payments incurred by the Company in the relevant period (including a description of any material discrepancies of such O&M Costs by comparison with the Annual Operating Plan), (C) the Project’s compliance with each material category in the Annual Operating Plan, (D) cash receipts and disbursements and cash balances, including any distributions permitted under this Agreement, debt service payments and balances in the Collateral Accounts, including without limitation an accounting of all payments made pursuant to Section 2.01(h) of the Collateral Agency Agreement for the preceding quarter, (E) actual average wind speed, the capacity factor, direction data, Directed Curtailment (as defined under the O&M Agreement) and other information provided to the Company as set forth in Section 5.42.2 of the O&M Agreement, (F) the Project’s availability and unscheduled maintenance performed with respect to the WTGs and any other portion of the Project, (G) replacement of equipment not contemplated by the then current Annual Operating Plan of value in excess of $150,000, (I) material disputes with contractors, materialmen, suppliers or others and any related material claims against the Company or Guarantor either individually or in the aggregate equal to or greater than $150,000, and (J) information pertaining to the calculation of theMechanical Availability Percentage” (as defined in the Power Purchase Agreements) for the prior “Period” (as defined in the Power Purchase Agreements); (ii) a comparison of year-to-date figures to corresponding figures provided in the Annual Operating Plan, (iii) notice of any forced outage with respect to the Project lasting for more than (A) one hundred twenty (120) consecutive hours with respect to any WTG and (B) seventy-two (72) consecutive hours with respect to a transmission line outage or a substation outage, (iv) information with respect to any materialman’s, mechanic’s or other like Lien that has been recorded against the Company or the Site other than a Permitted Lien and (v) information relating to any adjustments to Energy Payment R...
Operating Reports. Within five days after the end of each month, the Company will deliver to each of the Members, monthly reports generally summarizing the operations of the Company over the past month. All such reports may be in a form (including daily report formats) agreed by the Members. Operating Reports. As soon as available and in any event within thirty days after the end of each fiscal quarter following the First Unit Operation Date, an operating report in the form set forth on Exhibit 17 hereto with respect to the Project for such quarterly period and for the portion of the Operating Year then ended, which report shall (i) correspond to the items and classifications and periods set forth in the applicable Operating Budget, (ii) show all Project Revenues, all O&M Expenses, the Operating Performance of the Project and a reasonably detailed accounting of the use of any amounts transferred from the Operating Account, (iii) be certified as complete and correct by an Authorized Officer of the Borrower, which certification shall also state that the O&M Expenses reflected therein complied with the requirements contained in Section 7.25 hereof, or, if any such certifications cannot be given, shall state in detail any necessary qualifications to such certifications and (iv) be in substantially the form of the pro forma Operating Report delivered in accordance with Section 4.1(s).
Operating Reports. As soon as available but in no event more than 20 days after the end of each fiscal quarter after the earlier of the date of Completion or Start-up of Commercial Production, a summary of such month’s or such fiscal quarter’s operations and a summary of the fiscal year-to-date operations in a form agreed to by the Borrower and the Administrative Agent, in each case compared to the budgets and forecasts delivered pursuant to clause (h) above, including information in reasonable detail concerning (i) Project production and shipment of Project production during such period and variations from the related projections for such period reflected in the Financial Model, (ii) the Borrower’s inventory of product at the end of such period, (iii) revenues generated during such period from the sale of product, (iv) Operating Costs during such period as compared to the Financial Model, (v) costs constituting Capital Expenditures during such period as compared to the Construction Schedule and Capital Spending Plan, (vi) the Borrower’s most recent cash planning forecast covering at least the next following month or fiscal quarter, as the case may be, and (vii) any material developments during such period in Project operation, including material technical problems, discovery of any material defects in the physical facilities of the Project, material interruptions to operation or material labor difficulties.
