Operations Reports. Accompanying the reports to be delivered by the Borrower each fiscal quarter in each Fiscal Year pursuant to SECTION 6.01(b) and, in addition to the foregoing, within seven (7) days after the Lender's request therefor, the Borrower shall deliver to the Lender a report detailing the operations of the Borrower and its Subsidiaries which report shall include a management discussion and analysis with respect to the Borrower's and its Subsidiaries' financial performance during such period, including a comparison of actual sales versus budgeted sales for such fiscal quarter, a discussion of bookings, a listing of significant new customers and new products developed for sale, an explanation of any cost saving measures implemented, together with a discussion of the general business environment and results of operations, including an explanation of any material changes in consolidated and consolidating statements of income, stockholders' equity and cash flow of the Borrower and its Subsidiaries for such period from such statements for the corresponding period of the previous Fiscal Year and the corresponding figures from the consolidated financial forecast for the current Fiscal Year pursuant to SECTION 6.01(f) (the "Management Discussion and Analysis").
Operations Reports. Upon Northwest’s request, Gulfstream shall provide to Northwest within thirty (30) days after the end of each calendar month the operating statistics for each market segment served pursuant to this Agreement, including, but not limited to departures, ASMs, load factor percentage, and Gulfstream’s actual Controllable Completion Factor and On-Time Performance statistics during such month, together with an itemization of the number of delayed flights and cancellations caused by weather, Air Traffic Control, or no revenue passengers on board for the round trip flight during such month. For purposes of monitoring the success of the parties’ codeshare operations and regulatory requirements, the parties each shall provide to the other additional monthly reports in form and content to be mutually agreed.
Operations Reports. The Contractor is required to submit such reports as specified by the Department to enable the Department to monitor the Contractor's internal operations and service delivery. These reports include, but are not limited to, the following:
Operations Reports. As reasonably requested by the Authority, the Manager shall prepare appropriate reports concerning matters reasonably related to the operation of or planning for the T&D System, including, but not limited to: source of Power and Energy supply; revenues and unit sales of Power and Energy supplied to customers in the aggregate and by customer class, including an explanation of any significant variations from planned sales; environmental requirements and compliance; compliance with Applicable Law; safety requirements and compliance; and reports relating to any incentive and penalty provisions set forth herein.
Operations Reports. At the same time as paying each Royalty payment under Section 3.2 the Optionee must provide to the Optionor a report setting out in reasonable detail the foLlowing information ("Operations Report"):
(a) the quantity, type and grade of Products extracted during that Quarter;
(b) the quantity, type and grade of Products that have been processed during that Quarter and the location of the relevant facilities;
(c) the quantity, type and grade of all Products that have been Sold during that Quarter;
(d) the quantity and type ofProduct held or unsold during that Quarter;
(e) the Royalty for that Quarter and details of the Gross Revenue underlying the calculation of the Royalty;
(f) the cumulative total of Royalty payments paid to the Optionor under this Agreement (including the payment under subsection 5.2(e)); and
(g) other pertinent information in sufficient detail to explain the calculation of theRoyalty payment.
Operations Reports. At the same time as paying each Royalty payment under Section 3.2 or, if the Recipient has elected to receive the royalty in kind under Section 3.3, then by the last day of the month next following the end of each calendar Quarter, the Payor must provide to the Recipient a report setting out in reasonable detail the following information (“Operations Report”):
13.2.1 the quantity, type and grade of Products extracted during that Quarter;
13.2.2 the quantity, type and grade of Products that have been processed during that Quarter and the location of the relevant facilities;
13.2.3 the quantity, type and grade of all Products that have been Sold during that Quarter;
13.2.4 the quantity and type of Products held or unsold during that Quarter;
13.2.5 the quantity and type of Products that have been processed and are in a form that is saleable;
13.2.6 the Royalty for that Quarter and details of the Gross Proceeds (including details on the average monthly price determined as herein provided for refined metals and proceeds of Sale for other Products) and Allowable Deductions underlying the calculation of the Royalty;
13.2.7 the cumulative total of Royalty payments paid to the Recipient under this Royalty Agreement (including the payment under Subsection 5.2(f)); and
13.2.8 other pertinent information in sufficient detail to explain the calculation of the Royalty payment.
Operations Reports. (i) During the Transition Services Term, the Seller Parties agree to cause Pro Energy Services, Inc. (“Pro”) to provide daily, weekly, and monthly reports consistent with its past practice to each of Buyer and Seller, provided that Buyer may tailor such reporting at its discretion. Buyer shall cooperate with the Seller Parties in causing Pro to provide such reports.
(ii) For each two week period falling after the Effective Date and during the Transition Services Term (each, a “Reporting Period”), Buyer shall use commercially reasonable efforts to provide to Seller a report setting forth in reasonable detail the expenses incurred by the Buyer in the performance of the Transition Services in accordance with the terms of this Agreement (collectively, the “ Buyer Operating Expenses”) for each Reporting Period, said report to be delivered on the Friday after each respective Reporting Period. For the avoidance of doubt, Buyer Operating Expenses shall not include (x) any expenses or costs incurred by Buyer or its Affiliates in connection with or as Remediation Expenses or (y) any costs to Buyer of any insurance obtained by Buyer pursuant to Sections 6.2 and 6.3. Such bi-weekly report shall also (1) specify material scheduled activities to occur in the future, (2) identify any of the material Project assets physically removed and/or replaced, and (3) identify all other material equipment or other items installed as part of the Project. The bi-weekly report shall have attached detailed time sheets for any of Buyer’s personnel working at the Project and shall clearly distinguish between Remediation Expenses and Buyer Operating Expenses. Seller shall have the right to review such time sheets and allocations.
(iii) During the Transition Services Term, the Seller Parties shall cause Macquarie Cook Powex Xxc. (“Macquarie”) to provide periodic revenue reports to Buyer concurrent with their delivery to any Seller Party.
(iv) During the Transition Services Term, Buyer shall reasonably communicate with Seller regarding the status of the Transition Services at such times as Seller may reasonably request.
