Options for Employees Subject to Layoff. Employees subject to layoff shall have the following options that will be offered in order of seniority: 1. Reassignment to a vacant position in the bargaining unit after job bidding under Article 13.1.1 has been completed for any more senior presently employed nurse who had submitted the required transfer request on or before the date a hold was placed on the open positions under Article 10.2 and providing the employee is qualified in the opinion of the Employer. 2. A position on the Low Seniority Roster, providing the nurse is qualified for the position in the opinion of the Employer. An employee on the Low Seniority Roster whose position is assumed as a result of the selection process during a layoff shall be subject to layoff without further notice. 3. Recall rights under Article 10.2.7.

Options for Employees Subject to Layoff. Employees subject to layoff shall have the following options that will be offered in order of seniority consistent with Article 5.2: 1. Reassignment to a vacant position in the bargaining unit for which the employee may be qualified after any appropriate internal intra-departmental transfers under Article 5.5.1, provided however, that intradepartmental transfers will be limited to regular employees. In the event an employee accepts reassignment to a vacant position in a different job classification, the employee will be placed at that step of the pay scale closest to the employee’s current rate of pay. Determination of current qualifications for a vacant position. An employee will be considered qualified for reassignment to a vacant position in another job classification within the bargaining unit if, in the Employer’s opinion, the employee possesses the requisite skills and experience to perform the essential functions or could acquire the same with no more than forty (40) hours of orientation and otherwise meets any qualifications that are a condition of employment. 2. In the case of job classifications utilized in multiple departments, the position of the least senior employee in their job classification, providing the employee possesses the requisite skills and experience to perform the essential functions of the position and could become oriented with no more than forty (40) hours of orientation. If the employee who accepts reassignment to a vacant position in the bargaining unit (under option number 1 above) or displaces the least senior employees in their job classification (under option number 2 above) has not achieved a satisfactory level of performance in the judgment of the Employer based on established criteria, upon conclusion of the 40 hours of orientation, the employee will be subject to layoff without further notice and placed on the recall roster. Note: As of the effective date of this Agreement, the following classifications are utilized across multiple departments: Patient Care Aide (PCA), CNA, and Unit Secretary. 3. Recall rights under Article 5.4.4.
Options for Employees Subject to Layoff. An employee who is subject to layoff shall have the right to either: (a) accept the layoff; or (b) displace an employee who has lesser seniority and who is the least senior employee in a lower or identical paying classification in the bargaining unit if the employee originally subject to layoff can perform the duties of the lower or identical classification without training, other than orientation. The employee who is subject to layoff has seven (7) working days to notify the Employer they wish to exercise their bumping rights. Such employee so displaced shall be laid off.

Unvested shares issued under the Plan and subsequently cancelled or repurchased by the Corporation, at the original issue price paid per share, pursuant to the Corporation's repurchase rights under the Plan shall be added back to the number of shares of Common Stock reserved for issuance under the Plan and shall accordingly be available for reissuance through one or more subsequent option grants or direct stock issuances under the Plan. However, should the exercise price of an option under the Plan be paid with shares of Common Stock or should shares of Common Stock otherwise issuable under the Plan be withheld by the Corporation in satisfaction of the withholding taxes incurred in connection with the exercise of an option or the vesting of a stock issuance under the Plan, then the number of shares of Common Stock available for issuance under the Plan shall be reduced by the gross number of shares for which the option is exercised or which vest under the stock issuance, and not by the net number of shares of Common Stock issued to the holder of such option or stock issuance. D. If any change is made to the Common Stock by reason of any stock split, stock dividend, recapitalization, combination of shares, exchange of shares or other change affecting the outstanding Common Stock as a class without the Corporation's receipt of consideration, appropriate adjustments shall be made to (i) the maximum number and/or class of securities issuable under the Plan, (ii) the number and/or class of securities for which any one person may be granted stock options, separately exercisable stock appreciation rights and direct stock issuances under this Plan per calendar year, (iii) the number and/or class of securities for which grants are subsequently to be made under the Automatic Option Grant Program to new and continuing non-employee Board members, (iv) the number and/or class of securities and the exercise price per share in effect under each outstanding option under the Plan and (v) the number and/or class of securities and price per share in effect under each outstanding option incorporated into this Plan from the Predecessor Plan. Such adjustments to the outstanding options are to be effected in a manner which shall preclude the enlargement or dilution of rights and benefits under such options. The adjustments determined by the Plan Administrator shall be final, binding and conclusive.

  • Shares Subject to the Plan Subject to the provisions of Section 13 of the Plan, the maximum number of Shares that the Company may issue for all Awards is 1,453,334 Shares, provided that the Company shall not make additional awards under the Commonwealth Energy Corporation 1999 Equity Incentive Plan, as amended and assumed by Commerce Energy Group, Inc. For all Awards, the Shares issued pursuant to the Plan may be authorized but unissued Shares, or Shares that the Company has reacquired or otherwise holds in treasury. Shares that are subject to an Award that for any reason expires, is forfeited, is cancelled, or becomes unexercisable, and Shares that are for any other reason not paid or delivered under the Plan shall again, except to the extent prohibited by Applicable Law, be available for subsequent Awards under the Plan. In addition, the Committee may make future Awards with respect to Shares that the Company retains from otherwise delivering pursuant to an Award either (i) as payment of the exercise price of an Award, or (ii) in order to satisfy the withholding or employment taxes due upon the grant, exercise, vesting or distribution of an Award. Notwithstanding the foregoing, but subject to adjustments pursuant to Section 13 below, the number of Shares that are available for ISO Awards shall be determined, to the extent required under applicable tax laws, by reducing the number of Shares designated in the preceding paragraph by the number of Shares granted pursuant to Awards (whether or not Shares are issued pursuant to such Awards), provided that any Shares that are either issued or purchased under the Plan and forfeited back to the Plan, or surrendered in payment of the Exercise Price for an Award shall be available for issuance pursuant to future ISO Awards.

  • Employee Options A regular employee who is subject to displacement shall have the right to select one of the following options. Upon written presentation of the options, the employee shall have 3 full working days to select an option. This time limit may be extended by the mutual agreement of the Parties: (a) accept training, if applicable; or (b) accept placement in a vacant position, either within or outside the bargaining unit, in accordance with the provisions of this Article; or (c) exercise the bumping rights referred to in this Article; or (d) accept layoff, retaining the right to recall and to severance pay in accordance with this Agreement; or (e) accept severance in accordance with Article 9.03 of this Agreement.
