Orders and Deliveries. All orders, processing and deliveries of any Product shall be made in accordance with customary and routine handling of orders, processing and deliveries for fabricated restaurant equipment and furnishings to third parties in respect of the particular Product or type of Product, unless otherwise agreed in writing by both Parties.

Buyer will place its orders timely to facilitate the production scheduling and Seller shall supply in good faith every accepted order and make shipment promptly; Seller shall have the Products prepared and packed for shipment in Seller’s standard shipping packages. Orders by phone always have to be confirmed in written. The lead-time for supply of specialty industrial gases will be explicitly agreed between Parties in written. Every offer, sale and delivery of goods is performed on EXW basis (Incoterms 2010), unless Parties agree otherwise in written. In case of explicit request by Buyer, Seller can perform the loading and transport of the goods for account and responsibility of Buyer. Buyer will inspect and accept the goods immediately upon delivery. Buyer is entitled to refuse the delivered goods but only if these do not comply with the required purity according to the Special Conditions. In such case, Seller shall take back such goods and will send a credit note to Buyer to the value of the non-conform goods. Risk of loss, damages or contamination of the goods is transferred to Buyer at the moment of and on the location of the delivery. The title of ownership on the delivered gases remains with Seller until payment has been completed with regard to the order.

Orders and Deliveries. 13.1 While the Service Provider shall use reasonable commercial efforts to meet delivery and supply times, the Customer's only remedy for unreasonable delay in the supply of the Services will be the right to terminate this Agreement after service of notice of breach to the Service Provider whereupon the Service Provider shall repay to the Customer any sums already paid by the Customer.
