Other Rights and Restrictions. You are not permitted to reverse engineer, disassemble, decompile or modify this product or any portion thereof. This software is Licensed as a single product; You are not permitted to separate and use any portion of it on more than one single workstation. You are permitted to transfer this product and Your rights under this End-User Licence Agreement on a permanent basis to another person or entity. Your rights under this agreement (XXXX) will terminate immediately if You fail to comply with any of the terms and conditions contained within. If this occurs, You must destroy the Software, and all copies of all and any part of it. By using this software, You agree to be bound by the terms of this End-User Licence Agreement. Other Rights and Restrictions. Subject to the preferential rights of any other class or series of stock, all shares of our common stock have equal dividend, distribution, liquidation and other rights, and have no preference, appraisal or exchange rights, except for any appraisal rights provided by Delaware law. Furthermore, holders of our common stock have no conversion, sinking fund or redemption rights, or preemptive rights to subscribe for any of our securities. Other Rights and Restrictions a. As part of providing the Tech Services, we may transfer, process and store your Data outside the European Union and, in particular, in the United States or any other country in which we or our affiliates and agents maintain facilities. By using the Tech Services, you consent to this transfer, processing and storage of Your Data. Our collection and use of personal information, if any, is also subject to our Privacy Policy available at xxxxx://xxx.xxxxxxxx.xx/privacy/privacypolicy. You agree that we may subcontract obligations under these Terms to our affiliates or other third parties, but we will remain liable to you for any subcontracted obligations. b. You agree to not reverse engineer or attempt to extract any of the source code of the Tech Services unless we agree in writing or you are allowed to do so by applicable law. You may only access and use the Tech Services for lawful purposes consistent with the purposes for which we intend it to be used. c. At your sole option, you may provide feedback or suggestions about the Tech Services to us, and if you do provide such feedback or suggestions, then you agree that we may freely use and exploit such feedback and suggestions for any purpose and without any obligation to you. You agree that we may use your name and logo in connection with supporting and marketing our Tech Services, provided that you may request the removal of your name and logo at any time by sending us an email at xxxxx@xxxxxxxx.xxx.
Other Rights and Restrictions. (a) Snap-on Diagnostics reserves the right to use third parties to provide any of the Services under this Agreement (“Third Party Provider”). (b) Snap-on Diagnostics reserves the right to modify or discontinue, temporarily or permanently, all or a part of the Service(s) to the extent such Service(s) are modified or discontinued for substantially all of its customers. (c) Snap-on Diagnostics reserves the right to suspend or terminate provision of any Services in a particular jurisdiction if Snap-on Diagnostics determines, in its reason- able discretion that the Services cannot be provided in accordance with applicable laws. (d) All software deemed outdated by Snap-on Diagnostics must be removed from Customer’s computer and returned to Snap-on Diagnostics upon Snap-on Diagnostics’s request with a certification from Customer that all software has been removed. (e) Snap-on Diagnostics reserves the right to enforce its legal rights against anyone who uses the Services without its consent or in violation of this Agreement. (f) Snap-on Diagnostics reserves the right to make changes in rules of operation, security measures, accessibility, procedures, types of terminal equipment, types of system equipment, operating system requirements, programming languages and any other matters relating to the Services and its use, without notice. (g) Customer, and not Snap-on Diagnostics, shall bear sole responsibility to obtain, maintain and operate, or cause to be obtained, maintained and operated at its own expense, any and all equipment and non-Snap-on Diagnostics software that may be used in conjunction with the Services. (h) Snap-on Diagnostics agrees not to disclose or use any personal data shared with Snap-on Diagnostics except to the extent necessary to carry out its obligations under this Agreement, which may include sharing such data with Third Party Providers. Snap-on Diagnostics reserves the perpetual right to aggregate and mar- ket data collected from a Customer for various purposes, including without limita- tion, benchmarking, research and data analysis, and Customer shall be responsible for providing Customer’s customers with any necessary notice of said right.
