Participation in Benefits. Executive shall be entitled to participate in all Sucampo employee benefit plans or programs offered to other Sucampo employees to the extent that Executive's position, tenure, salary, and other qualifications make Executive eligible to participate in such plans. Sucampo reserves the unilateral right to adopt, continue, discontinue, amend, modify, reduce or expand each and every employee benefit plan, program or other fringe benefit during any term of the Agreement. Participation by Executive in any such plan, program or benefit shall be subject to all applicable rules and regulations.

Participation in Benefits. During the term of Key Employee’s employment by Employer, Key Employee shall be entitled to participate in the employee benefit plans offered generally by Employer to its employees, to the extent that Key Employee’s position, tenure, salary, health, and other qualifications make Key Employee eligible to participate. Key Employee’s participation in such benefit plans shall be subject to the terms of the applicable plans, as the same may be amended from time to time. Employer does not guarantee the adoption or continuance of any particular employee benefit plan during Key Employee’s employment, and nothing in this Agreement is intended to, or shall in any way restrict the right of Employer, to amend, modify or terminate any of its benefit plans during the term of Key Employee’s employment.
Participation in Benefits. Employee shall be entitled to all Benefits on the Effective Date for as long as such Benefits may remain in effect or any substitute or additional Benefits are made available in the future to similarly situated employees of the Company, subject to and on a basis consistent with the terms, conditions and overall administration of such Benefits. Except as provided in Section 4.4, Benefits paid to Employee shall not be deemed to be in lieu of other Compensation to Employee hereunder as described in this Section 3.

Company does not guarantee the adoption or continuance of any particular employee benefit during Employee’s employment, and nothing in this Agreement is intended to, or shall in any way restrict the right of Company, to amend, modify or terminate any of its benefits during the Term of this Agreement.
Participation in Benefits. Unless Employee is terminated for cause or pursuant to Paragraphs 7(a), (b) or (c) (ii), the Company shall maintain in full force and effect, for the continued benefit of Employee until the then applicable Expiration Date determined pursuant to Paragraph 7(f), all employee benefit plans and programs in which the Employee was entitled to participate immediately prior to the Date of Termination provided that the Employee's continued participation is possible under the general terms and provision of such plans and programs. In the event that the Employee's participation in any such plan or program is barred, the Company shall arrange to provide the Employee with benefits substantially similar to those which the Employee would otherwise have been entitled to receive under such plans and programs from which his continued participation is barred. Unless Employee is terminated for cause, pursuant to Paragraph 7(c)(2) or upon a Change in Control, the Company, at its expense, shall maintain in full force and effect until the earlier of (A) the then applicable Expiration Date determined pursuant to Paragraph 7(f), or (B) Employee's commencement of full-time employment with a new employer (if applicable), for the continued benefit of Employee and/or his spouse and dependent children, all life, disability, medical, dental, accident and health insurance coverage to which they were entitled immediately prior to the Date of Termination. In the event that such participation in any such coverage is barred under the general terms and provisions of the plans and programs under which such coverage is provided, or any such coverage is discontinued or the benefits thereunder materially reduced, the Company shall provide or arrange to provide benefits substantially similar to those which Employee and/or his spouse and dependent children were entitled to receive under such coverage immediately prior to the Notice of Termination. Unless Employee is terminated pursuant to Paragraph 7(a), at the end of the period of coverage hereinabove provided for, Employee shall have the option to have assigned to Employee at no cost and with no apportionment of prepaid premiums, any assignable insurance owned by the Company and relating specifically to Employee and Employee shall be entitled to all health and similar benefits that are or would have been made available to Employee under law.

Participation in Benefits. The Executive shall be eligible to participate in, and receive benefits under, any pension, profit sharing, medical, group health, hospitalization and disability insurance, stock purchase, stock option, stock ownership, vacation or other employee benefit plan, program or policy of the Company which may be in effect at any time during the course of his employment by the Company and which shall be generally available to senior executive officers of the Company occupying positions of comparable status or responsibility, subject to the terms of such plans, programs or policies. In addition, the Executive shall receive annual reimbursement of up to $10,000 per calendar year for aggregate expenses incurred for financial planning, including the preparation of income tax returns, upon presentation of appropriate receipts for such expenses; provided that (i) the amount of such expenses eligible for reimbursement in one calendar year shall not affect the amount of such expenses eligible for reimbursement in any other calendar year, and (ii) such reimbursement shall be made promptly and in no event later than December 31st of the calendar year next following the calendar year in which such expenses were paid by the Executive.
