In the event (i) Provider Processes credit, debit, or other payment cardholder data (such as “primary account number" and “sensitive authentication data” as defined under the Payment Card Industry Data Security Standard (“PCI DSS”)), (ii) the Services impact the security of any cardholder data environment, (iii) or any Card Association Requirements (defined below) apply to the Services, Provider shall comply with all rules and regulations of Visa, Mastercard, American Express, and any other payment card association (each a “Payment Card Association”), including PCI DSS, the Payment Application Data Security Standard (“PA‐DSS”), and the most current version of any other Payment Card Association data security, disaster recovery, or similar programs or requirements (“Card Association Requirements”), as applicable. Aramark reserves the right to terminate the Agreement, upon notice to Provider, without liability to Aramark, if a Payment Card Association finds that Provider has failed to cure any non‐compliance with such Card Association Requirements within the timeframe for remediation established by such Payment Card Association. Any such non‐ compliance or failure by Provider will be deemed a material breach under the Agreement. Prior to Provider Processing any credit, debit, or other payment cardholder data, and on each anniversary of the Agreement Effective Date, Provider will submit to Aramark a summary of its PCI DSS and PA‐DSS assessment results (as applicable) and any remediation efforts. In addition, Provider agrees to promptly: (a) provide to Aramark any other data security reports as required by any Payment Card Association; (b) pay to such Payment Card Association any fines and penalties for any failure of Provider to comply with any data security requirements; and (c) provide full cooperation and access to permit such Payment Card Association to conduct a security review of Provider’s policies and procedures, and infrastructure related to payment processing. Provider shall promptly provide, at Aramark’s request, current certification of compliance with the PCI Standards, by an authority recognized by the payment card industry for that purpose. If during the term of a relevant agreement, Provider undergoes, or has reason to believe that it shall undergo, an adverse change in its certification or compliance status with the PCI Standards, Provider shall promptly notify Aramark of such circumstances. If Client will request or have access to credit card information, Client represents that it is presently in compliance with, and will remain in compliance with, an approved version of the Payment Card Industry Data Security Standard, developed and published jointly by American Express, Discover Financial Services, JCB, MasterCard Worldwide and Visa International (“Card Issuers”) or the PCI Security Standards Council (the “Council”), as applicable, for protecting individual numbers used to identify credit and debit card accounts and other personally identifiable information relating to the use of such credit and debit card accounts (“Cardholder Information”), as the same may be amended, updated, replaced or augmented by the Card Issuers and the Council (the “PCI Standard”). Client acknowledges that it may, in connection with performing its duties in accordance with this Agreement, have access to, or be provided, Cardholder Information. Client may not commit any act or omission that causes MMI to be in violation of the PCI Standard or to be fined, sanctioned or penalized by Card Issuers, the Council or any third party for the failure to properly protect, secure, maintain, use and store Cardholder Information. Client further acknowledges and agrees that, as between Client and MMI, all Cardholder Information is, and will remain, controlled by and the responsibility of Client. Client further acknowledges and agrees that Client is solely responsible for the security of Cardholder Information that it possesses or controls.
