Permitted Use of Services. Customer’s use of TCS Application System shall always be subject to the Licensing Conditions stipulated in Schedule 2. In case the TCS Application System includes a third party software (identified in Schedule 1), and where such third party licensor requires Customer to sign a license agreement, the Customer agrees to execute such third party software license agreement, which shall prevail upon any conflicting provisions herein. Such third party software license agreement shall not become a part of this Agreement.

Permitted Use of Services. Users may access and use the Services in accordance with Article 4. Customer may use the Services for thought leadership publications, marketing materials, and client proposals (collectively, “Internal Use”), provided that Customer provides attribution to Replica in accordance with Subsection 4.5 and 4.6. Customer may share data obtained from the Services with consultants, contractors, and partners in accordance with Section 4.3. Customer may only use Replica Data obtained from the Services for Internal Use or uses otherwise specified in an applicable Order.
Permitted Use of Services. Purchaser’s use of Supplier Applications System will always be subject to the Licensing Conditions of the Supplier.  Training & Support : The Supplier will configure & provide access to procured modules, demonstrate and train main Users & extend on-line service support to actual Users. The Supplier will give adequate training to the Users.  Privacy of Purchaser data: Purchaser Data and processes privacy will be maintained by the Supplier. Only sample data may be used for demonstration to probable clients. No Data will be shared by Supplier with any third party for profit making.  Purchaser Data Inspection & reporting : As a security measure, Supplier will continuously inspect, analyze the Purchaser data for any exceptions / challenges / data corruptions/ bugs / frauds / malpractices. Many reports will be generated & sent to Supplier on daily basis via email / post. Some reports / SMS will be auto generated.  If errors are found, will either correct it or will inform to Purchaser authorities for their study & further probable action.  ERP Usages support : Supplier will assist Purchaser Users in effective utilization of Cloud ERP modules.  No sharing of password : Supplier team will never ask for User password from any User. Purchaser’s User should never share password with Supplier team. Supplier team will never do any data entry / correction, processing work on behalf of Purchaser. Supplier can support Purchaser Users in doing their work at initial stages.  Common corrections: In general, supplier will not modify finance data or exam marks or any other critical data of Purchaser without written / email consent from Purchaser. However some routine corrections / mistakes like updating : Common spelling mistakes in Master data, allotting common medium to many students, course level definition like - UG, PG…etc. which are essential for generation of many MIS & ADMS reports will be done by Company with due care. Theses corrections will be duly informed to Purchaser via e-mail.  IT Infrastructure: Purchaser will provide necessary hardware with healthy high speed internet to Purchaser’s Users. Healthy – Continuous – good Bandwidth in- campus Internet Connection from multiple agencies is most essential need of Cloud based ERP.  ERP Co-coordinator: Purchaser will provide one Co-coordinator / System Administrator for coordinating various activities with the Supplier for ERP implementation.  Training support : Institute will ensure that the key personnel ar...
Permitted Use of Services. Subject to the terms and conditions of the Master Agreement, Stentor hereby grants Customer a non-exclusive, non-transferable (except in accordance with Section 10.5 of the Master Agreement), non-sublicensable, limited right during the Term to access and use the System solely to permit Authorized Users to view, manipulate, distribute and otherwise use Studies in connection with Customer's and its Affiliates internal business purposes (including, without limitation, research and educational purposes). Customer will not provide access to any portion of the System to any person or entity other than its Authorized Users who are bound by confidentiality provisions as protective of Stentor's confidential information as those contained in the Master Agreement. An "Authorized User" shall be limited to the following: a current employee or independent contractor of Customer or its Affiliates, or a health care professional, clinician, student (or their staff) with privileges at Customer's or its Affiliates' facilities and researchers that (a) have been assigned a unique password or other identifier by Customer, and (b) use the Client Software solely to perform duties within the scope of Customer's, its Affiliates' or the applicable user's internal business purposes. Authorized Users may access the System locally or remotely to view Studies. Customer may reproduce and install the Client Software on an unlimited number of Client Devices for use in connection with the System, provided that all such copies bear all of the proprietary notices on or in the original. Stentor retains title to all such copies.

Related to Permitted Use of Services

  • Use of Services Subject to the terms of this Agreement, Stripe grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free license during the Term to access the Documentation, and access and use the Stripe Technology, as long as your access and use is (a) solely as necessary to use the Services; (b) solely for your business purposes; and (c) in compliance with this Agreement and the Documentation.

  • Use of Service Areas The service areas, as located within the Project, shall be ear- marked for purposes such as parking spaces and services including but not limited to electric sub-station, transformer, DG set rooms, underground water tanks, Pump rooms, maintenance and service rooms, firefighting pumps and equipment etc. and other permitted uses as per sanctioned plans. The Allottee shall not be permitted to use the services areas in any manner whatsoever, other than those earmarked as parking spaces and the same shall be reserved for use by the Association for rendering maintenance services.

  • COMMERCIAL REUSE OF SERVICES The member or user herein agrees not to replicate, duplicate, copy, trade, sell, resell nor exploit for any commercial reason any part, use of, or access to 's sites.

  • Supply of Services 7.1 Supplier shall provide the Services to Purchaser in accordance with the Order in all material respects using reasonable care and skill. 7.2 Supplier shall use reasonable endeavours to meet any performance dates for the Services specified in the Order but any dates shall be estimates only and time shall not be of the essence for the performance of the Services. 7.3 Supplier shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirements or which do not materially affect the nature or quality of the Services. 7.4 Purchaser shall: (a) ensure that the terms of Order are complete and (if submitted by Purchaser) the service specification are complete and accurate; (b) co-operate with Supplier in all matters relating to the Services; (c) provide Supplier, its employees, agents, consultants and subcontractors with access to Purchaser’s premises, machinery and other facilities as reasonably required by Supplier to provide the Services; and (d) provide Supplier with such information and materials as Supplier may reasonably require to supply the Services, and ensure that such information is accurate in all material respects. 7.5 If Supplier’s performance of any of its obligations in respect of the Services is prevented or delayed by an any act or omission by Purchaser or failure by Purchaser to performs its obligations (“Purchaser Default”) Supplier shall without limiting its other rights or remedies have the right to suspend performance of the Services until Purchaser remedied Purchaser Default and relieves Supplier from its obligations to the extent the Customer Default prevents or delays Supplier’s performance. Purchaser shall indemnify Supplier against all liabilities costs, losses and expenses which Supplier may incur by reason of Purchaser Default. 7.6 Where the Services consist of any experimental or developmental work, the results supplied or recommendations made under the Services are given in good faith within the limitations of the data available, but no warranty, expressed or implied, is given as to the ability of Supplier to achieve a specific outcome, nor the accuracy of results obtained. 7.7 Any claims by Purchaser which is based on defect in the Services shall be notified to Supplier within twenty-one (21) days of the services being performed and promptly after discovery of defect or failure. The sole and exclusive remedy of Purchaser for such defect hereunder shall be the re-performance or re- fund, at Supplier’s option, of any defective or non-conforming Services.

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Nature of Services The Individual Contractor shall perform the services as described in the Terms of References which form an integral part of this Contract and are attached hereto as Annex I in the following Duty Station(s): .

  • General Scope of Services Contractor promises and agrees to furnish all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply professional services, as more particularly described in Exhibit B (Statement of Work and Misc. Documents) attached hereto and incorporated herein by reference (collectively “Services”). All Services shall be subject to, and performed in accordance with, this Contract, the exhibits attached hereto and incorporated herein by reference, and all applicable local, state and federal laws, rules and regulations.
