Division of Responsibility. 4.1 The Processor will carry out the permitted processing activities within a computerised or semi-computerised environment.
4.2 The Processor is solely responsible for the processing of the personal data under this Processing Agreement, in accordance with the instructions of the Controller and under the express ultimate responsibility of the Controller. The Processor is not responsible for any other processing of personal data, which in any case includes but is not limited to collection of personal data by the Controller, processing for purposes that the Controller has not reported to the Processor and processing by third parties and/or for other purposes. The responsibility for any such processing lies solely with the Controller.
4.3 The Controller guarantees that the contents, the use and the instruction to process the personal data as referred to in the Processing Agreement are not unlawful and do not constitute a breach of any right of third parties.
4.4 From the moment that the GDPR enters into effect on 25 May 2018, the parties will keep a register of the processing provided for in this Processing Agreement.

Division of Responsibility. 1. The Processor will only be responsible for the processing of the Personal Data under this Data Processing Agreement, in accordance with the Controller's instructions and under the express (ultimate) responsibility of the Controller. The Processor will expressly not be responsible for any other processing of Personal Data, in any event including but not limited to the collection of Personal Data by the Controller, processing for any purposes not communicated by the Controller to the Processor, and/or processing by third parties and/or for other purposes.
2. The Controller warrants that the content, the use and the instruction for the processing of the Personal Data as referred to in this Data Processing Agreement will not be unlawful and will not infringe any third-party rights.
3. The Controller will at all times warrant the lawfulness of these processing activities and warrant that its systems and infrastructure will at all times be adequately secured.
4. The Controller will be responsible for assessing whether the Processor offers sufficient warranties in terms of application of appropriate technical and organisational measures so that the processing activities meet the requirements of the GDPR and/or any other applicable laws and regulations and the protection of the rights of Data Subjects is sufficiently safeguarded.
5. Without prejudice to the Processor's or Controller’s other rights, parties will indemnify each other against any damage, third-party claims and fines imposed by supervisory authorities for the situations in which either party acts contrary to the provisions of this Data Processing Agreement, the annex pertaining hereto and/or the General Data Protection Regulation and/or any other applicable laws and regulations.
6. The Processer will immediately inform the Controller if in its opinion, an instruction violates the General Data Protection Regulation and/or any other applicable laws and regulations.

Division of Responsibility. 1. The coordinator and the partner organisation must follow the approved application (Xxxxx XXX to this contract) and current schedule and deadlines. The contractual parties commit to execute any steps necessary for preparation, implementation, and correct management of the project in accordance with project objectives, as declared in the Grant Agreement. The contractual parties also commit to observe all provisions of the Grant Agreement which are imposed on the coordinator by the NA.
2. The coordinator is the grant recipient, acts as a project coordinator, and ensures administrative cooperation and communication with the NA.

Both the coordinator and the partner organisation are obligated to ensure participation of at least one representative in: • monthly online conference calls/ monthly reviews – WP1 Project management • regularly bi-monthly operational progress meetings convened by the coordinator online • transnational project meetings (TPM1, TPM2, TPM3) – face-to-face personal meetings
4. In case the partner organisation is a leader of one of the project activities according to the project proposal, it will ensure the organization of activity meetings including the minutes of them.
5. The partner organisation commits to the coordinator, within the project implementation cooperation, to execute individual operations declared in the project (in particular in Annex III to this contract) and which lead to project implementation in defined deadlines and in defined extent.
6. The coordinator is obliged to clearly inform about: • regular requirements to partner organisations, • deadlines and agenda of project meetings, • changes in the project application and current schedule.
7. The partner organisation is obliged to actively, and according to coordinator’s instructions, cooperate on work packages WP2, WP3, WP4, WP5 and it is responsible for evaluation and dissemination activities related to the project partnership.

The contractual parties are obliged to inform each other without any delay about all changes related to the project or about a possible incapability of the parties to properly and timely fulfil duties implying from this agreement as well as about all other relevant changes affecting the position of the contractual parties and fulfilment of this agreement.

Attached as Exhibit 9 is a matrix setting forth the relative roles and responsibilities of Owner actions and decisions under this Agreement as well as other IPD Team Members. IPD Team Members shall be entitled to rely upon any person identified in that matrix, as may be modified in writing during the Project, as having authority to act on behalf of the designated IPD Team Member with respect to any subject matter identified as such person's responsibility in the matrix.

In this context, the Data Controller indemnifies the Data Processor of all claims and actions of third parties related to the processing of Personal Data without express consent and/or legal basis under this Data Processing Annex.
