Price and Taxes. Price and delivery terms are as stated on the face of the Order. Unless otherwise provided on the face of the Order, the price includes (i) all costs to comply with the terms and conditions of the Order; (ii) any and all taxes, including sales, use, excise, value added and other taxes; and (iii) fees, duties, or other governmental impositions on the sale of the goods or services covered by the Order. If Purchaser or Purchaser’s customer is required to pay any taxes or other impositions, Vendor will promptly reimburse Purchaser. Notwithstanding the foregoing, Purchaser shall pay G.S.T./H.S.T. and provincial sales tax, if applicable.
Price and Taxes. The price for the goods and services hereunder are those shown on the face of this Agreement. The price of this Agreement does not include sales, use, excise, duties or other similar taxes, unless otherwise expressly provided herein. Any taxes (other than taxes due on Seller’s net income) that are payable hereunder shall be the responsibility of Xxxxx. If applicable, Buyer shall provide Seller a copy of any appropriate tax exemption certificate for the state(s) into which the goods are to be shipped.
Price and Taxes. The prices for the purchase of goods or services shall be set out in the applicable Agreement. The prices set forth in the Agreement are all inclusive, including, but not limited to taxes, the cost of packing, crating, materials and delivery to the DDP (Incoterms 2010) point. Unless otherwise specifically agreed in writing, Buyer shall be responsible for payment of all freight charges and any freight charges incurred by Myriant, including any increases in charges, shall be for the account of Buyer and shall apply to any balances unshipped or undelivered from warehouse at time the freight increase becomes effective. Any tax, tariff, duty or charge which Myriant may be required to pay or collect, now or hereafter imposed by any governmental authority or agency, foreign or domestic, with respect to the sale, purchase, production, processing, storage, delivery, transportation, use, or consumption of any of the products or services covered hereby, including all taxes upon or measured by receipts from sales or services, shall be for the account of Buyer, and any such charges may be added by Myriant as a separate item to Myriant’s invoices.
Price and Taxes. A. The purchase price (“Price”) for each Good and payment terms are set forth in the Order. If payment terms are not stated in the Order, Xxxxxx’s invoices will be payable on the first Friday following the later of 60 days after the date of Xxxxx’s receipt of the Goods or Seller’s invoice. B. Seller warrants and agrees that the Price fixed and complete, and is not subject to increase for any reason, including, but not limited to, increases in raw material or component costs (because of tariffs or otherwise), labor costs, or overhead costs. The Price may be subject to mandatory decrease if so provided in the Order. Seller is solely responsible for any and all material surcharges, transport and unloading charges and costs, packaging, labeling, customs charges and costs, taxes, tariffs, duties, storage, handling, insurance charges and costs, boxing and crating, and any other charges related to the Goods. By accepting the Order, Xxxxxx accepts the risk of any increase in costs and any other eventuality that may result in a loss to Seller, including, without limitation, with respect to tariffs. Seller may not, under any circumstances, increase the Price or refuse to perform or deliver for any reason including because of increased costs, loss of anticipated profits, inaccurate or erroneous data used in Seller’s quotations, unrealized assumptions, unforeseen circumstances (including, without limitation, tariffs), regulations, industry changes, or any other reason. C. In addition to any right of setoff or recoupment provided or allowed by law, all amounts due Seller, or any of Seller’s subsidiaries or affiliates, will be considered net of indebtedness or obligations of Seller, or any of Seller’s subsidiaries or affiliates, to Buyer, or any of Buyer’s subsidiaries or affiliates, and Buyer may setoff against, or recoup from, any amounts due or to become due from Seller, or any of Seller’s subsidiaries or affiliates, to Buyer, or any of Buyer’s subsidiaries or affiliates, however and whenever arising. If Buyer reasonably feels itself at risk, Buyer may withhold and recoup a corresponding amount due Seller or any of Seller’s subsidiaries or affiliates to protect against such risk.
Price and Taxes. The price of the Products is the price stated on the Purchase Order. Unless otherwise specified in the Purchase Order, the price does not include any applicable tax, assessment, duty, tariff or other charge, including any interest, penalties or other additions that may become payable in respect of such taxes, assessments, duties, tariffs or other charges, which may be levied by any governmental authority upon purchase, import, delivery, consumption or use of the Products (“Taxes”), except for sales of Products manufactured in Canada to WFP in the United States, in which case the price includes brokerage, freight, discounts and duties, including without limitation anti-dumping and countervailing duties. Any Taxes, whether imposed prior or subsequent to delivery to WFP, shall be paid by WFP, unless WFP provides a valid reseller certificate or other exemption for such Taxes in the State or Province, as applicable, in which the Products are delivered to WFP.
Price and Taxes. Unless otherwise set forth in the Agreement, the price of Goods and Refining Services excludes all taxes, duties, fees, and other charges, which are the responsibility of Customer. If Umicore must collect or pay any such tax, duty, fee, or charge, then Umicore may add such amounts to the price and they will be paid by Customer. Prices are subject to change. Customer is responsible for and shall pay any tax, fee, or other charge related to the: (i) establishment, maintenance, closing, or liquidation of any Metal Account; and (ii) purchase, sale, or delivery of any Metal credited thereto.
