Processor Services. The Parties expressly acknowledge and agree that, to the extent applicable, the Client acts as a Controller in respect of the Processor Services Data and Medigold Health as a Processor in respect of such data, on the basis that the Client determines the purposes and means of processing the Processor Services Data and Medigold Health acts solely under the instructions of the Client.

Processor Services. Processor Services as used herein shall refer to Customer’s use of the Matterport Services pursuant to the Terms of Use or the Agreement, for which Matterport acts as a Processor.

Additionally, Xxxxxxxx agrees to obtain the consent of each principal to the Provision of Personal Data to a Third Party including those in a Foreign Country as contemplated under this DPA by providing necessary information for the principal to give consent thereto, if and to the extent required under the Japanese Data Protection Laws. 8.2.2.2 To the extent required by Japanese Data Protection Laws, Sections 8.2.1.1 to 8.2.1.5 are incorporated by reference as if fully stated forth herein.
Processor Services. 1.1 Processor shall handle the Waste Material in a careful, workmanlike, and lawful manner, and in accordance with all applicable state and federal regulations.
Processor Services. 2.1 During the Term, Processor shall, and NAC shall use commercially reasonable efforts to cause Processor to: (a) offer and make available to the Customers the Toll Processing Services; (b) offer and make available to the Customers the Other Services; (c) deal with all Scrap, as described and provided for in Section 2.4; and (d) perform the other obligations relating to the Services on its part herein contained; all in accordance with the terms of this Agreement. 2.2 The Toll Processing Services shall consist of: (a) receiving and storing all Steel supplied for processing in accordance with the scheduling requirements set forth in Article Six; (b) inspecting in accordance with the Customer Manual all Steel delivered for processing; (c) processing all Steel so supplied through the Galvanizing Line in accordance with the requirements specified by the Customer and the scheduling procedures in effect from time to time; (d) providing to the Customer, on a timely basis via compatible electronic or written format, scheduling, product quality, metallurgical, production and shipping information required by such Customer in accordance with Work Orders and Customer Manual; (e) statistical process control testing in accordance, with Customer Specifications; (f) labeling, including bar coding, of all processed Steel in accordance with Customer's instructions; (g) mechanical property testing and reports with respect to each Customer's Steel in accordance with the Customer Manual and Work Orders; (h) inspecting all processed Steel prior to shipping, except Steel which is inspected at the Facilities in accordance with Subsection 2.3(a) or which is inspected by Customer's inspector; (i) making trucking arrangements for shipping processed Steel to such location as Customer may designate and loading Products on to trucks for shipment FOB the Facilities in accordance with Customer's instructions and procedures; and (j) services necessarily incidental to the foregoing which are not Other Services. 2.3 The Other Services to be offered and provided by the Processor to Customers shall consist of: (a) rewinding and inspection of processed Steel on the Customer Service Line in accordance with the instructions and procedures contained in the Work Orders and Customer Manual; (b) packaging of all processed Steel for shipping in accordance with the instructions and procedures contained in the Work Orders and Customer Manual; and (c) such other services as Processor may offer to Custom...

  • Custodial Services The charges and expenses of the custodian appointed by the Trust for custodial services;

  • Hosted Services 3.1 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services for the business purposes of the Customer in accordance with the Documentation during the Term. 3.2 The Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account to enable the Customer to configure and administer the Hosted Services and enable registration of Customer End Users. 3.3 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 is subject to the following prohibitions: (a) the Customer must not sub-license its right to use the Hosted Services; (b) the Customer must not make any alteration to the Platform; and (c) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern the availability of the Hosted Services. 3.7 The Customer must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account comply with the Terms Of Use. 3.8 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

  • Related Services Licensee shall be responsible for obtaining and installing all proper hardware and support software (including operating systems) and for proper installation and implementation of and training concerning the Licensed Software. In the event that Licensee retains Licensor to perform any services with respect to the Licensed Software (for example: installation, implementation, maintenance, consulting and/or training services), Licensee and Licensor agree that such services shall be subject to Licensor’s then current standard terms, conditions and rates for such services unless otherwise agreed in writing by Licensor.
