Project Manager’s Obligations. Upon the expiration or earlier termination of this Agreement, Project Manager shall promptly: 10.2.1 Upon request by County, deliver to County or such other person as County shall designate all materials, supplies, equipment, keys, contracts and documents, all books of account maintained pursuant to Article 7.1 hereof, and all records maintained pursuant to Article7.2 hereof, pertaining to this Agreement and the Project. 10.2.2 Subject to Project Manager’s obtaining any consent of any third party required therefor, assign all existing contracts approved by County relating to the Project to County or such other person or entity as County shall designate. Any contract or agreement that Project Manager negotiates on behalf of County that is subject to this paragraph shall contain a statement that prohibits such third party from unreasonably withholding the requisite consent. 10.2.3 Furnish all such information, take all such other action, and cooperate with County as County shall reasonably require in order to effectuate an orderly and systematic termination of Project Manager’s services, dutie s, obligations and activities hereunder. 10.2.4 Within thirty (30) days after the expiration or termination of this Agreement, cause to be furnished to County a report similar in form and content to Project Manager’s monthly reports covering the period from the last previous monthly report to the date of expiration or termination of this Agreement. 10.2.5 Furnish a report of all outstanding orders for services, materials and supplies ordered by Project Manager as a result of its obligations arising under this Agreement at the time of expiration or termination. Such report shall include the status of payment for such services, i.e., whether they have been charged to or paid by Project Manager, and whether they have been charged to or paid by County. Such report shall be furnished no later than thirty days after the date of expiration or termination.

Project Manager’s Obligations. 3.1 The Project Manager shall provide the Services in accordance with the terms of this Agreement and shall exercise all the reasonable skill, care and diligence to be expected of an appropriately qualified and experienced Project Manager, Cost Planner and CDM Co- ordinator in connection with an exhibition of a similar size, scope and complexity to that of the Exhibition. The Project Manager shall at all times comply with the instructions of the Client in relation to the Services and the Exhibition. 3.2 The Project Manager shall use through reasonable endeavours his skill, care and diligence referred to in Clause 3.1 to see that each element of the Exhibition separately identified in the Cost Plan can be constructed within the allowances for such element contained in the that Plan. To the extent that tenders for the Contract exceeding the allowances contained in the Cost Plan, the Project Manager through his best endeavours shall, in conjunction with the Consultants, perform the Services in connection with any amendment and modification of the design at no cost to the Client in accordance with the Design Brief and so that tenders for the same are within such allowances.
Project Manager’s Obligations. 4.1 The Project Manager must perform and carry out all of its obligations under the Agreement and must provide the Services with all due care and diligence and with the skill to be expected of a reputable Project Manager experienced in the types of Services to be provided and Operations to be performed under the Agreement. 4.2 In the conduct of the Services, the Project Manager will: (a) perform the Services in accordance with the applicable law, this Agreement, the decisions of the Company Representative not in conflict with this Agreement or any applicable law and, to the extent practicable, in accordance with any requirements of the ISA Contract that have been notified by the Company to the Project Manager under clause 8.2(a); (b) provide the Services in accordance with the dates and milestones set out in the Company’s Campaign Schedule; (c) prepare and submit to the Company Representative in a timely manner, and as contemplated by this Agreement, all proposed Contracts, Project Schedules and any relevant procedures; (d) upon receipt of reasonable advance notice, permit representatives of the Company to have at all reasonable times during normal business hours and at Company’s risk and cost reasonable access to Services, to observe and inspect the Services; in respect of any Services being provided offshore such access shall be granted 24 hours per day during operational periods; (e) establish and implement in accordance with clause 14 an HSE plan and perform the Services in a safe manner in accordance with the HSE plan; (j) seek Company approval prior to the engagement or appointment of Key Personnel to provide Services and prior to replacing any of the Key Personnel; (k) ensure that sufficient number of personnel are assigned to the performance and completion of the Services in accordance with the provisions of the Agreement. Where the Project Manager reasonably believes that additional personnel are required to meet any deadlines for the Services, the Project Manager will seek the Company Representative’s approval prior to engaging additional personnel in relation to the Services; (l) ensure that all persons employed by the Project Manager on the Services must be competent, properly qualified, skilled and experienced in accordance with good industry practice.
