Project Obligations. All indebtedness, obligations and liabilities of the Borrower to the Lender existing on the date of this Agreement or arising thereafter, direct or indirect, joint or several, absolute or contingent, matured or unmatured, liquidated or unliquidated, secured or unsecured, arising by contract, operation of law or otherwise, arising or incurred under this Agreement or any of the other Loan Documents or in respect of any of the Advances or the Note.

For avoidance of doubt, the funding shall not be used to purchase an asset;

Project Obligations. 17.1 The Grant Recipient shall in relation to each Named Project developed or Rehabilitated with the benefit in whole or in part of Total Project Grant and on a Project Information Basis: 17.1.1 at all times maintain a full record of the income received and Development Costs incurred by the Grant Recipient in respect of the Named Project; 17.1.2 when reasonably required to do so by the GLA, promptly provide a copy of the information referred to in Condition 17.1.1 as the GLA may reasonably require. 17.2 The Grant Recipient shall, as and when requested by the GLA make available in a timely manner to the GLA where required in connection with this Agreement a copy of each of all data, materials, documents and accounts of any nature created, acquired or brought into existence in any manner whatsoever by or on behalf of the Grant Recipient for the purposes of this Agreement. 17.3 On the expiry of this Agreement or (if earlier) upon termination thereof, the Grant Recipient shall if requested to do so deliver up to the GLA all the data, materials, documents and accounts referred to in this Condition 17 which it has in its possession, custody or control or as otherwise directed by the GLA. 17.4 The Grant Recipient must for a period of ten (10) years from date upon which it receives or uses the Total Project Grant retain all of the data, documents, materials and accounts referred to in this Condition 17 and the Grant Recipient may retain such data, documents, materials and accounts in electronic form only. 17.5 The Grant Recipient acknowledges that the GLA may disclose or otherwise grant access to the information referred to in this Condition 17 to those who are responsible for the proper administration of its financial affairs (whether those persons are employed or engaged by the GLA directly or externally by duly authorised third parties).
Project Obligations. In consideration of and as a material inducement for the Commission satisfying in full its obligations hereunder and the taking of certain other actions by the Commission all as described herein, Developer shall fully satisfy each of the following commitments (individually or collectively, the “Project Obligations”):

Reports must be in a format provided by OBDD and completed in a manner determined acceptable by OBDD. (4) Complete the Project according to the Project Description in Exhibit B and the Project Budget in Exhibit C, unless otherwise allowed in writing in advance by OBDD. (5) Complete the Project, including any cost overruns, using its own fiscal resources or money from other sources to pay for any Costs of the Project in excess of the total amount of financial assistance provided by OBDD through this Contract. (6) Complete the Project no later than the Project Completion Deadline, unless otherwise permitted by the OBDD in writing. (7) Permit OBDD to conduct field engineering and inspection of the Project at any time. (8) Obtain and maintain as-built drawings for all facilities constructed as part of the Project.

Project Obligations. Recipient shall: (1) When procuring professional consulting services, provide OBDD with copies of all solicitations at least 10 days before advertising, and all contracts at least 10 days before signing. Provide OBDD with copies of all plans and specifications relating to the Project, and a timeline for the bidding/award process, at least ten (10) days before advertising for bids. (2) Provide a copy of the bid tabulation and notice of award to OBDD within ten (10) days after selecting a construction contractor. (3) Permit OBDD to conduct inspection of the Project at any time. (4) Complete the Project using its own fiscal resources or money from other sources to pay for any Costs of the Project in excess of the total amount of financial assistance provided pursuant to this Contract. (5) Complete the Project no later than the Project Completion Deadline, unless otherwise permitted by OBDD in writing. (6) Provide status reports to OBDD for the Project bi-annually on a form provided for or approved by OBDD. Reports are due January 30 (for the period May 16 – December 31) and June 1 (for the period January 1 – May 15) each year until the final project completion report detailed in subsection (7) below is accepted by OBDD or until this Contract is terminated. Status reports shall include a minimum of the following: (a) an updated Estimated Project Cost; (b) any revisions to the Project description (may require Contract Amendment); (c) updated totals for state and local government Project financing support, noting grant and loan amounts and program names; (d) an updated list of other sources of financing anticipated to complete the Project, noting grant and loan amounts and program names and noting whether they have been secured or are pending; (e) an updated estimated Project completion timeline; (f) an updated number of existing and additional/ new housing estimated to be served by the completed Project; and (g) an updated number of units anticipated to be served by the completed Project that will be affordable housing units along with their respective anticipated area median income restriction. (7) No later than the Project Closeout Deadline, provide OBDD with a final project completion report on a form provided by OBDD, including Recipient’s certification that the Project is complete, all payments are made, and no further disbursements are needed; provided however, for the purposes of this Contract, OBDD will be the final judge of the Project’s completion. Project Obligations. The Parties agree to identify and undertake all Project Activities required to in order to address all applicable issues as expeditiously as possible and in accordance with budgets and operating plans prepared by the Parties and approved by the Intermunicipal Committee from time to time. Subject to further agreement of the parties to proceed, the Project Activities shall not include any physical work, construction, or provisions of Water Services themselves. The purpose of the Project shall be to investigate and review the options and alternatives presented to the Parties and thereafter construct the necessary infrastructure to implement the Project, subject always to the satisfaction of the Conditions Precedent.
