PURPOSE OF THE ALLIANCE. The purpose of this Agreement is to define a strategic, non-exclusive alliance between the Parties in order to offer products and services through the cooperative deployment of facilities and interconnection of networks that will be designed to carry voice and data on a seamless nationwide and international basis (the "Alliance"). The Parties acknowledge that the activities and relationships addressed by the Alliance are subject to statutes and regulations of Mexico and the United States. Notwithstanding anything to the contrary contained in any agreement between the Parties including the prospective SBC/Telmex/WCI Alliance Agreement and this Agreement, the Parties will not take any action and will not be bound to act in connection with the Alliance which would constitute a violation of applicable law or take an action which requires governmental or any third party approval without first obtaining such approval.
PURPOSE OF THE ALLIANCE. The Parties desire to create a manufacturing outsourcing relationship which allows Zhone to minimize the need for cash investments in its own operations and allows Solectron to establish an ongoing outsourcing model for Zhone’s worldwide supply chain needs, including but not limited to new product introductions, printed circuit board assembly, systems assembly, order fulfillment, logistics and distribution.
PURPOSE OF THE ALLIANCE. The purpose of the alliance will be to identify and evaluate potential sites ("Sites") for the development of Facilities to be located generally along the pipeline system of CNG's Affiliates in Ohio, Pennsylvania, New York, West Virginia and Virginia, and, through one or more Affiliates of the Parties, to seek to develop, own, operate and maintain such Facilities and to market power and other energy products generated thereby.
PURPOSE OF THE ALLIANCE. The purpose of this Alliance is to provide a mechanism for the Parties to participate in activities intended to create mutual cost reduction or add value to the respective parties' enterprises. Within the spirit of this purpose, the Parties propose to share information and co-operate with each other to the extent permitted by applicable law and this Agreement as follows:
PURPOSE OF THE ALLIANCE. 4.1 The Parties agree and undertake to each other that the purpose of the Alliance is to integrate track and train in order to deliver the best outcomes for Scotland’s economy, society and users of the railway.
