Quality Control and Inspection. 16.1. The Supplier shall allow the Company access to the Supplier’s manufacturing site to carry out any quality audit or work in progress inspection. 16.2. At any time prior to delivery of the Goods to the Company, the Company shall have the right, at all times, to inspect and test the Goods and the Supplier shall provide the Company with all facilities reasonably required for such inspection and testing. 16.3. If the results of such inspection or testing cause the Company to be of the opinion that the Goods do not conform or are unlikely to conform with the Order or to any specifications and/or patterns supplied or advised by the Company to the Supplier, the Company shall inform the Supplier within 14 days of the inspection and/or testing and the Supplier shall immediately take such action as is necessary to ensure conformity and in addition the Company shall have the right to require and witness further testing and inspection. 16.4. Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not diminish or otherwise affect the Supplier’s obligations under the Contract.

Quality Control and Inspection. The use by SSG of the Trademarks and the manufacture and sale of any Products in association therewith, shall substantially conform to the standards of quality employed by SSG as of the Effective Date. SSG shall permit Equilink and its designees, on prior written notice to SSG, one (1) visit per calendar year at Equilink’s sole expense to inspect all the facilities and equipment used in connection with the manufacture of MacGregor-branded Products, and to make such additional inspections upon SSG’s consent, which shall not be unreasonably withheld, in order to assure that such MacGregor- branded Products substantially conform to these standards.

Quality plans must be agreed to prior to initial production shipments and shall include the items listed on Exhibit B and such other items as mutually agreed between Seller and Powerwave. 8.2 Seller shall manufacture the Products to the Process Documentation and quality control standards established by Powerwave and mutually agreed to by Seller and Powerwave. Seller shall inspect all Products prior to shipment to Powerwave to determine whether such Products meet the agreed upon process controls, test yields, end-of-line audits and out-of-box audits. Inspections will be held according to the following documents in order of precedence: • Powerwave Source Control Drawing • Powerwave Fabrication Drawing

Inspections will be held according to the following documents in order of precedence: • Powerwave Source Control Drawing • Powerwave Fabrication Drawing • Seller Generated Special Drawing 8.3 As detailed in the SLA to be agreed to by the parties, Seller shall keep and maintain manufacturing process inspection and test records for the manufacture of Powerwave’s Products, which shall be available for inspection for Powerwave and allow copies to be made and extracts to be taken and shall furnish any information which may be reasonably required by Powerwave with respect thereto. 8.4 Powerwave may also perform specific incoming inspection and out-of-box audits at its facilities to determine whether the Products meet the Product Requirements Specification. Such inspections shall be completed by Powerwave within ** Calendar Days after delivery of Product to Powerwave. It is expressly agreed that inspections and/or payments prior to delivery will not constitute final acceptance. If the Products delivered do not meet the Product Requirements Specification, then Powerwave shall have the rights as specified in Section 9. 8.5 Powerwave reserves the right during regular business hours and following reasonable advance notice to Seller and subject to Powerwave’s confidentiality obligations, to inspect Seller’s facilities or quality control procedures and perform reasonable source verifications and quality assurance audits, both prior to the first delivery of Products and periodically thereafter, in order to verify compliance with the Product Requirements...
Quality Control and Inspection. 6.1 The Vendor and the Library mutually agree that the Vendor will employ the following quality control (QC) inspection routines and guarantee to honor the following standards for all work performed. A visual QC to ensure that all .txt files are properly encoded as Unicode UTF8 and display Arabic characters. A random sampling of 10% of the total batch of files shall be reviewed for OCR accuracy. Arabic OCR output accuracy levels are expected to exceed 90% on modern texts. At the point in time when Sakhr Inc. delivers an upgraded version of their OCR software that produces a PDF+TEXT output format, a random QC on PDF+TEXT files to assure searchability. 6.2 The Vendor and the Library mutually agree that the Library will perform a secondary quality control check on a statistical sample of all finished work produced by the Vendor in accordance with American National Standards Institute ANSI/ASQ Z1.4-2003. A random sample equal to 10% of the total batch of files shall serve as the inspection sample for each file type.
Quality Control and Inspection. 8.1 The quantity, quality, format and/or description of the Goods, or Services shall be as specified in the Order or in any applicable written specification supplied by the Company and shall be free of mistakes or errors. The Services shall be in compliance with any written service levels requirements supplied by the Company. Goods which comprise of printed material for distribution or publication shall be free of blemishes or marks and shall fully comply with any sample which was approved by the Company. 8.2 The Supplier shall not unreasonably refuse any request for the Company, its clients or agents to inspect and test the Goods or Services at any stage prior to Delivery whether at the premises of the Supplier or any third party and in the event of any such request the Supplier shall provide the Company with all facilities reasonably required for inspection and testing. 8.3 If, as a result of inspection or testing, the Company is not satisfied that the Goods or Services will comply in all respects with the Contract and the Company so informs the Supplier within a reasonable time, the Supplier shall take such steps prior to Delivery as are necessary to ensure compliance. The Supplier without additional charge shall provide any test and inspectioncertificates that are required in an Order. 8.4 Not withstanding any inspection or testing, the Supplier will remain fully responsible for the Goods and any such inspection or testing will not diminish or otherwise affect the Supplier’s obligations under the Contract. 8.5 The Supplier shall maintain detailed books and records and accounts relating to the Contract and all related transactions with third parties. If required by the Company in writing, upon not less than 7 working days’ notice, the Supplier shall allow the Company or its agents to inspect such books, records and accounts. 8.6 All creative work within the Materials shall fully comply with the written brief issued to the Supplier. Should the Company or its client not be fully satisfied with the performance of such Services, the Company shall be entitled to withhold payment or require the Supplier to amend the Materials to the Company’s satisfaction.

Quality Control and Inspection. The Parties shall each maintain a commercially reasonable quality control system. All Product may be subject to Buyer’s (i) inspection or verification during the period of manufacture, and (ii) inspection or verification prior to shipment. Any such inspections by Buyer occurring at Supplier’s facilities shall take place during normal business hours of Supplier and with reasonable advance notice given by Buyer to Supplier. As between Buyer and Supplier, Buyer shall be responsible for determining the compatibility of the Product with, and the suitability of the Product for use in, Buyer’s processes and by Buyer’s customers.
Quality Control and Inspection. Licensor has the right, at all reasonable times, to inspect the manner in which Licensee uses the Licensed Materials and Licensee’s compliance with the obligations set forth in this Section. Such inspection will be conducted, at the election of Licensor, by personal visit to Licensee or by written request for information. Any such inspections will be at Licensor’s sole expense. Licensee will cooperate with such inspections and will immediately change or discontinue any use of any Licensed Materials or any advertising or promotional efforts of the Products that do not conform to the written quality standards and guidelines specified by Licensor from time to time or as may otherwise be reasonably requested by Licensor.

Hua Hong NEC will deliver only Products which meet the Acceptance Criteria, unless Customer waives such obligation in writing.
