Quality of Delivery. Oerlikon expects deliveries with zero defects from its suppliers. Sufficient storage capacities for urgent needs are included (e.g. for unplanned sorting activities etc. because of product or process defects) (see also chapters 10.6 and 10.10). Quality of Delivery. In addition to any other rights Licensee may have hereunder or otherwise and without derogation of Licensor’s obligation to cause such Physical Materials to be timely delivered in accordance with the first sentence of Section 4(a), if Licensee in its sole judgment deems the content of any Program to be unacceptable or any Physical Materials are not, in Licensee’s sole judgment, of acceptable technical quality for tape-to-tape transfer for Exhibition by means of Non-Standard Television or HD Television, Licensee shall have the right to require Licensor to deliver promptly to the Transfer House such additional Physical Materials as Licensee shall require until Licensee has approved such Physical Materials. Without derogating from any other obligation of Licensor hereunder, Licensor’s delivery to the Transfer House of acceptable Physical Materials for each Program on or prior to the Delivery Date pursuant to Section 4(a) is of the essence of this Agreement. In the event that Licensor does not deliver acceptable Physical Materials for any Program on or prior to the Delivery Date therefor pursuant to Section 4(a), without derogating from Licensee’s other rights and remedies hereunder or otherwise with respect thereto, Licensee may terminate this Agreement with respect to one or more Programs and, within two (2) business days after Licensee delivers written notice to Licensor of such termination, Licensor shall pay to Licensee the Cancellation Fee provided for in the Deal Terms.

Quality of Delivery. It may be required from time to time to observe delivery of projects being undertaken to ensure consistency and gain best practice insights. This will always be arranged in advance. WMCA may also require evidence of Ofsted Inspections and gradings. Where partners will be delivering regulated qualifications and/or their components, learners must be registered for the qualifications and/or component in line with the awarding policies and procedures. Partners must not ‘pre-register’ students a significant period in advance of the learner starting the qualification. For non-regulated delivery partners must ensure that a robust process of measuring progress and quality of delivery is in place. Where appropriate WMCA will document any lessons learned from observations and feedback from Lead Bidders and Delivery Partners and review quarterly to evaluate our processes.
Quality of Delivery. Delivery of programs at AACC sites requires Consortium memberscommitment to quality in the form of faculty support and involvement, student advising and support services, technology needs and long-range curricular planning. Approval of new degree programs at AACC sites will be based in large measure on the effectiveness with which Consortium Members convey commitment to quality programming, support services and the basic premises of the University Consortium Memorandum of Understanding.

If the Contract does not stipulate a specific standard of design, development, or production, the Supplier shall apply best industry practice relevant to the Deliverables.
Quality of Delivery. 3.1 The Contractor shall deliver eligible provision as set out in the Funding Rules. 3.2 The Contractor shall ensure effective referrals into and transitions out of the Programme working with local partners, including Jobcentres and NCS to support Learners. 3.3 The Contractor will be subject to key performance indicator monitoring as further described in Schedule 1C (KPIs).

At all times during the Defects Liability Period, the Deliverables shall be of such quality and in such condition as to fulfil all the specific requirements of the Contract. The Supplier warrants that the design, materials used, and the workmanship applied when producing the Deliverables conform with all the provisions of the Contract and that the Deliverables meet the requirements, including the provisions set out in Annex A containing DALO's specific requirements, concerning the Deliverables. Import and export Import procedures, customs duty and costs of Delivery As an integral part of the obligations of the purchase option and within the purchase option Price, the Supplier shall, if relevant, arrange customs entry and the payment of (i) any customs duties applicable to the Deliverables, (ii) any transportation costs, etc., in order to deliver the Deliverables at the place set out in clause 4.7. DALO shall not be liable to reimburse the Supplier for any fines or penalties imposed on the Supplier under Danish customs legislation in force from time to time for any offence under such legislation, unless the offence is attributable to DALO. Taxes, customs duties and other government charges payable All taxes, duties and government charges imposed or levied in connection with the Contract, however exclusive of Danish VAT (in Danish: Moms) shall be paid by the Supplier and shall be considered included in the Contract Price. The Supplier shall submit all invoices inclusive of Danish VAT, if applicable, and shall if the Deliverables in question are subject to VAT specify in the invoice how the VAT is calculated.
