Technical Quality. Grantee shall maintain all Upstream and Downstream Access services, channels and Interconnections at the same level of technical quality and reliability required by this Agreement and all other applicable laws, rules and regulations for Residential Subscriber channels. Grantee shall provide routine maintenance and shall repair and replace all transmission equipment, including modulators, associated cable and equipment in use upon the effective date of this Franchise, necessary to carry a quality signal to and from Grantor’s facilities.

Technical Quality. Grantee shall maintain all upstream and downstream Access services and Channels on its side of the demarcation point at the same level of technical quality and reliability required by this Franchise Agreement and all other applicable laws, rules and regulations for Residential Subscriber Channels. Grantee shall provide routine maintenance for all transmission equipment on its side of the demarcation point, including modulators, decoders, multiplex equipment, and associated cable and equipment necessary to carry a quality signal to and from City’s facilities for the Access Channels provided under this Franchise Agreement, including the business class broadband equipment and services necessary for the video on demand and streaming service described in Section 9.5. Grantee shall also provide, if requested in advance by the City, advice and technical expertise regarding the proper operation and maintenance of transmission equipment on the City’s side of the demarcation point. The City shall be responsible for all initial and replacement costs of all HD modulator and demodulator equipment, web-based video on demand servers and web-based video streaming servers. The City shall also be responsible, at its own expense, to replace any of the Grantee’s equipment that is damaged by the gross negligence or intentional acts of City staff. The Grantee shall be responsible, at its own expense, to replace any of the Grantee’s equipment that is damaged by the gross negligence or intentional acts of Grantee’s staff. The City will be responsible for the cost of repairing and/or replacing any HD PEG Access and web-based video on demand transmission equipment that Grantee maintains that is used exclusively for transmission of the City’s and/or its Designated Access Providers’ HD Access programming.

Technical Quality. ‌ (A) Grantee shall maintain all Access Channels and Interconnections of Access Channels at the same level of technical quality and reliability required by this Franchise and all other applicable laws, rules and regulations for Residential Subscriber Channels. Grantee shall not discriminate against PEG Access Channels with respect to the functionality, signal quality, and features from those of the local Broadcast Channels that Grantee carries. Access Channels and Interconnections shall be tested semi-annually, consistent with Grantee’s FCC Proof-of-Performance testing, at representative points throughout the Cable System for compliance with all applicable standards. Documentation of such tests shall be provided to the City and the Designated Access Providers. Grantee shall promptly resolve any non-compliance issues. (B) Grantee shall respond promptly, but no later than 24 hours, to resolve technical quality problems after notification by a Designated Access Provider. (C) Grantee shall have no responsibility for the technical quality of the Access Programming distributed on the Access Channels. (D) Use of the Cable System by Designated Access Providers shall not interfere with the technical quality or reliability of the Cable System.
Technical Quality. (A) Grantee shall maintain all Upstream and Downstream and Closed Access Channels and Interconnections of Access Channels at the level of technical quality and reliability required by this Franchise and all other applicable laws, rules and regulations or at the same level of quality as comparable Subscriber Channels, whichever is higher. (B) PEG Channel Signal Quality. Grantee shall deliver to Subscribers PEG Channel Programming contemporaneously with its delivery to Grantee by Designated Access Managers, without change in its content or format (such as six (6) MHz, NTSC, or standard digital or HDTV formats) from that provided by Designated Access Managers. Grantee will not alter any PEG signal to either improve or degrade the PEG signal or alter, fail to retransmit or remove any formatting or coding information or data associated with any such signal, such as information associated with stereo closed captioned or digital transmissions.
Technical Quality. ‌ (A) The Grantee shall not unreasonably discriminate against PEG Access Channels with respect to accessibility, functionality and the application of any applicable FCC Rules and Regulations, including without limitation Subpart K Channel signal standards. With respect to signal quality, Grantee shall not be required to carry a PEG Access Channel in a higher quality format than that of the Channel signal delivered to Grantee, but Grantee shall distribute the PEG Access Channel signal without degradation. There shall be no restriction on Grantee’s technology used to deploy and deliver SD or HD PEG Access Channels so long as the requirements of this Franchise are otherwise met. Grantee may implement HD carriage of PEG Access Channels in any manner (including selection of compression, utilization of IP, and other processing characteristics) that produces a signal quality for the Subscriber that is comparable and functionally equivalent to similar commercial SD or HD Channels carried on the Cable System. (B) Grantee shall provide routine maintenance and shall repair and replace all transmission equipment, including transmitters/receivers, associated cable and equipment in use upon the Effective Date of this Franchise, necessary to carry a quality signal to and from the Demarcation Point at the City’s or Designated Access Manager’s facilities. (C) Grantee shall continue to provide all current and future activated Downstream Channels for PEG Access use in a SD or HD or equivalent format in Grantee’s Basic Service level as specified herein. Grantee shall carry all components of the SD or HD PEG Access Channel signals provided by the Designated Access Managers including, but not limited to, formatting coding information or data associated with any such signal, closed captioning, stereo audio and other elements associated with the Programming. The Designated Access manager shall be responsible for providing the PEG Access Channel signal in a SD or HD or equivalent format (as specified herein) to the Demarcation Point at the designated point of origination for the PEG Access Channel. Grantee shall be responsible for costs associated with the transport and distribution of the SD or HD PEG Access Channel on its side of the Demarcation Point. (D) Grantee, at its sole cost, shall provide VOD content in accordance with the terms of the VOD License Agreement between the City and Grantee. Technical Quality. Company shall not be responsible for any material that is not properly displayed or that cannot be accessed or viewed because the material was not received by Company in the proper form, in a timely manner, or in an acceptable technical quality for display on the Company Sites and Xxxxx.xxx. This Agreement cannot be invalidated, and Company and Xxxxx.xxx will not be liable for, typographical errors, incorrect insertions or omissions in any Advertisement displayed pursuant to this Agreement or omitted from display.
